Book excerpt: Nel campo del diritto penale commerciale o dell’economia sono davvero pochi i settori di disciplina che possono trarre sostanziale utilità da una premessa di carattere storico. In questo campo gli istituti si sono affacciati, di solito, in tempi recenti e nell’ambito delle istituzioni dell’economia capitalistica avanzata, pressoché sempre dopo la prima rivoluzione industriale. Le modifiche di maggior interesse, in tempi recenti, attengono semmai ai cambiamenti dei rapporti tra Stato e mercato e alla disciplina-regolamentazione (e in che grado) di quest’ultimo, assumendo quale sfondo il sistema economico capitalistico liberale (è poi una questione di gradi: dal liberal al neoliberistico, per dirlo in rozza sintesi). Un’eccezione è costituita, soprattutto per la tradizione italiana e, in genere, dei paesi di civil law, dal settore dei reati fallimentari (occorre qui usare il vecchio termine): per due singolarità che non hanno uguale. Anzitutto, a) le sue prime manifestazioni risalgono assai indietro nel tempo, entro strutture economiche, sociali e di mercato ben diverse dalle attuali; tuttavia, b) rispetto a quelle prime, lontanissime manifestazioni, le forme attuali presentano caratteri assai simili, tanto da poter cogliere un’impressionante continuità strutturale e di contenuti, nonostante i mutamenti radicali avvenuti nell’economia, nel mercato e nelle istituzioni. Sono due caratteristiche che stimolano una ricognizione nel tempo trascorso. La dimessa terminologia vuol segnalare che non è questa evidentemente la sede per una compiuta analisi storica, che richiederebbe una visione e un’analisi delle dinamiche economiche e sociali intervenute, delle istituzioni create e mutate e delle ideologie o legittimazioni culturali. Il massimo a cui si può qui ambire è una sorta di genealogia delle figure criminose per rintracciare le antiche forme, le stratificazioni e lo scorrere, con anse e ritorni, degli elementi costitutivi. Lo esige, a me pare, uno sguardo disincantato all’attuale situazione normativa dei reati nelle procedure concorsuali, pressata tra un blocco di disposizioni penali contradditorie, irragionevoli, ben poco rispettose, nella sostanza e nell’applicazione, dei principi costituzionali (con dottrina e giurisprudenza divise quasi su ogni punto); e l’incalzare delle riforme dalla parte civilistica, che, con gli ultimi interventi del 2021-2022 ha scardinato l’impianto tradizionale, acuendo le già note difficoltà di coordinamento con l’immutata parte penalistica.
