Book excerpt: Excerpt from Commentaries, Vol. 1: The Law of Municipal Corporations The necessity for a work upon Municipal Corporations was so seriously felt by the author when holding a seat on the Supreme Bench of a State where questions relating to the powers, duties, and liabilities Of municipalities were presented at almost every term, that he resolved, eight years ago and more, to endeavor to supply the want. Although the subject is one of unsurpassed practical importance, since nearly every considerable city and town in the United States is incorporated, no American work upon it has ever appeared. A careful examination of the English treatises satisfied the author that they were, in a great measure, inapplicable here, and that they fail to cover a large portion of the existing field of the law upon the subject as enlarged by American legislation and practice. True, our municipal system, like the body of our jurisprudence, was derived from England, but it is remarkable how many changes were necessary to adapt it to Our system of government and mode of administration, and to the wants and situation of our people. Accordingly, if the municipalities of the one country be closely compared with those of the other, it will be found that, in their structure, powers, and workings, they present quite as many points of difference as of similarity. It is a general rule, that corporations must take and grant by their corporate name. 2 Kent Com. 291. A corporation aggregate can have no predecessor, and in a writ of right can only count on its own seizin. A statute of 1772, in Massachusetts, provided that twelve persons should be chosen annually by the inhabitants of the town of Boston as over seers of the poor, and they were duly incorporated. In 1822 the town of Boston was changed to a city, the act providing for the election of a board of overseers for the city who shall have all the powers and be subject to all the duties now, by law, pertaining to the overseers of the poor for the town of Boston. It was decided, upon great consideration - Shaw, C. J., deliver ing the opinion - that this was a continuance, and not a dissolution or saspow oion, of the corporation of 1772; that the bodies were public corporations, aggregate and not sole, with perpetual succession; that a grant to them of real estate carried the fee, without being, to their successors, and that in a writ of right they can count only upon their own seizin within thirty years next before the commencement of the action. The scope of, the work is, therefore, somewhat wider than that of any other. With which I am acquainted. I have proposed to myself the task of making a treatise which shall cover the entire field of public company law in all its details, using the term public companies in its widest modern sense, and I have studiously undertaken in the volumes in hand not to omit the law, as declared in the decided cases or defined by statute, of any sort of a public corporation. This work, therefore, and my Private Corporations (chicago, 1891) complement each other, and, taken together, are intended to constitute a complete treatise, in four uniform volumes, on Company Law in all its phases, from the federal government at the one extreme - which, in this country at least, is the first of public corporations (united States to. Man rice, 2 Break. 96, 109 (per Marshall, 0. J Ableman v. Booth, 21 How. Possessing defined and limited corporate powers, with the capacity to contract and be contracted with, to sue in its corporate name The Government of the United States, Cohens v. Virginia, 6 Wheat. 264) and to be sued by consent, and which, having been duly created as a corporation by the people of the several original States, acquired a true cor potate entity, and went into operation, or commenced the transaction of its business, on Wednesday, March 4, 1789 (owings C. Speed, 5 Wheat. 420) - to the most insignificant joint-stock association or local incorporation, at the other extreme. Within this wide range should seem to be included every sort of an association among men which' passes for a. Corporation or a company, aside from partnerships on the one hand, and political S'overeignties on the other. The subject of Public or Municipal Corporations, as com pared with that of Private Corporations, is, both in this coun try and in England, largely statutory, and the intelligent reader will, therefore, perhaps not be surprised at the space given in the text to the consideration of many local statutes and ordinances. Sometimes these statutes are types of classes of statutes found in many States, but perhaps more frequently are distinct and 8m?
