Book Venture capital deal terms

Download or read book Venture capital deal terms written by Harm F. de Vries and published by Vior Webmedia. This book was released on 2016-09-01 with total page 165 pages. Available in PDF, EPUB and Kindle. Book excerpt: This new book of investor Harm de Vries and VC lawyers Menno van Loon and Sjoerd Mol, who together have been involved in hundreds of venture capital transactions, explains all of the most common clauses used in VC deals. It includes many examples, as well as negotiation tips for both entrepreneurs and investors and a full termsheet template as annex. Furthermore, the book explains the economics behind the deal terms, which makes them easier to understand. The result is a practical guide to venture capital deals. All venture capital transactions start out with the execution of a term sheet, a document summarizing the basic terms and conditions under which a potential investment will be made. A well-drafted term sheet serves as a tool to focus attention of the parties on the essential deal terms, and serves as an instrument to investigate whether there is common ground between them with respect to the most important investment conditions before they spend further time, energy and money on negotiating a deal. Effective participation in the negotiations of a venture capital transaction is possible only once each party involved fully understands the scope and consequences of all the deal terms included in the term sheet. The book provides a clear understanding of the most frequently used practices, terms and conditions and will benefit anyone involved in venture capital transactions - investor, entrepeneur or advisor.

Book Global Venture Capital Transactions

Download or read book Global Venture Capital Transactions written by Beat Brechbühl and published by Kluwer Law International B.V.. This book was released on 2004-01-01 with total page 396 pages. Available in PDF, EPUB and Kindle. Book excerpt: The venture capital and private equity industries are among the most characteristic and visible segments of today's global economy. As we approach the midpoint of the first decade of the 21st century, these industries have clearly matured and left behind the much-publicized excesses of the 1990s. It is now incumbent upon practitioners to thoroughly understand the legal structure of venture capital transactions, not only in their own country but also'due to the typically cross-border nature of such transactions'in numerous jurisdictions worldwide. This very useful book has been prepared under the auspices of the International Association of Young Lawyers (AIJA) following a working session held in Edinburgh in August 2003. It provides practitioners with the first overview of the legal requirements attached to venture capital transactions in a variety of jurisdictions, encompassing both developed and developing nations. An introductory chapter presents a global view, addressing venture capital issues that tend to arise under any legal circumstances. Then, for each of twelve countries, an experienced practitioner in the venture capital field offers detailed discussions of his or her country's legal system as it pertains to the protection of investors' rights and company's investments, regulatory issues, and enforcement. Specific topics discussed where applicable for each country include: documentation; due diligence; valuation standards; representations and warranties; intellectual property; compensation of key personnel; disclosure; exit strategy; corporate governance roles; tax issues; securities law requirements; restrictions on foreign direct investment; and availability of court orders. Global Venture Capital Transactions goes a long way to fulfilling the need of practitioners and entrepreneurs to structure cross-border venture capital transactions that are not only initially successful but enjoy continued profitability with the strength to overcome inevitable obstacles. It will be warmly welcomed by the venture capital and private equity community throughout the world.

Book IPOs of Venture Capital Backed Ventures

Download or read book IPOs of Venture Capital Backed Ventures written by Christian Mehrer and published by GRIN Verlag. This book was released on 2003-11-02 with total page 40 pages. Available in PDF, EPUB and Kindle. Book excerpt: Studienarbeit aus dem Jahr 2002 im Fachbereich BWL - Investition und Finanzierung, Note: 1,3, European Business School - Internationale Universität Schloß Reichartshausen Oestrich-Winkel (-), Veranstaltung: Seminar des Wahlpflichtfaches Finanzierung und Banken, Sprache: Deutsch, Abstract: The topic of this paper is the difference of venture capital (VC) backed initial public offerings (IPOs) and non backed IPOs and the share price performance of the companies after the IPO. Compared to non-backed IPOs, VC backed IPOs consist on average of younger and less profitable firms. Nevertheless, VC backed companies have better underwriters, more institutional investors and less underpricing (i.e. a discount on the initial share price due to asymmetrical information). It is therefore considered that the venture capitalist (VCist) has an important impact on the share price performance of the young firm due to his certification role. By screening and mentoring the backed venture in earlier stages of the VC cycle, he can well assess the business’ opportunities. Thus, if he invests in the venture and keeps shares after the IPO, he can proof credibility to other investors (credibility hypothesis). However, younger VCists tend to bring companies too quickly to the stock markets, because they need an IPO for building up a reputation (grandstanding hypothesis). This may be adverse to the venture. Our findings also outline that there is no clear advantage of VC-backed firms on the long-run. Thus, we conclude that it is not only important to think about a VC backing, but also about the VCist that is backing. Choosing the wrong VCist may even have a negative impact on the company’s future.

Book Venture Capital Funding

Download or read book Venture Capital Funding written by Stephen Bloomfield and published by Kogan Page Publishers. This book was released on 2005 with total page 236 pages. Available in PDF, EPUB and Kindle. Book excerpt: Most informed business people will know something about venture capital. However, much of the detail of what actually goes on when an investment is being made is unknown to most outsiders. This absence of knowledge means that much time and effort is often fruitlessly expended trying to secure venture capital from the wrong sources or by businesses that would be better off seeking different forms of funding. Venture Capital Funding clears some of the fog that surrounds how venture capital works. It illuminates the background processes that exist in venture capital businesses and dispels the myths. If you are thinking of using venture capital to develop your business it will enable you to understand the driving forces behind each stage of the investment process, and will equip you to deal with venture capitalists and other professionals involved. Highly practical and accessible, this book examines the following areas: what sort of businesses will be attractive to the different types of venture capitalist; the processes of investment; the particular targets of venture funds; the pressures on the venture capitalists themselves as individual investors. By understanding what venture capitalists want, what they are willing to invest in, and on what terms, you and your business will be one step closer to securing capital.
