On motion of Col. T. M. Holt, the meeting was organized by calling Maj. John W.Graham to the Chair, and by the appointment of Julius A. Bonitz, J. A. McCauley and P. B. Ruffin, Secretaries. The Committee on Proxies reported as follows: The number of stockholders represented in person, 5, and by proxy, 197 - whole number of shares owned by individuals, 10,000 - whole number represented in person, 223, and by proxy, 4,794 - total number of shares represented 5,020. The report was accepted. The Chair announced there was a majority of the individual stock represented, and, therefore, the meeting was organized in accordance with the charter and by-laws. Hon. C. M. Busbee presented his credentials as State Proxy, which were received. Hon. C. M. Busbee, State Proxy, named the following gentlemen as Directors on the part of the State, viz: Messrs. R. F. Hoke, Donald MacRae, R. W. Thomas, Kerr Craige, J. L. Morehead, Wm. S. Roulhac, Armistead Burwell and W. F. Kornegay. The President's Annual Report having been read, was, on motion of Col. A.B. Andre B, accepted. On motion of Col. A. B. Andrews, the reading of the Reports of the Secretary and Treasurer, Finance Committee and Trustee of Sinking Fund was dispensed with. Book excerpt: Excerpt from Proceedings of the Third Annual Meeting of the Stockholders of the North Carolina Rail Road Company: Held in Raleigh on the 8th and 9th Days of July, 1852 The completion of the Charlotte and South Carolina Rail road within the present year will give a railroad connection between the south-western terminus of this road and the City of Charleston. In view of the facilities for transporta tion of iron which this connection offers, and with the earnest desire to hasten the completion of the work, the contractors for the last contracts let near Charlotte are required to finish their grading by the first of January, 1853. So that the superstructure on that end of the road may be commenced at an early day. Should the several links now wanting, be completed, which will unite the North Carolina Railroad with the town of Portsmouth by a continuous railway, another Opportunity will present itself to procure the iron on the line of this road: and no good reason is now foreseen why the superstructure from Raleigh westward, may not be commenced at an early day. From the rapid progress of the grading, the Board have no doubt that every part of the Road will be ready for its superstructure, as fast as the iron can be delivered and laid down along the line of the Road. M. Holt, Hon. John A. Gilmer was made Chairman and D. W. C. Benbow and P. B. Ruffin, Secretaries. The Committee on Proxies reported number of stockholders represented in person and by proxy one hundred and sixty-one. Whole number of shares owned by individuals 10,000. Whole number represented in person and by proxy, 6,441. The Chair announced that there was a majority of the individual stock represented; and, therefore, the meeting was organized in accordance with the by-laws. Mr. Armistead Jones presented his credentials as State Proxy, which were received and adopted. President T. M. Holt proceeded to read his Annual Report, which was received and adopted. On motion of Mr. Kluttz, the reading of the reports of the Secretary and Treasurer and Finance Committee was dispensed with. Mr. Armistead Jones, State Proxy, named the following gentlemen as Directors on the part of the State, viz.: Col. J. T. Morehead, Capt. A. Burwell, Theo. F. Kluttz, Dr. R. W. Thomas, M. A. Angier, W. H. Pace, Bennehan Cameron and Donald McRae. The meeting went into the election of four (4) Directors on the part of the individual stockholders. The Chair appointed Theo. F. Kluttz and B. Cameron as tellers. The tellers reported the following as the result of the ballot: Gen. R. F. Hoke, H. W. Fries, W. F. Kornegay and Thos. M. Holt each received 6,237 votes.
