Available in PDF, EPUB and Kindle. Book excerpt: The essentials of mergers and acquisitions (M&A) practice can best be examined from a buyer's perspective. In a corporate transaction, it is the buyer who typically faces the more substantial risks. In many instances, legal problems exist of which the buyer must be aware before deciding to purchase the target company. The ongoing internationalization of the M&A market must also be taken into consideration. The integration of foreign concepts into local legal systems not only leads to a multitude of new questions, it also creates a challenge for any lawyer practicing in this area. Clients expect their professional advisors to handle legal problems likely to arise abroad and to communicate and cooperate efficiently with foreign counsel. The book features a collection of reports by experienced young practitioners from seventeen different jurisdictions, along with a general report for a working session organised by the Corporate Acquisitions and Joint Ventures and Tax Law Commissions of l'Association internationale des jeunes avocats (AIJA) for the AIJA Annual Congress in Lisbon in August 2002. Each national report follows the same structure as the general report, but from a local perspective. While the working session also covered tax issues (a whole other volume in itself!), this publication concentrates on such practical matters of legal risk as: powers of local authorities;determination of relevant market;conflict between antitrust authorities;time limits for negotiation and clearance;avoidance of multiple filings;standard notification clauses;protection of confidential information; andchallenge of competition authority decisions. A useful introduction on warranty and indemnity (W&I) insurance offers an insider's comprehensive outline of the latest developments in this field. The practical information in this book will be of great value to any lawyer dealing with M&A transactions, not only in the countries covered but in any country where M&A transactions occur, as these reports often contain valuable information and suggestions that hold true for other jurisdictions as well. Available in PDF, EPUB and Kindle. Book excerpt: Where products develop ever more rapidly, the law may face difficulties in responding accordingly to new security threats which may arise. In the field of product liability, an extraordinary need for legal development has thus been perceived, with legislators and judges feeling compelled to find new solutions and to look across borders for these. In the detailed reports in this book, the World Tort Law Society proves that it is in an ideal position to examine the most significant concepts. The report on North America studies the special regime for product liability from its origin in the case law of the US; the European report is centred around the EU Product Liability Directive with its merits and faults; and the influence of these two systems as well as new answers are shown in the reports on Asia, Russia and four key jurisdictions in the rest of the world. Similar questions are discussed worldwide: How can a strict liability regime for products be justified, and can it be justified in all cases? How does the special regime relate to general rules of tort law? Should services be subject to a similar regime? The Members of the Society seek to provoke thought for solutions to these pervasive problems. In this spirit, the volume’s comparative conclusions invite discussion, and the book includes four responses to that call from eminent tort lawyers from different legal backgrounds.

Book The Emergence of EU Contract Law

Download or read book The Emergence of EU Contract Law written by Lucinda Miller and published by OUP Oxford. This book was released on 2011-09-22 with total page 280 pages. Available in PDF, EPUB and Kindle. Book excerpt: The emergence of a pan-European contract law is one of the most significant legal developments in Europe today. The Emergence of EU Contract Law: Exploring Europeanization examines the origins of the discipline and its subsequent evolution. It brings the discussion up-to-date with full analysis of the debate on the Common Frame of Reference and the future that this ambiguous instrument may have in the contemporary European legal framework. One of the central themes of the book is exploration of the multi-level, open architecture of the EU legal order, and the implications of that architecture for the EU's private law programme. The analysis demonstrates that the key to understanding European contract law in the 21st century lies in adopting a perspective and mechanisms suitable for a legal order populated by multiple sources of private law. Legal pluralism is offered as a theoretical construct with the capacity to shape the future of European private law, shifting the analytical spotlight beyond the traditional, centralized, legislative means of regulation. In so doing, softer mechanisms are introduced for the governance of contract law; mechanisms that enable coordination between the different sites at which contract law operates. This reorientation in thinking about European contract law, indeed about Europeanization itself, enables the inevitable diversity and pluralism that is a feature of multi-level Europe to be captured within a framework that maximizes the opportunities for mutual learning and exchange across private law sites.

Available in PDF, EPUB and Kindle. Book excerpt: Law and Business in France has been written specifically with the foreign investor in mind by an American attorney practicing in French and international law in Paris on behalf of a world-wide clientele. It sets forth in clear, non-technical language, the full range of legal considerations which foreign investors will need to consider in order to successfully carry out their activities in France. Although the primary focus of this work is French law, Community law is also treated whenever necessary so as to provide the reader with the fullest possible framework. This volume explains company formation, sales and distribution methods, corporate and personal income taxation, investment regulations, mergers and acquisitions, corporate restructurings, liquidation, antitrust regulation, intellectual property, the banking and environmental regulatory framework and labor and immigration law. It also contains an invaluable French-English legal glossary designed to assist the reader in understanding contracts and legal correspondence exchange during commercial transactions of any nature. Due to the balance struck between a thorough treatment of legal considerations and the desire to avoid overly technical language, this volume is appropriate to attorneys, business people and all investors wishing to acquire a well-informed view concerning the legal regulation of commerce in France. Its concise format permits rapid consultation and thus allows its reader to efficiently obtain the information needed to successfully structure and complete commercial transactions in France.
