Available in PDF, EPUB and Kindle. Book excerpt: Family control is a common phenomenon among listed corporations in the Indonesian capital market. In family-controlled firms, the so-called “Agency Problem II” may arise due to differences of interests between the controlling shareholder and minority shareholders. Firms may choose certain mechanisms to mitigate information asymmetry, including the disclosure on information in the annual report. This study aims to investigate the influence of family control on the extent of voluntary disclosure in the annual report of Indonesian listed firms. This study employs a sample comprising non-financial firms on the Indonesia Stock Exchange (IDX) that published the 2010 annual reports. Our evidence reveals that family control negatively and significantly influences the extent of disclosure. This finding suggests that family-controlled firms have lower motivation to disclose additional voluntary information, which might unexpectedly expose private benefits maintained by the controlling family. This lower level of disclosure seems to exacerbate agency issues in family-controlled firms. Further, this study seeks to investigate the role of corporate governance mechanisms in explaining the association between family control and voluntary disclosure. Governance mechanisms addressed in our analysis include board independence and institutional ownership. We find that the relationship between institutional ownership and disclosure is stronger in family firms. However, independent commissioners do not contribute to improving the extent of disclosureby family firms.

Book excerpt: Compared to non-family firms, family firms face less severe agency problems due to the separation of ownership and management, but more severe agency problems that arise between controlling and non-controlling shareholders. These characteristics of family firms affect their corporate disclosure practices. For Samp;P 500 firms, we show that family firms report better quality earnings and are more likely to warn for a given magnitude of bad news. However, family firms make fewer disclosures about their corporate governance practices. Consistent with family firms making better financial disclosures, we find that family firms have larger analyst following, lower dispersion in analysts' earnings forecasts, smaller forecast errors, less volatile forecast revisions, and smaller bid-ask spreads.

Book excerpt: This paper examines the effect of family ownership on firm voluntary disclosure and the associated capital market consequences. I use a randomly assigned family trait, the gender of the firstborn child of the firm's family owner, as an instrumental variable and find that family ownership of a firm decreases its voluntary disclosure and stock liquidity. Results suggest that incentives to retain family ownership and control of a firm affect corporate disclosure policies, and exemplify why some firms are opaque despite the potential capital market benefits of improved disclosure. Robustness tests show that the negative effect of family ownership on firm voluntary disclosure holds across different firm generations, ages of the firstborn child, local economic development and cultural settings.
