The review covers 26 jurisdictions and is based on a general survey of all participating jurisdictions in December 2012, as well as an in-depth review of corporate risk management in Norway, Singapore and Switzerland. The report finds that while risk-taking is a fundamental driving force in business and entrepreneurship, the cost of risk management failures is often underestimated, both externally and internally, including the cost in terms of management time needed to rectify the situation. The reports thus concludes that corporate governance should ensure that risks are understood, managed, and, when appropriate, communicated.

Corporate governance and enforcement mechanisms are intimately linked as they affect firms' ability to commit to their stakeholders, in particular to external investors. Berglof and Claessens provide a framework for understanding these links and how they are shaped by countries' institutional contexts. When the general enforcement environment is weak and specific enforcement mechanisms function poorly, as in many developing and transition countries, few of the traditional corporate governance mechanisms are effective. The principal consequence in these countries is a large blockholder, but there are important potential costs to this mechanism. A range of private and public enforcement 'tools' can help reduce these costs and reinforce other supplementary corporate governance mechanisms. The limited empirical evidence suggests that private tools are more effective than public forms of enforcement in the typical environment of most developing and transition countries. However, public enforcement is necessary regardless, and private enforcement mechanisms often require public laws to function. Furthermore, in some countries at least, bottom-up, private-led tools preceded and even shaped public laws. Political economy constraints resulting from the intermingling of business and politics, however, often prevent improvements in the general enforcement environment, and adoption and implementation of public laws in these countries. Book excerpt: The issue of corporate governance arises in the modern corporation due to the separation of ownership and control. Corporate governance deals with the responsibilities and duties of a company's board of directors in managing the company and their relationships with the stakeholder groups and their responsibilities to them. Changes in financing patterns of companies over 200 years have led to a rise in the importance of securities market finance for publicly traded companies and therein a growth in influence of market institutions. It is very important in this regard to get institutional shareholders (institutional investors: mutual funds, banks, pension funds, life insurance companies, etc.) to take a more active role in corporate governance. As large owners, institutional investors should exhibit a greater incentive to monitor companies than smaller traders and investors. Yet in recent years, institutional investors failed to protect their client investors from managerial misconduct in firms, even though they held large positions in those firms. Assuming a stable environment, institutional investors as providers of corporate finance require assurance that their investments will generate reasonable returns and be protected. Therefore, they base their investment decision not just on a company's outlook, but also on its reputation and governance. Corporate governance deals with the ways in which suppliers of finance to corporations assure themselves of achieving a return on their investment while preserving ethical and legal modalities. In this regard, enforcement and corporate governance are linked as they affect a company's ability to commit to its shareholders, in particular to external investors, and preserve the trust needed for further investment and growth. For example, when the general enforcement environment of courts and other institutions is very weak, companies can choose to rely solely on internal funds or contributions from closely related investors, due to the need for institutional survival. If functioning corporate governance arrangements are not feasible, companies- cannot even if they wanted to - obtain outside finance and their growth becomes constrained. Yet in today's global market, corporate governance is increasingly important due to demand from growing businesses for external domestic and international capital in quantities and ways that would have been inconceivable just a decade ago. However trust and security through corporate governance remain essential to creating the stability needed for real, long-term investment. Enforcement of corporate governance could be achieved by other forces than institutional investors, such as social pressure on the board of directors to discourage misconduct. Social/peer pressure from colleagues, friends, families or society as a whole could impose corporate governance in the sense of obliging directors of companies to think deeply before exploiting resources for their own benefit. Investment seeks and requires some measure of stability and rule of law in order to be induced into the market. Recent events and downward trends have underscored the need for corporate governance based upon some enduring plow on model. While market cynic may scorn such a civic and moral view, faith and trust are essential to creating stable economic environments. The last five years are proof enough.
