Book excerpt: La Ley 7/2003 introdujo en el ordenamiento español de sociedades de responsabilidad limitada la sociedad nueva empresa, una modalidad de sociedad limitada, de régimen más sencillo, destinada a dar rápida vestidura societaria a los emprendedores y, en general, a aquellas PYME que desean disponer de un régimen interno de funcionamiento simple, acorde con la corriente europea de simplificación del Derecho de sociedades de capital. La sociedad nueva empresa es fruto de las iniciativas comunitarias tendentes simplificar el procedimiento de fundación de sociedades. Más específicamente, de la Recomendación 97/344/CE de la Comisión, de 22 de abril de 1997, sobre la mejora y simplificación de las condiciones para la creación de empresas; del Plan de acción para promover el espíritu empresarial y la competitividad, conocido como Plan de acción BEST; y de la Carta Europea de la Pequeña Empresa. A través de la sociedad nueva empresa, el legislador ha procurado facilitar el proceso de fundación, incidiendo en la resolución de todos aquellos problemas que suponen una importante barrera para los emprendedores que deciden iniciar una actividad empresarial. De ahí que la Ley 7/2003 haya completado el régimen jurídico de la sociedad nueva empresa con otros elementos destinados a facilitar la creación de empresas y el cumplimiento de las obligaciones que la legislación societaria impone a los empresarios. Todos ellos reciben un tratamiento pormenorizado en este libro.

Para ello, la autora, que formó parte del equipo de trabajo de la investigación que desembocó en “El Oasis de la Memoria”, analiza en detalle 95 casos de desaparición forzada, 86 de ellos recogidos en dicha publicación y los nueve restantes, en “Meheris: la esperanza posible”. La investigadora indica que es necesaria “una voluntad política real por transformar la realidad y romper con el pasado de violaciones de derechos humanos” y denuncia que “no se haya respetado el derecho de las víctimas a la verdad”. Los resultados del trabajo, según apunta López, se espera que sirvan para que las personas afectadas puedan defender sus derechos ante las instancias internacionales y la Audiencia Nacional española.

In The Friendly Liquidation of the Past—one of the first texts to examine this issue comprehensively —Van Cott focuses on the efforts of Bolivia and Colombia to incorporate ethnic rights into their fragile democracies. In the1990s, political leaders and social movements in Bolivia and Colombia expressed dissatisfaction with the quality of democracy--its exclusionary nature, the distance and illegitimacy of the state, and the empty promise of citizenship. The highly symbolic act of constitution making elevated a public struggle for rights to the level of a discussion on the meaning of democracy and the nature of the state. Based on interviews with more than 100 participants in the reforms, Van Cott demonstrates how issues promoted by social movements—recognizing ethnic diversity, expanding political participation and improving representation, and creating spheres of cultural and territorial autonomy—were placed on the constitutional reform agenda and transformed through strategic interaction with political power-brokers into the nation’s highest law. The analysis follows each reform through five years of implementation to assess the early results of what Van Cott suggests is an emerging regional model of multicultural constitutionalism. The Friendly Liquidation of the Past fills an important gap in the study of ethnic politics and constitutional reform in the Andes, linking the literature on institutions and political reform to work in political theory on participatory democracy and multiculturalism.
