Book excerpt: This study uses a sample of S&P; 500 firms in the United States technology sector to investigate the likely relationship between female directors and financial performance of firms measured by return on average assets and return on average equity as the two accounting based measures of performance. Reasonable theoretical arguments drawn from resource dependency, human capital, agency, and social psychology theory, suggests that the gender diversity of the board of directors may have either a positive, negative, or neutral effect on the financial performance of the firm. Using nonparametric statistics approach, we find a small negative relationship between female directors and financial performance of the firm. Also, we find that the difference in the average measures of financial performance between different levels of female directors on the board is almost identical. The results of our statistical analysis support the theoretical position of a negative relationship between female directors and financial performance of the firm. The policy implications of our study do not support the business case for the inclusion of women on the board of directors in United States technology firms. Our findings in the present study suggest that the appointment of women to the board of directors in firms within the United States technology sector, should be based on criteria other than financial performance.

Book excerpt: The research attempts to examine the presence of women in the boardroom and their impact on governance and financial performance focusing on several factors such as governance theories, board of director size and role, gender diversity, women and men behavior in accordance with the return on equity, assets, and sales ratios to measure the fluctuation of the financial performance against the factors above. How the presence of women in the boardroom can affect the financial performance and governance? In order to answer to this question, two questionnaires for a total of 16 questions were used to the collection of data and information, it was then distributed to 62 shareholders, directors and managers from ten firms that constitute a small image of the Lebanese economic sector. An analysis using a specified rating scale was conducted over the results of the questionnaires. Variables such as Return on Equity, Return on Asset, Return on Sale, gender diversity, women versus men behavior and board size were subject to examination. The results acquired by this study expose the fact that gender diversity on board and the presence of women are directly related to the company's financial performance. Furthermore the board size, the role and behavior of women in the firm enhance company's activity. Applying corporate governance procedures is more reliable when women are on board which reflects the commitment of women on delivering good corporate governance. On the other hand the financial performance has directly been affected due to several factors related to the presence of women in managerial positions.

Book excerpt: Since the financial crisis 2008/09, gender diversity has been developed as one of the key board composition variables. From a research, regulatory and practical perspective, women on board of directors (WOBD) should contribute to a sustainable strategic management with regard to the increased stakeholder demands on social and environmental issues. In view of this recent discussion, this literature review evaluates 200 empirical research studies on the impact of WOBD on corporate governance quality and firm performance. We briefly introduce the theoretical and empirical WOBD framework that comprises an adequate structure of the state-of-the-art of empirical research in this field. This is followed by a discussion of WOBD effectiveness which aims to enhance corporate governance quality, and is divided into the following areas: (1) financial reporting; (2) corporate social responsibility (CSR) reporting; (3) audit and (4) corporate philanthropy. We will then evaluate the impact of WOBD on:(5) financial performance and (6) CSR performance. Therefore, we state that WOBD effectiveness will positively influence both financial and CSR outcome. Furthermore, we will summarize the key findings in each area, and provide a description of the analyzed proxies for corporate governance quality and firm performance. Finally, we will discuss the limitations of the studies and give useful recommendations for future empirical research activities in this topic.

Proponents on each side of the current debate offer evidence suggesting the accuracy of their respective positions. One view holds: "The fight is over. The battle is won. Women are now accepted as outside directors in the preponderance of corporate boardrooms" (Lear, 1994: 10). An alternative perspective, however, suggests there is much progress left. An illustration of the type of remaining barriers is provided by T. J. Rodgers, chief executive officer (CEO) of Cypress Semiconductor Corp. , who has commented that "a 'woman's view' on how to run our semiconductor company does not help us" (Rodgers, 1996: 14). Regardless of where one falls along the spectrum anchored at one end by the view that women have made substantial progress in reaching the upper echelons of corporations and anchored at the other end by the view that women have barely begun to penetrate the "inner sanctum" of corporations, the central issue is the extent to which women have succeeded in cracking the proverbial "glass ceiling. " The glass ceiling is a metaphorical barrier which prevents women from attaining the upper-most organizational positions (e. g. , Karr, 1991; Morrison, White, Van Velsor, and the Center for Creative Leadership, 1992; Powell & Butterfield, 1994; U. S. Department of Labor, 1991).

There exist many forms of diversity that affect firm financial and accounting performance as well as organizational behavior of board members. Furthermore, director heterogeneity could have both positive and negative effects on corporate boards. Nowadays, gender diversity is becoming increasingly important in a financial and management context. In the interest of promoting gender diversity, many governments around the world have enacted legislation requiring that state-owned and public companies respect pre-established quotas of women on their board of directors. Other countries have opted for an informal system in which state-owned and public companies must justify the absence of women on the board of directors. Even though there is still room for improvement, firms are taking steps toward fostering more diverse corporate boards. I execute an empirical analysis that examines director heterogeneity's influence on the market value of U.S. firms. My results indicate that diversity's positive effects are primarily driven by age. In conclusion, it is fair to say that the outlook for diversity on corporate boards seems to be positive.
