Book excerpt: Corporate governance (CG) disclosure is a fundamental theme of the "modern" corporate-regulatory system, which encompasses providing "governance" information to the public in a variety of ways. This study explores the voluntary CG practices of 50 corporations, over and above the mandatory requirements of clause 49 of the listing agreement. In order to study the voluntary CG disclosure practices, a "content analysis" was done, and finally, a "CG disclosure" index was prepared. We have primarily used "secondary" sources of information, both from the "report on CG" and the "annual reports" for the financial year 2003-2004 and 2004-2005. As a part of voluntary CG disclosure, a total of 40 items have been selected from the CG section of the annual reports and proxy forms. In order to provide a comparison "across" industries, corporations have been selected from four industries, viz., software, textiles, sugar and paper. Appropriate statistical tools and techniques have been applied for the analysis. It has been observed that "corporations are following less than 50 percent of the items of CG disclosure index. Moreover, there is no significant difference among the disclosure scores across the four industries"

Book excerpt: This book aimed to identify the level of voluntary disclosure and the corporate governance attributes that would affect the level of voluntary disclosure in the annual financial reports of Jordanian banks listed in the Amman Stock Exchange (ASE) for the years 2007-2010. The corporate governance attributes include (i) the board of directors' size, (ii) the independence of the board, (iii) the separation between the position of chairman of the board of directors and CEO, (iv) the audit firm, (v) the profitability of the company and (vi) the concentration of the company's capital. Other attributes examined include: the size of the firm, the company's financial leverage and the number of branches. To measure voluntary disclosure, a disclosure index including 80 items was applied to the annual reports of (15) Jordanian banks listed in the ASE. A multiple regression model was employed and the results showed that, on average a bank disclosed 59.52% of the items included in the voluntary disclosure index. In addition, the results indicated that there was no relationship between voluntary disclosure and corporate governance which was measured by the above six mentioned variables.

Book excerpt: Using a sample of US biotech firms, this paper examines the joint impact of product-related voluntary disclosure and corporate governance on a firms' information environment, specifically on analysts forecast accuracy, dispersion, precision of public and private information. Moreover, we investigate whether voluntary disclosure was consistently disclosed over time. Our findings, shows that the quality of corporate governance affects information transparency and play a role in reducing the uncertainty associated with future firms' performance by increasing the precision of analysts' common information and forecast accuracy, only when voluntary disclosure is constant over time. Analysts forecast dispersion decreases when more independent directors sit on the board. Voluntary disclosure and corporate governance quality are two mechanisms that act as complement to improve the quality of information available to financial analysts.

Book excerpt: I extend prior corporate disclosure research by examining the association between six international environmental factors and the level of corporate voluntary disclosure practices using 100 Egyptian listed non-financial firms. The results of regression analysis indicate that the level of voluntary disclosures is positively and significantly associated with international socio-political institutions, international accounting standards, and international financial institutions. However, I find no significant association between the level of voluntary disclosures and global competition, the international stock market, and information technology and communication. Of the five control variables that I included in regression models, only the legal form associates significantly with the level of voluntary disclosure practices. The findings further our understanding of accounting practices in a developing country context. The subject organizations can use the findings of the study to improve their accounting disclosure systems. The Capital Market Authority in Egypt also can use the findings of the study to improve accounting disclosure regulations in Egypt.
