In both theory and practice, a team of senior managers ran the corporation with little or no interference from other stakeholders. Shareholders were essentially powerless and typically quiescent. Manifest considered that an independent study of disclosure practices and shareholder control mechanisms in directors' remuneration in Europe was necessary to assess the level of application of the Recommendation one year after its publication and two-thirds of the way through the 1.5 year initial implementation period set by the Commission.The study covers 15 of the EU member states: Austria, Belgium, Denmark, Finland, France, Germany, Greece, Ireland, Italy, Luxembourg, the Netherlands, Portugal, Spain, Sweden, and the United Kingdom. The extensive analysis of the regulatory environment and practices of the listed companies in the EU member states covered by our study has shown significant differences in the level of regulation the companies are subject to, the extent of disclosure provided by the companies, and the degree of shareholder control over directors' remuneration across Europe.The research has shown that, despite regulatory initiatives undertaken by some countries, many provisions of the Recommendation are still not supported in the legislation, listing requirements or best practice guidance of many EU member states. This, in turn, stipulates inadequate application of the provisions of the Recommendation by companies incorporated in these countries.In general, the analysis of the data has shown that the application of the recommendations is significantly better in the countries where they are enforced in a binding or semi-binding manner. The former refers to either mandatory legislation or the listing requirements, whereas the latter means a legal requirement or a provision of the listing rules obliging companies to comply - or explain the non-compliance - with the provisions of the designated code of best practice.
