Book The Role of Cornerstone and Strategic Investors in IPO Survival

Download or read book The Role of Cornerstone and Strategic Investors in IPO Survival written by Susanne Espenlaub and published by . This book was released on 2015 with total page 37 pages. Available in PDF, EPUB and Kindle. Book excerpt: We examine the impact of the allocation of initial public offerings (IPOs) to specific investor groups on post-IPO performance in terms of how long an IPO remains listed. We focus on the Hong Kong IPO market, where detailed data on share allocation are publicly available. In this context, we assess the roles of so-called cornerstone and strategic investors in IPOs, who agree with the issuers a specified investment in the IPO and enter into lock-up periods. We find that the presence, number and lock-up periods of strategic investors, and the prevalence of foreign strategic investors, significantly increase IPO survival (delay the time to delisting). By contrast, the impact of cornerstone investors is at best marginally significant. Our results are robust to using different measures of survival.

Book Cornerstone Investors

Download or read book Cornerstone Investors written by Philippe Espinasse and published by Hong Kong University Press. This book was released on 2018-01-04 with total page 257 pages. Available in PDF, EPUB and Kindle. Book excerpt: In this groundbreaking guide, former investment banker Philippe Espinasse explains the process of gathering cornerstone investors in connection with IPOs and other equity offerings. Using his trademark simple and jargon-free language, he details the targeting strategies, documentation, marketing, and allocation of shares and other securities to these reference shareholders, and analyses why and how they make or break today’s new listings across Asia’s key markets. This essential guide—and the first of its kind—contains key information on the legal framework for cornerstone investors in Hong Kong, Malaysia, and Singapore, and offers practical advice on how best to structure and conduct a cornerstone investor offering. It also discusses some of the more controversial issues associated with the practice of cornerstone investment and includes many real-life examples of cornerstone deals, sample documents, cornerstone investor profiles, an investor target list, and a comprehensive glossary. ‘There is no better person to shed light on the opaque world of cornerstone investing in Asian IPOs. Philippe Espinasse writes clearly, substantively, and expertly.’ —Jasper Moiseiwitsch, Asia companies and markets news editor, Financial Times ‘As engaging as it is informative. Espinasse has cut through legalese and jargon to create a pragmatic overview of this widely misunderstood, and distinctly Asian, investment banking concept. Packed with recent examples, this book doesn’t just teach you about cornerstones; it also provides an insider’s take of the region’s capital markets hubs.’ —Danielle Myles, capital markets editor, The Banker ‘Cornerstone investors have taken centre stage in Hong Kong’s IPO market. This book is needed now more than ever.’ —Matthew Thomas, Asia bureau chief, Euromoney Institutional Investor

Book The Quest for a Divided Welfare State

Download or read book The Quest for a Divided Welfare State written by John Lapidus and published by Springer Nature. This book was released on 2019-08-29 with total page 248 pages. Available in PDF, EPUB and Kindle. Book excerpt: This book deals with the quest for a divided welfare state in Sweden. The prime example is the rapid rise of private health insurance, which now constitutes a parallel system characterized by state subsidies for some and not for others. This functions as a kind of reverse means-testing, whereby primarily the upper classes get state support for new types of welfare consumption. Innovatively, Lapidus explains how such a parallel system requires not only direct and statutory state support but also indirect support, for example, from infrastructure built for the public health system. He goes on to examine how semi-private welfare funding is dependent on private provision and how the so-called 'hidden welfare state' gradually erodes the visible and former universal welfare state model, in direct contrast to its own stated goals. Who benefits from privatized welfare? How are the privatization of delivery and the privatization of funding linked? How does this impact public willingness to pay tax? All of these questions and more are discussed in this accessible volume.

Book IPO Survival and Institutional Investment

Download or read book IPO Survival and Institutional Investment written by Susanne Espenlaub and published by . This book was released on 2018 with total page 32 pages. Available in PDF, EPUB and Kindle. Book excerpt: This study examines the survival rates of initial public offerings (IPOs) listed on the Hong Kong stock exchange between 1990 and 2010 and tracked until the end of 2013. The results show that the average survival rates on the Hong Kong market are high compared to other developed markets and the lowest is 78 percent over five years post listing. Furthermore, we find that the IPO firms are exposed to low failure risks even during and after financial crises. Investigating the determinants of survival rates, we find that the proportions of shares allocated to institutional investors and investor demand at the time of listing, along with initial investors' retained ownership, significantly increase survival rates. In addition, the survival rates are high when the IPO is family controlled and investors have long term investment horizon.

Book Impact of Legal Institutions on IPO Survival

Download or read book Impact of Legal Institutions on IPO Survival written by Susanne Espenlaub and published by . This book was released on 2016 with total page 42 pages. Available in PDF, EPUB and Kindle. Book excerpt: Around the world, investors, practitioners, regulators and policy makers seek to understand whether, when and why recently listed stocks, initial public offerings (IPOs) are delisted rather than continue trading (survive). Using data on 7,627 IPOs issued during 2000-2008 across 32 countries, we explore the impact of the legal system on IPO survival. We find that IPOs in countries with better investor protections remain listed for longer. This suggests that better legal systems increase the net benefits companies derive from staying listed. We also provide evidence that better legal systems increase the effectiveness of IPO certification by venture capitalists, underwriters and auditors.

Book The Role of Corporate Governance in Determining IPO Survival

Download or read book The Role of Corporate Governance in Determining IPO Survival written by Garima Baluja and published by . This book was released on 2020 with total page pages. Available in PDF, EPUB and Kindle. Book excerpt: Corporate governance has long been recognized as one of the prominent factors that leads to the financial distress of a firm. Corporate governance simply refers to the way a corporate is governed, controlled and managed in an effective and transparent manner. Most of the studies have examined the association between corporate governance attributes with firm's performance as well as survival. However, it has been observed that if corporate governance attributes influence the performance as well as survival of the firm, this surely would have some link with the survival of Initial Public Offering (IPO) in the aftermarket. Considering this viewpoint, a few researchers have started exploring the linkage between corporate governance attributes and IPO survival across the world. The studies have taken several measures of corporate governance such as board size, board independence, ownership concentration and dual leadership structure, and found significant results for the same with IPO survival. However, there still persists a huge gap in this area as far as Indian IPO market is concerned. No study has explored the concept of IPO survival in the context of corporate governance in India. Hence, this paper attempts to reconnoiter the role of corporate governance in determining IPO survival and intensively reviews the existing literature on corporate governance and IPO survival.
