Book excerpt: Excerpt from The Law Quarterly Review, 1896, Vol. 12 Gifts to persons where a confidential relation exists are another instance of wholesale severity on the part of our law - a severity growing out of the a1m08t invincible jealousy, ' as Lord Eldon describes it, with which the law regards such gifts. The policy of the law apart, a gift by a grateful cestui que trust to his trustee is not only legitimate but laudable - why indeed is there not more of such gratitude going 'l - or a gift by a client to his solicitor who has seen him safely through the horrors of litigation or the worries of a family' quarrel. In nine cases out of ten no advantage is taken of the relation, no confidence abused. But honest men must suffer for the possible misdeeds of knaves, and however innocent the gift by a client to his solicitor may be the law disallows it, unless the client donor has had independent legal advice. If there is a hardship, the law confesses and avoids it by the simple but astounding paradox that everybody knows the law. Nobody does know it, not judges, nor barristers, nor solicitors, much less doctors and guardians and trustees and such like; but the theory covers a social necessity. The true reason of the rule is that if the law were relaxed, fraud in these confidential relationships would multiply most undesirably. Book excerpt: Excerpt from The Law Quarterly Review, 1885, Vol. 1 The existing law of England upon the subjects which I have at different times treated in this manner1 appears to me to be in the main thoroughly rational, and worthy of being thrown into a more satisfactory form, in order that its substance may be retained. The same remark might, I think, he made on many other parts of our law, and more particularly on those great branches of it which fall under the heads of the Law of Contracts and the Law of fi'rongs. The law of contracts, in particular, is in most of its departments admirably rational and equitable, though it exists in a form in which no one can understand it without the labour of years, which bears upon it in every direction traces of the gradual expansion of view and extension of old formulas to meet new facts which are so inter esting to the historical student, and so troublesome, not only to the legal practitioner, but also to his clients. I believe that it would be quite as possible to codify the law relating to contracts as to codify the criminal law, and I think that the advantages of such a code would be felt by every man of business in the country. In order to do so, however, it would be necessary in the first place to digest the existing law into one compact body, and it would be a great con venience, in carrying out such an undertaking, if certain parts of the law which are at ones most intricate and open to all sorts of objec tions could be repealed. If the Judges were retained always on the same circuits, different bodies of law and practice would be framed in difl'erent parts of the kingdom. If they changed their districts, each one, having his own method of proceeding in some points, would annually reverse the rulings of his predecessor throughout a great extent of country. But the first alternative would be almost impracticable on other grounds. The political bias of 9. Commissioner, becoming a matter of common notoriety, and made the subject of the exaggerations and mis-statements so eagerly circulated respect ing all topics connected with elections, would entirely deprive the public in his district of confidence in his decisions. Nor would the matter be much mended by their travelling different circuits in rotation, as each would bring to his new employ ment the character in public estimation which he had obtained upon his former one. The tendency of Mr. A.'s mind to wards a strict construction of the Act, the disposition of Mr. B. To relax it, Mr. O.'s high Conservative principles, and Mr. D.'a Whig partialities, would become matter of ordinary con versation, and any one who has attended our Courts of Revi sion will know how much this circumstance would tend to inflame the passions and resentments, the mistrust and sus picion, which are engendered in those scenes of political contest.
