Further, Corporate Governance’s historical origin is examined and the theoretical assumptions of the two contrasting approaches are described. A short insight is given to the Corporate Governance system in Germany to show that there are differences in national governance systems, especially between the Anglo-Saxon and the German one. For theoretical clarity, the terms innovativeness and entrepreneurship will be defined after. In chapter three, the main part of the paper, empirical findings between the relationship of Corporate Governance mechanisms and innovativeness are examined and the design of control and incentive systems is also discussed. A psychological model, which shows the effects of overemphasizing control or collaboration tensions to Corporate Governance, is then introduced. In the following chapter, the mediating role of culture to Corporate Governance is shown. Additionally, a model of a cultural type is presented, thus making the classification of an organization into four different culture types possible. Finally, my own contingency theoretical framework is constructed, which makes the application of the right theoretical approach to Corporate Governance dependent on the type of culture. The main findings of the paper are that Corporate Governance systems are correlated with innovativeness and that the stewardship approach to Corporate Governance is superior to the agency one in revealing innovativeness.

Book excerpt: This Article shows that innovation is a process that has specific characteristics, that these characteristics give rise to an important corporate governance tradeoff, and that complying with the Sarbanes-Oxley Act (SOX) likely impacts this tradeoff to the detriment of innovation. Innovation is a process that results in new goods, services, methods of production, and forms of business organization. Innovation can vastly improve the welfare of consumers, investors, firms, and the economy. Decentralization and an emphasis on strategic internal control are governance structures that facilitate innovation. The ultimate purpose of these structures is to induce managers to overcome myopia and undertake the types of long-term, risky, dynamic, and knowledge-intensive activities that result in innovation. Innovation-facilitating structures and activities may, however, also increase the ability of managers to benefit themselves at the expense of investors. Value-maximizing companies must therefore negotiate the tradeoffs between reducing myopia and preventing managerial opportunism. SOX requires all public companies to increase objective monitoring of managers by outsiders to reduce opportunism. However, a substantial portion of innovative companies likely maximize value by placing a greater emphasis on proximate monitoring by insiders than SOX permits. The law thus upsets the optimal governance balance in such companies and likely undermines their ability to provide the most value to investors and consumers.

Book excerpt: The traditional economics of innovation, inspired by Schumpeter and more recent advances on his work, seem unable to explain why firms with similar external conditions may show greatly different performance in innovation. Contrastingly, the literature on corporate governance provides some useful insights for understanding corporate innovation activity, to the extent that such literature examines the economic effects of different modes of coordination between firm members. The process through which individuals integrate their human and physical resources within the firm is central to the dynamics of corporate innovation. This paper provides the first survey of the literature on this issue. We start by discussing how various theoretical approaches to the analysis of the firm deal with technological innovation. We then describe three main channels - corporate ownership, corporate finance and labor - through which a system of corporate governance shapes a firm's innovation activity. Finally, we examine the relationship between country-level institutional settings, national patterns of corporate governance and the aggregate innovation activity of corporations. We conclude by suggesting that future research should focus more deeply on the interrelation between the various dimensions of corporate governance and on their joint effect on firm innovation.

Book excerpt: This book aims to disentangle the complex relationship between innovation and its potential determinants, paying special attention to the roles of governance and regulatory frameworks, and the ways in which the latter interact with other drivers of innovation such as competition and the innovators closeness to the technology frontier. The contributors provide theoretically grounded and empirically-rich findings indicating that governance and regulation affect innovation directly and indirectly through interaction with other drivers of innovation. The direct effects are positive in the case of governance quality and prescriptive regulations that set standards for compliance. However, the direct effects of corporate governance are not uniform and depend on the corporate governance dimension under investigation. The authors demonstrate that the direct effects are only part of the story. Both governance and regulatory standards interact with the level of competition and the distance to the technology frontier that may have complementary or offsetting effects. Overall, the findings in the book indicate that the relationship between innovation and its potential determinants is more complex and hence calls for more nuanced policy design compared to what is assumed in policy statements by national and international policy actors.
