Book A Treatise on the Doctrine of Ultra Vires

Download or read book A Treatise on the Doctrine of Ultra Vires written by Seward Brice and published by Forgotten Books. This book was released on 2017-10-31 with total page 1042 pages. Available in PDF, EPUB and Kindle. Book excerpt: Excerpt from A Treatise on the Doctrine of Ultra Vires: Being an Investigation of the Principles Which Limit the Capacities, Powers, and Liabilities of Corporations, and More Especially of Joint Stock Companies Corporations of all kinds, and notably joint-stock companies, fill a position in modern social economy of ever increasing weight and significance. 'the tendency in the United Kingdom, and still more in the Colonies and in the United States, is to incorporate every district as the ultimate limit of local government; while the conversion, by the simple process of registration under the Com panies Act, 1862, and similar statutes, of commercial concerns of every description into corporations, is proceeding with great rapidity. Litigation is necessarily incident to change; and the tendency to litigation is not lessened in the case of intangible companies by reason of the facts that the interests concerned are serious, the funds to supply the sinews of war are large, often enormous, and the risks are shared by a large community of members, and not by one only, or a few. Probably in at least one half of the disputes which come before the Courts where the stakes are worth litigating, companies are directly parties or indirectly affected. Consequently during the period that has elapsed since the last edition of this Book numerous decisions of extreme importance on the general law relating to corporations and companies, and specially on the subject of Ultra Vires, have been delivered. It cannot, however, he said that those branches and portions of the Law are in anything like a satisfactory state which deal with the powers and capacities, the rights and liabilities, of corporations generally, and particularly of joint-stock companies and their officials, members and creditors. Book The New Legal Order in Hong Kong

Download or read book The New Legal Order in Hong Kong written by Raymond Wacks and published by Hong Kong University Press. This book was released on 1999-11-01 with total page 710 pages. Available in PDF, EPUB and Kindle. Book excerpt: As Hong Kong enters its third year under Chinese rule, the prognosis for the common law remains uncertain. Can the improbable doctrine of 'one country, two systems' be made to work? Will the political controversies that continue to bedevil the territory undermine the rule of law and the integrity of the legal order? The 21 essays in this important new collection consider these, and many other, questions. The first part examines several problems that lie at the heart of the Basic Law's promise of legal continuity. Hong Kong's economic order and its legal buttresses are analysed in Part 2, while the essays in Part 3 trace the shifts in social values as reflected both in Chinese and Hong Kong law. Though they embrace a wide area, the contributions to this volume suggest that, while many problems lie ahead, Hong Kong's law and legal system seem adequately entrenched to endure well into the future. Raymond Wacks is Professor of Law and Legal Theory at the University of Hong Kong. He is an international authority on the legal protection of privacy, and has also published widely in the field of legal theory. Professor Wacks has edited several books on Hong Kong law and human rights. His recent books include Privacy and Press Freedom (1995). The fifth edition of his text, Jurisprudence will appear in early 2000. “(B)y far the most comprehensive study of the post-1997 legal order I have come across, covering nearly all the subjects which the Basic Law touches upon... (I)t contains much insightful analysis of the historical development and future issues surrounding each topic... A very valuable contribution to scholarship... Far more importantly, there is no collection that comes close to such an array of good analysis on so many topics.” — Anthony Neoh, SC, Visiting Professor, Peking University

Book The Foundations of Anglo American Corporate Fiduciary Law

Download or read book The Foundations of Anglo American Corporate Fiduciary Law written by David Kershaw and published by Cambridge University Press. This book was released on 2018-08-23 with total page 549 pages. Available in PDF, EPUB and Kindle. Book excerpt: This book explores the foundations and evolution of modern corporate fiduciary law in the United States and the United Kingdom. Today US and UK fiduciary law provide very different approaches to the regulation of directorial behaviour. However, as the book shows, the law in both jurisdictions borrowed from the same sources in eighteenth- and nineteenth-century English fiduciary and commercial law. The book identifies the shared legal foundations and authorities and explores the drivers of corporate fiduciary law's contemporary divergence. In so doing it challenges the prevailing accounts of corporate legal change and stability in the US and the UK.

Book The Role of Board Oversight in Central Bank Governance Key Legal Design Issues

Download or read book The Role of Board Oversight in Central Bank Governance Key Legal Design Issues written by Wouter Bossu and published by International Monetary Fund. This book was released on 2019-12-27 with total page 71 pages. Available in PDF, EPUB and Kindle. Book excerpt: This paper discusses key legal issues in the design of Board Oversight in central banks. Central banks are complex and sophisticated organizations that are challenging to manage. While most economic literature focuses on decision-making in the context of monetary policy formulation, this paper focuses on the Board oversight of central banks—a central feature of sound governance. This form of oversight is the decision-making responsibility through which an internal body of the central bank—the Oversight Board—ensures that the central bank is well-managed. First, the paper will contextualize the role of Board oversight into the broader legal structure for central bank governance by considering this form of oversight as one of the core decision-making responsibilities of central banks. Secondly, the paper will focus on a number of important legal design issues for Board Oversight, by contrasting the current practices of the IMF membership’s 174 central banks with staff’s advisory practice developed over the past 50 years.

Book excerpt: "The ongoing COVID-19 pandemic marks the most significant, singular global disruption since World War II, with health, economic, political, and security implications that will ripple for years to come." -Global Trends 2040 (2021) Global Trends 2040-A More Contested World (2021), released by the US National Intelligence Council, is the latest report in its series of reports starting in 1997 about megatrends and the world's future. This report, strongly influenced by the COVID-19 pandemic, paints a bleak picture of the future and describes a contested, fragmented and turbulent world. It specifically discusses the four main trends that will shape tomorrow's world: - Demographics-by 2040, 1.4 billion people will be added mostly in Africa and South Asia. - Economics-increased government debt and concentrated economic power will escalate problems for the poor and middleclass. - Climate-a hotter world will increase water, food, and health insecurity. - Technology-the emergence of new technologies could both solve and cause problems for human life. Students of trends, policymakers, entrepreneurs, academics, journalists and anyone eager for a glimpse into the next decades, will find this report, with colored graphs, essential reading.
