Book The International Handbook of Social Enterprise Law

Download or read book The International Handbook of Social Enterprise Law written by Henry Peter and published by Springer Nature. This book was released on 2022-12-29 with total page 949 pages. Available in PDF, EPUB and Kindle. Book excerpt: This open-access book brings together international experts who shed new light on the status of social enterprises, benefit corporations and other purpose-driven companies. The respective chapters take a multidisciplinary approach (combining law, philosophy, history, sociology and economics) and provide valuable insights on fostering social entrepreneurship and advancing the common good. In recent years, we have witnessed a significant shift of how business activities are conducted, mainly through the rise of social enterprises. In an effort to target social problems at their roots, social entrepreneurs create organizations that bring transformative social changes by considering, among others, ethical, social, and environmental factors. A variety of social enterprise models are emerging internationally and are proving their vitality and importance. But what does the term “social enterprise” mean? What are its roots? And how does it work in practice within the legal framework of any country? This handbook attempts to answer these questions from a theoretical, historical, and comparative perspective, bringing together 44 contributions written by 71 expert researchers and practitioners in this field. The first part provides an overview of the social enterprise movement, its evolution, and the different forms entities can take to meet global challenges, overcoming the limits of what governments and states can do. The second part focuses on the emergence of benefit corporations and the growing importance of sustainability and societal values, while also analyzing their different legal forms and adaptation to their regulatory environment. In turn, the last part presents the status quo of purpose-driven companies in 36 developed and emerging economies worldwide. This handbook offers food for thought and guidance for everyone interested in this field. It will benefit practitioners and decision-makers involved in social and community organizations, as well as in international development and, more generally speaking, social sciences and economics.

Book Underdevelopment and the Development of Law

Download or read book Underdevelopment and the Development of Law written by Robert C. Means and published by UNC Press Books. This book was released on 2016-08-01 with total page 524 pages. Available in PDF, EPUB and Kindle. Book excerpt: Means provides the first major study of both the historical development of private law in a Latin American country and the shifting role of business corporations or share companies in Latin American development. He shows that Colombia's corporate law provisions for commercial codes held only a tenuous relationship to reality and that, even today, Colombia's commercial development continues to be affected by a paucity of legal scholars, case reports, and legal journals.

Download or read book What Is in a Rim written by Arif Dirlik and published by Rowman & Littlefield Publishers. This book was released on 1998-03-05 with total page 391 pages. Available in PDF, EPUB and Kindle. Book excerpt: This pathbreaking, multidisciplinary work challenges our unthinking acceptance of such terms as 'Asia Pacific' and 'Pacific Rim.' Clarifying the hidden power relationships and hegemonic struggles that are disguised by ideological constructions of the region, the contributors uncover fundamental contradictions_including the human costs and consequences_that underlie the much-celebrated economic boom. In evaluating the idea of 'Asia Pacific,' the book shifts our focus from abstract relationships between capital and commodities to the human interactions that have played a formative part in the region's constitution. The contributors agree that it is these interactions that constitute the region, rather than the physical boundaries of the Pacific. This revised and updated edition brings in additional essays focusing on conceptualizations of the Pacific, considers more fully interactions among countries, and strongly emphasizes peoples within the Pacific, who are routinely ignored in most discussions of the 'Rim.'

The expert country-by-country contributors explain each jurisdiction’s approach to the critical areas of concern in transactional tax planning, addressing among other issues: entity classification; taxable transactions; tax-free transactions (both domestic and cross-border); loss and other tax attribute planning; intellectual property transactions; compensation arrangements; acquisition financing; joint ventures; transfer pricing; VAT; and tax treaty usage. Available in PDF, EPUB and Kindle. Book excerpt: In two of the most fateful months of Mexican history, the delegates to the Constitutional Convention of 1916–1917 came to grips with the basic problem of twentieth-century Mexico. They hammered out pragmatic solutions to establish the legal foundations of the Mexican Revolution, the definitive break between the old Mexico and the new, the constitutional bases for the socioeconomic changes from 1917 onward. Honored and obeyed, dishonored and disobeyed, many times amended, the constitution they wrote still serves as the instrument for achieving the national purpose. Revolution at Querétaro is the first book in English to study in depth the remarkable convention that produced the Constitution of 1917. It chronicles the unfolding of ideas expressed in the debates on the most significant articles of the constitution, those that have given it a revolutionary flavor and have served the groundwork for the emergence of Mexico as a modern nation. These articles concern the Catholic church and its role in the sphere of education (Article 3); the relationship of the church to the state (Articles 24 and 130); the attack on vested interest and the establishment of guidelines for agrarian reform (Article 27); the drafting of a detailed labor code (Article 123); and attempts to implement municipal reform (Article 114). Other debates described in the book concern unsuccessful attempts to institute prohibition, outlaw bullfights, abolish capital punishment, and grant suffrage to women. This study also sheds light on the delegates themselves, who they were and where they came from, their idiosyncrasies and attitudes, and their individual contributions to the writing of the constitution. Much material is taken from unpublished albums in which the delegates recorded their sentiments during the convention.

About the book: Tax Planning for International Mergers, Acquisitions, Joint Ventures and Restructurings is a practical overview of key tax aspects of international transactions that have general applications, followed by twenty detailed country profiles. Transactional tax planning always is of critical importance to sound deal making. Whether the transaction be strategic or opportunistic, transformational or conventional expansion, third party or internal value-enhancing restructuring, it is crucial for management and counsel to develop a working knowledge of the salient features of the relevant tax law in a broad range of global jurisdictions. This book, now in its fifth edition, distils knowledge of the tax aspects involved in such transactions across international borders. What’s in this book: This book considers each jurisdiction’s handling of areas of concern in international tax planning such as: – entity classification; – structuring taxable transactions; – structuring tax-free transactions (both in domestic and cross-border transactions); – loss planning; – IP planning; – compensation arrangements; – acquisition financing; – joint venture planning; – value added tax issues; and – tax treaty usage. The experts in each country suggest solutions designed to maximize effective tax planning and satisfy compliance obligations. How this will help you: This user-friendly work assists in planning and evaluating strategies for transactions, both nationally and internationally, in single and multiple jurisdictions, as well as in implementing them. This book further allows an easy comparison of key tax aspects in major jurisdictions, thereby providing not only an easy understanding of the key structuring points in context but also critical issue-spotting as well as highlighting potential value-enhancing strategies.
