Book excerpt: A large literature in strategy and management has focused on why firms self-regulate and "signal green." We show this decision becomes more complex when regulators have enforcement discretion, and both firms and regulators act strategically. We model the managerial decision whether to signal the firm's type through substantial self-regulation, or whether to stay in step with the rest of the industry through modest levels of self-regulation. Self-regulation is a double-edged sword: it can potentially preempt legislation, but it can also lead regulators to demand higher levels of compliance from greener firms if preemption fails. We show how self-regulatory decisions depend upon industry characteristics and political responsiveness to corporate environmental leadership.

Book excerpt: Deciding whether to regulate involves more than making a choice between complete freedom and total control. Individuals and businesses can be regulated but still retain considerable discretion - even to the point of selecting on their own the rules that apply to themselves. In this paper, we focus on this latter kind of regulation, specifically assessing self-regulation as well as what some have called meta-regulation. We begin by conceptually situating these options within a larger regulatory taxonomy, characterizing self-regulation by the unity between the regulator and the regulated entity and defining meta-regulation as those ways that outside regulators seek to induce regulated entities to develop their own self-regulatory responses. Both of these regulatory approaches afford significant discretion to the targets of regulation and as such they may not always seem appropriate, especially if businesses cannot be expected to use their discretion in ways that maximize the public's overall welfare. To consider the effectiveness of these regulatory alternatives, we present two cases of self-regulation (Responsible Care and the Institute of Nuclear Power Operations) and two cases of meta-regulation (Toxic Use Reduction Act and 33/50). The available evidence on these and other cases indicates that self-regulation and meta-regulation can sometimes achieve regulatory goals, but that their effectiveness can depend upon other, non-regulatory incentives and external pressures that bear down upon businesses. We conclude by suggesting that meta-regulation and self-regulation may be most appropriate when the government lacks ready access to information about regulatory problems and their possible solutions, precisely the kinds of complex circumstances where more conventional forms of regulation face their greatest challenges.

Book excerpt: A comparative analysis of the existing model of financial market regulation and the model put forth by the Bank of Russia within the framework of the Draft Federal Law 'On Self-Regulating Organizations in the Field of Financial Markets' indicates that the Bank of Russia is creating a new system of regulating the activity of self-regulating organizations operating in Russia's financial markets, which significantly increases the powers of the state regulator. According to the Draft Law, the state regulator is to become free to unilaterally determine the scope of its own participation in the regulatory process. The unfettered discretion given to the state regulator may significantly undermine the interests of self-regulating organizations and their members, because the Draft Law fails to put forth any formal guarantees that the Bank of Russia should indeed permit such organizations to adequately participate in the process of setting standards and guidelines, or in monitoring the compliance therewith.

Many regulators and exchanges believe that conflicts of interest increase when exchanges convert to for-profit businesses. Demutualization also changes the nature of an exchange's regulatory role as broker-dealers' ownership interests are reduced. These factors are leading to reduced regulatory roles for exchanges in many jurisdictions. The resulting changes have significant implications for regulation of financial markets, especially as exchanges are the only self-regulating organizations (SROs) in most countries. Major changes in the role of exchanges require a rethinking of the allocation of regulatory functions and the role of self-regulation, as well as stronger mechanisms to mitigate conflicts of interest. Carson looks at the views of both exchanges and regulators on these issues in Asian, European, and North American jurisdictions where major exchanges have converted to for-profit businesses. He finds that views on the conflicts of interest faced by demutualized exchanges vary widely. In addition, the tools and processes used by exchanges and regulators to manage conflicts also differ significantly across jurisdictions. The author concludes that new and greater conflicts result from demutualization and canvasses the regulatory responses in the jurisdictions examined.
