Shaver to vote as proxy for Col. C. F. Fisher. Upon motion of W. F. McKesson, Mr. Shaver was allowed, upon the unanimous voice of the meeting, to vote the stock of Mr. Fisher. Upon motion, the stockholders proceeded to the election of directors, and the chair appointed C. A, Carlton, J. J. Bru-ucr and R. C. Pearson to superintend the ballots. Mr. Shaver nominated for director, Anderson Ellis; W. P. Caldwell nominated R. A. Caldwell; Jas. E. Kerr nominated Otho Gillespie; C. S. Sumner nominated 0. G. Foard; nominated T. A. Allcin; R. C. Pearson nominated T, G. Walton. Directors elected-0. Gillespie, J. Cline, A. Ellis and R. A. Caldwell. W. F. McKesson and Dr. John McDowell were appointed a committee to verify proxies at the next annual meeting at Morganton. Also, moved and adopted, that the old Finance Committee be continued. Moved by Maj. Kerr, that 300 copies of the proceedings of the meeting be printed for the use of stockholders. Adopted. On motion of R. C. Pearson, the thanks of this meeting were tendered to the Chairman and Secretaries for the able and dignified manner in which they discharged their duties. Erwin, Esq., on behalf of the Committee on Proxies, reported, that 141 Stockholders holding 1138 shares of stock were represented by Proxies, and 69 Stock holders holding 3181 shares were personally in attendance, which report was received and adopted; and it appearing from said Report that the requisite number of Stockholders, holding a majority of the stock subscribed by individuals, were present in person and by proxy, the Chairman declared the meeting duly organized and ready for the transaction of busi ness.
