M. Campbell, of Iredell, E. J. Erwin of Burke, was called to the Chair, and John A. Roseboro' and T. S. Low, of Catawba, were appointed Secretaries. On motion of W. W. Avery of Burke, a. Committee was ap pointed to verify proxies and report on the amount of stock represented in this meeting, in person and by proxy. Where upon, the Chair appointed Henderson Sherrill, E. M. Camp bell and A. K. Simonton, together with the Secretary of the Company, said Committe. Who, thereupon, reported that there were 3333 shares of stock duly represented. 94: stock holders representing 17 23 shares in person, and 1610 by prox ies, which report was accepted. On motion of James Sloan, the meeting was temporarily organized by calling William Murdoch to the Chair, and requesting C. M. Crump and S. H. Wiley to act as Secretaries. The Committee on proxies reported as follows: The number of stockholders represented in person 28; by proxy 269; whole number of shares owned by individuals, 10,000; whole number of shares represented in person by proxy, 7,772. In appearing that a majority of the individual stock was represented by the requisite number of stockholders, either in person or by proxy, On motion of G. W. Welker, the organization was made permanent. The President announced the meeting duly organized and ready to proceed to business. G. W. Welker presented his credentials as State Proxy, which were read and received. The President of the Company, Wm. A. Smith, read his report. On motion of Gov. Graham the President's report for last year was read, no meeting of the stockholders having been held for last year. On motion of J. L. Morehead the reading of the other reports was dispensed with, and On motion of the same, a Committee of five was appointed to whom the reports were referred. Giles Mebane, W. R. Holt and J. R. McLean for the Committee, who retired to discharge the duty - whereupon, On montion, the meeting adjourned until 3 o'clock, P. M., to give the Committee time to enquire and make up their Report. 3 O'clock, P. M. The Chairman called the meeting to order. The Committee then reported through their Chairman, Dr. Holt, that having examined the list of Stockholders present, and the proxies handed in - they found that 7,145 shares of stock were duly represented - 91 Stockholders representing in person, and 271 by proxies - which Report was accepted. Upon the call of the Chairman, Charles F. Fisher, President of the Company, presented and read the Annual Report of the Board of Directors. After the reading of this Report - it was Resolved, on motion, That so much of the Report as proposes the authorization on the part of the Stockholders of a loan of three hundred and fifty thousand dollars, by the issue of Company Coupon Bonds in that amount, and the purchase of 100 slaves, be referred to a Committe of five, to be appointed by the Chairman.
