Book excerpt: Excerpt from Railroad Reorganization I'r sometimes happens that experiences long since past seem to be repeated, and that knowledge apparently forgotten proves again of service. This is illustrated by the subject of railroad reorganization. In the years between 1893 and 1899 an imposing group of American railroads passed into receivers' bands. In 189 3 alone more than miles, with an aggregate capitalization of almost 000, were taken over by the courts, and in the following years the amount was largely increased. Foreclosure sales aggregated miles in 1895, in 1896, and between 1894 and 1898. Among the more important failures were those of the Richmond West Point Terminal, the Reading, the Erie, the Northern Pacific, the Atchison, and the Baltimore 8: Ohio to say nothing of the Norfolk Western, the Louisville, New Albany Chicago, the Ann Arbor, the Seattle, Lake. Shore Eastern, the Pecos Valley, and many other smaller lines. The railroads which failed between 1893 and 1898 were subse quently reorganized. In order to restore the equilibrium between income and outgo the companies turned to their creditors, and de mended the surrender of a part of the rights of which bondholders were then possessed. This demand the creditors were forced to concede. Some of them yielded without legal compulsion, assenting to voluntary reorganizations; some insisted upon the sale of the property securing their loans, but without escaping the loss which fell upon their more pliant associates. Much injustice to individuals came to light at this time. Men who had invested in good faith were obliged to sacrifice their holdings through no fault of their own. The savings of years were swept away. The demand of the rail roads was one, nevertheless, which the courts supported, and rightly. The companies could not be operated unless the creditors were deprived of part of their legal rights. At the same time, these rights no longer had a material basis on which to rest, and their surrender meant but the recognition of a loss which had already taken place. These terms and their respective meanings, except where a different meaning is plainly indicated by the context, are the following: The "Old Company" refers to the existing San Francisco-Oakland Terminal Railways, and its allied and subsidiary companies. The term "Operating Company" refers to a proposed new corporation to be organized under the laws of the State of California for the purpose of owning and operating the properties now owned by San Francisco-Oakland Terminal Railways and its subsidiary and allied corporations. In the discretion of the Reorganization Committee, one or more corporations may be organized for this purpose, as may seem most advantageous, and the term "Operating Company" is to be understood to include whatever corporation or corporations may be employed for the purpose stated in accordance with the final determination of the Reorganization Committee. The term "Reorganization Committee" refers to the committee constituted by the agreement of December 1, 1919, as the same may be constituted at the time referred to. The term "Deposit Agreement" refers to the last mentioned agreement of December 1, 1919. The term "Reorganization Plan" refers to this plan of reorganization. The term "Depositaries: refers to the depositaries that shall be acting under the said agreement of December 1, 1919, at the time referred to. The term "Depositors" refers to holders at the time referred to of certificates of deposit issued under and pursuant to the provisions of said agreement of December 1, 1919, and shall be construed to include not only persons acting in their own right, but also trustees, guardians, committees, agents and/or persons acting in a representative or fiduciary capacity and those represented by or claiming under them and partnerships, associations and corporations as well as individuals. The term "Deposited Bonds" refers to all bonds that shall at the time referred to have been deposited under the said Agreement of December 1, 1919, and be subject to this Plan. The Reorganization Committee. Inasmuch as the Reorganization Committee represents a large majority of the securities of the "Old Company," that committee is to be continued with its present membership as the Committee which will be charged with the supervision and direction of the proceedings for the execution of the Plan and Agreement, and with the powers set forth in the said Agreement of December 1, 1919, and in this Plan. Bonds. Of these bonds, guar anteed as to principal and interest bv The Baltimore and Ohio Railroad Company, and unguaranteed, are in the hands of the public, the remaining being held by The Bal timore and Ohio Railroad Company as collateral for purchase money notes and other obligations of The Cincinnati, Hamilton and Dayton Railway Company aggregating The latter company also executed a General Mortgage, dated July 1, 1909, under which there have been issued of bonds, all of which are outstanding. Owing to a series of unusual and unforeseen circumstances, The Cincinnati, Hamilton and Dayton Railway Company was unable to meet its various obligations and on July 2, 1914, the property was placed in the hands of receivers. Since that time there have been protracted negoti ations, looking towards reorganization, with holders of certain of the Company's securities and with The Baltimore and Ohio Railroad Company, which has so large an interest in the property by reason of its position as holder or guarantor of a large part of the securities above mentioned. Certain branch lines, mortgaged to secure branch line bonds which remained undisturbed in the readjustment of 1909 but the interest on which was not earned in the present receivership, have already been sold on foreclosure and a similar result with respect of other branch lines may be expected. The important portion of the property is the main line between Cincinnati and Toledo and certain main line branches hereinafter described, and it is important that a Plan of Reorganization embracing these lines be promptly undertaken.
