La première a eu pour objet la nationalisation d'entreprises privées et a connu trois principales vagues en 1936, 1945-1946 et 1982 . La seconde, initiée formellement depuis 1986, a pour objectif la banalisation du statut des entreprises publiques, l'ouverture de leur capital et leur cession totale ou partielle . En réalité, et au-delà de ces évolutions, la physionomie du secteur public reflète la poursuite de stratégie continue, élaborée par l'Etat et matérialisée par les relations financières qu'il entretient avec ses entreprises . Visant à satisfaire l'intérêt général et sutout invariablement l'intérêt financier de la puissance publique, ces rapports financiers sont organisés non seulement en vue d'acquérir et de gérer les entreprises publiques au monidre coût, mais aussi à fin de faire bénéficier le budget de l'Etat du produit des cessions réalisées . La stratégie de l'Etat dévoilée, la question d'un droit des relations financières Etat-entreprises publiques impose alors l'étude du régime juridique appliqué en l'espèce . Influencé par le droit communautaire et inscrit dans un contexte de régulation croissante, le cadre juridique de ces rapports demeure invariablement fixé par l'Etat . L'apparition de principes directeurs tels que la transparence et la sincérité et les tentatives de transfert du centre de production normative, ne constituent donc que les premiers signes de la mutation de l'encadrement juridique analysé . Devant proposé à terme un cadre beaucoup en adéquation avec l'intérêt recherché, le droit des relations financières Etat-entreprises publiques doit, de surcroît respecter une certaine orthodoxie dans la mise en œuvre de ces rapports . En vue de rentabiliser le financement des entreprises publiques, l'Etat recourt ainsi à des techniques de droit commun parfois externalisées, et qui provent à la fois son attirance pour les procédés du secteur privé et l'influence de la nature de sa stratégie . Néanmoins leur relative efficacité et la résurgence critiquée d'éléments exorbitants du droit commun, notamment dans les procédures de cessions, montrent la difficulté pour l'Etat de se départir totalement en la matière de sa qualité de personne publique . Caractérisé actuellement par un régime juridique empirique et qui emprunte inégalement et opportunément aux autres branches du droit leurs procédés, le droit des relations financières Etat-entreprises publiques ne semble pas proposer en définitive une cohérence telle qu'elle permette de l'élever au rang de droit autonome . Il est un droit fonctionnel, utilitariste, et uniquement construit en vue de satisfaire l'intérêt financier de l'Etat .

The activities of these instrumentalities raise many issues, two of which have given rise to significant recent developments both in arbitral and domestic case law. The first is whether and under what conditions a State may be held liable for the conduct of such instrumentalities on the basis of an investment treaty. This issue will be the subject of a systematic survey of ICSID and ICC case law and that of other arbitral tribunals so as to identify the circumstances in which such liability may arise. The second issue, which is addressed by State courts, is whether and under what conditions State instrumentalities that have a separate and autonomous legal personality may be held liable for the pecuniary obligations of the State. A comparative law study focusing in particular on solutions found in French, English and U.S. law will provide answers to the question as to whether an award holding a State liable may be enforced against the assets of instrumentalities of that State, where such instrumentalities are prima facie separate juridical persons.
