Book Punctilios and Nonprofit Corporate Governance A Comprehensive Look at Nonprofit Directors Fiduciary Duties

Download or read book Punctilios and Nonprofit Corporate Governance A Comprehensive Look at Nonprofit Directors Fiduciary Duties written by Thomas Lee Hazen and published by . This book was released on 2020 with total page 0 pages. Available in PDF, EPUB and Kindle. Book excerpt: The law on nonprofit directors' obligations is sparse and fragmented. Most of the discussion over the years is lore rather than law based on commentators' suggestions for best practices. This article attempts a comprehensive and systematic analysis of the law relating to nonprofit directors' obligations. On the one hand, there is a basis for suggesting that since nonprofits implicate public trust issues, nonprofit directors should be held to standards higher than those imposed on for-profit directors. On the other hand, in order to attract people to serve on nonprofit boards, states generally offer more insulation from director liability than is found in the for-profit world. How can this apparent contradiction be reconciled? Perhaps the solution lies in recognizing that truly altruistic motivations for serving on nonprofit boards will result in directors having their own internal incentive to do the right thing and put in the time and effort necessary for effective nonprofit monitoring. To the extent that it is too Pollyannaish to expect the best from people, this article explores nonprofit directors' responsibilities and how they relate to the law limiting directors' accountability.

Book Nonprofit Governance

Download or read book Nonprofit Governance written by Bruce R. Hopkins and published by John Wiley & Sons. This book was released on 2009-04-22 with total page 288 pages. Available in PDF, EPUB and Kindle. Book excerpt: Nonprofit Governance Law, Practices & Trends Governance seems to be the subject that is perched atop every nonprofit lawyer's worry/wish list, despite the fact that there is not much law on the point, particularly at the federal level. This ascension in importance is largely due to the various organizations propounding best practices and principles for public charities and other forms of nonprofit organizations, the IRS's redesigned Form 990, the agency's aggressive push of certain good governance principles in the tax-exempt organizations' setting, and scandals brought to light by the Senate Finance Committee staff. Stemming from the authors' endless hours of meditating over the new Form 990 and sifting through the many (and often inconsistent) best practices principles, Nonprofit Governance fills the need for some cohesion in the realm of nonprofit governance by providing in-depth coverage and explanations of the laws, practices, and trends in this volatile area. An invaluable resource for nonprofit executives, officers, directors, nonprofit lawyers, accountants, members of boards of directors, and consultants, legal experts Bruce R. Hopkins and Virginia Gross's Nonprofit Governance brims with detailed documentation and references to regulations, rulings, cases, and tax literature (which includes current articles and tax law review notes). Here, readers will find a wealth of clarifying information on: Federal and state law fundamentals Board member responsibilities and liability Nonprofit governance principles Nonprofit governance issues Application of the private benefit doctrine Governance and the redesigned Form 990 Recommended polices and procedures Governance case studies Governance legal audit A law primer for nonprofit board members And much more The book includes an exhaustive index, Internal Revenue Code citations and numerous case studies, tips, forms, and checklists to round out the authoritative coverage. Nonprofit Governance is an indispensable guide to, and through, all of the governance policymaking that is unfolding, to improve the management of nonprofit organizations as well as to help organizations be in compliance with nonprofit governance law.

Book Resisting the Corporatization of Nonprofit Governance

Download or read book Resisting the Corporatization of Nonprofit Governance written by Linda Sugin and published by . This book was released on 2007 with total page 0 pages. Available in PDF, EPUB and Kindle. Book excerpt: This paper is part of a symposium on "Nonprofit Organizations, Economic Challenges and the Future of Charities." The law of nonprofit governance is moving toward a more corporate model of accountability and borrowing from the law of business organizations. While applauding some of these developments, this essay expresses concern over the creeping corporatization of the law of charities, and argues that nonprofit corporations differ from business corporations in ways that the law must recognize. The market incentives that control business behavior are absent in nonprofit organizations, so regulatory mechanisms must act as substitutes. Nonprofit organizations, and charities in particular, are public/private organizations, so there must be greater government interest in their oversight than there is for purely private businesses. Individuals in charge of nonprofit corporations share the fiduciary duties of care, loyalty, and good faith with their corporate counterparts, and some scholars have argued that these duties are sufficient. A unique duty for nonprofit directors - the duty of obedience - has fallen out of favor. This essay argues that obedience has been the stepchild fiduciary duty because it may be too rigid to be reconciled with contemporary notions of board discretion and the nonprofit corollary of the business judgment rule. Nevertheless, this paper advocates a reinvigorated and redefined duty to charitable mission, which it calls "fidelity." It argues that the corporate duties are insufficient to reach the substantive obligation that nonprofit directors should have to pursue charitable goals. Fidelity creates a legal norm explicitly connected to charitable mission that also accommodates considerable flexibility and discretion for nonprofit boards. The essay argues that an obligation of fidelity is necessary to distinguish nonprofit directors from business directors, signals the importance of charitable mission for nonprofit organizations, distinguishes charities from social-entrepreneurial businesses, and requires subordination of non-charitable goals.

Book Nonprofit Governance

Download or read book Nonprofit Governance written by Chris Cornforth and published by Routledge. This book was released on 2013-07-04 with total page 348 pages. Available in PDF, EPUB and Kindle. Book excerpt: The current fashion for rolling back the state has seen the nonprofit or third sector playing an increasing role in what were previously the heartlands of the public sphere. The growing significance of the sector and its increasing reliance on public funds mean it has also attracted increased scrutiny. From outside the sector concerns have been raised about the accountability and performance of nonprofit organizations. From within the sector there has been considerable debate about whether the increased reliance on government contracts is in danger of undermining the sector’s independence. As a result the spotlight has fallen on governance arrangements and whether they are adequate to ensure that nonprofit organizations are effective and accountable for their actions, and able to retain their independence. This collection offers a comprehensive assessment of research on the governance of nonprofit organizations. Nonprofit governance research has been dominated by the study of boards of unitary organizations and has paid insufficient attention to the multi-level nature of governance, governance relationships and dynamics, and the contribution of actors other than board members, to governance processes. Drawing on the research of leading scholars in the US, UK, Canada and Australia, this book presents new perspectives on non-profit governance, which help to overcome these weaknesses. Written in an accessible manner the book will be of value to scholars, researchers, students, reflective practitioners and governance consultants and advisers.
