Download or read book Corporate Business Responsibility written by Justin O'Brien and published by Taylor & Francis. This book was released on 2017-03-02 with total page 567 pages. Available in PDF, EPUB and Kindle. Book excerpt: The 2008/9 crisis in global commercial debt markets exposed glaring deficiencies in corporate and regulatory operational and strategic risk management systems. This collection provides an overview of how narrow conceptions of responsibility in corporate law, organizational practice and regulatory dynamics facilitated the crisis. The first section revisits the debates about the role of the corporation prompted by the publication of The Modern Corporation and Private Property (1932). The second section explores why the conception of enlightened shareholder interest gained and retained potency despite demonstrable failure. The third section explores how the interaction between the foundational assumptions of corporate law and the (questionable) efficacy of shareholder control framed regulatory responses to the growth of financial capitalism. The fourth section examines ways in which excess can be restrained by the interaction between hard law, softer governance arrangements such as principles and, crucially, norms.

Download or read book Regulatory Reform in the Netherlands written by Organisation for Economic Co-operation and Development and published by OECD Publishing. This book was released on with total page 276 pages. Available in PDF, EPUB and Kindle. Book excerpt: The Dutch experience in regulatory reform has vital lessons about the modernisation of the European welfare state and its integration into the European single market. Regulatory reform is the most recent element in the reshaping of the Dutch model. Following reforms to labour markets and the social welfare system in the 1980s, Dutch governments in the 1990s have sought a "new balance between protection and dynamism" based on competition policy, regulatory reform, and market openness. Today, the Netherlands ranks among the top OECD countries by many measures of economic performance, including employment growth. Though still in its early phases, regulatory reform has already produced major gains for the Netherlands in terms of competitiveness, flexibility, and consumer benefits. Yet major challenges are still to be faced. Some important reforms have been slow, indicating that the balance between domestic consensus-building and policy responsiveness is still being adjusted in the modern Dutch model. Further reforms in many areas will bring important gains in boosting the employment rate, improving sectoral performance, and providing social protection at lower cost. The Netherlands is one of the first OECD countries to request a broad review by the OECD of its national regulatory practices and domestic regulatory reforms. This report -- the result of intensive assessment by the OECD and review by its Member countries -- is unique in that it presents an integrated assessment of regulatory reform in framework areas such as the macroeconomic context, the quality of the public sector, competition policy and enforcement, and integration of market openness principles in regulatory processes, and in sectors such as electricity and telecommunications. The policy recommendations present a balanced plan of action for both short and longer-term based on best international regulatory practices.

Download or read book Challenges of Global Business Authority The written by Tony Porter and published by SUNY Press. This book was released on 2011-01-02 with total page 339 pages. Available in PDF, EPUB and Kindle. Book excerpt: Business is being globalized with an immense speed, but are democratic practices and decision-making structures keeping pace? Contrary to those who see democracy as irrelevant or impossible at the global level, The Challenges of Global Business Authority analyzes three dimensions of democracy- participation, accountability, and transparency-in many transnational mechanisms that seek to align global business interests with the public interest. Looking beyond these mechanisms, this volume seeks to explore the fundamental issues affecting the relationship between democracy and global business authority, such as the structural power of business itself, and the contestations over the boundary between public and private. The essays in this volume provide concrete ways that business can be made more publicly accountable to allow democratic practices to take on a more permanent role in the global business world.

Download or read book Differential Europe written by Adrienne Windhoff-Héritier and published by Rowman & Littlefield. This book was released on 2001 with total page 364 pages. Available in PDF, EPUB and Kindle. Book excerpt: Heritier, Kerwer, Knill, Lehmkuhl (all with the Max Planck Project Group, Common Goods: Law, Politics, and Economics), Teutsch (European Union Department of the German Federal Ministry of Labour and Social Affairs), and Douillet (Ecole Normale Superieure de Cachan) combine efforts in this study to develop a theoretical and conceptual framework for studying the impact of European policies on member states. The authors argue that the influence of EU policies on each member state depends on each state's preexisting policies and institutional capacity to change. The study focuses on transport policy, presenting case studies from Britain, France, Germany, Italy and the Netherlands to demonstrate differences in the impacts of EU policies. The text concludes with a comparison of the differences in responses of member states to identical European policy demands and similar external and internal conditions. c. Book News Inc.
Download or read book Regulatory Reform in the United States written by Scott H. Jacobs and published by OECD Publishing. This book was released on 1999 with total page 368 pages. Available in PDF, EPUB and Kindle. Book excerpt: The United States has been a world leader in regulatory reform for a quarter century. Contrary to popular belief, the United States is not less regulated than other countries, but differently regulated due to the pro-competition policy stance of federal regulatory regimes, and the openness and contestability of regulatory process. Far-reaching economic deregulation combined with efforts to improve the quality of social regulation have supported the construction of one of the most innovative, flexible and open economies in the OECD, while maintaining health safety and environmental standards at relatively high levels. However, significant regulatory problems still exist. Improving the performance and cost-effectiveness of expensive social regulations and government formalities is a key challenge for regulatory quality. In a word, the challenge of regulatory reform in the United States is not how much regulation, but how good. The United States is one of the first OECD countries to request a broad review by the OECD of its national regulatory practices and domestic regulatory reforms. This report--the result of intensive assessment by the OECD and review by its Member countries--is unique in that it presents an integrated assessment of regulatory reform in framework areas such as the macroeconomic context, the quality of the public sector, competition policy and enforcement; and integration of market openness principles in regulatory processes, and in sectors such as electricity and telecommunications. The policy recommendations present a balanced plan of action for both short and longer-term based on best international regulatory practices.
