Das deutsche Pendant dieses Begriffs ist Unternehmensord-nung bzw. Unternehmensverfassung. Er subsumiert die Organisation von Leitung und Kontrolle in Unternehmen. Corporate Governance ist geprägt von rechtlichen Rahmen-bedingungen und kulturellen Einflüssen. Diese Umstände lassen unterschiedliche Cor-porate Governance-Systeme entstehen, wie bspw. das anglo-amerikanische und deutsche CG-System. Special Purpose Acquisition Companies (kurz SPACs) sind börsennotierte, öffentlich gehandelte und operativ untätige Unternehmen. Ziel der SPACs ist es, Gelder von Kapi-talanlegern zu sammeln. Diese Gelder werden verwendet, um ein nicht börsennotiertes Unternehmen durch dessen Übernahme an der Börse zu platzieren. Folglich stellen SPACs neuartige Finanzierungsformen für Unternehmen dar. Für die Übernahme hat das Management der SPACs ca. 24 Monate Zeit, was einen umfassenden Handlungs-spielraum der Führungsriege postuliert. Wie jedes andere Unternehmen fügen sich SPACs – je nach Gründungsort – in ein Cor-porate Governance-System ein, welches deren Corporate Governance-Strukturen prägt. Diese Seminararbeit vergleicht die Unterschiede zwischen anglo-amerikanischem und deutschem Corporate Governance-System sowie das zugehörige Kapitalmarktumfeld. Anschließend wird der Einfluss der beiden Systeme auf Corporate Governance-Strukturen von SPACs untersucht. Zentrale Fragestellungen werden dabei sein, ob systemrelevante Ausprägungen existieren und inwieweit diese Einfluss auf Ausgestaltung, Handlungsfähigkeit des Management sowie Popularität von SPACs haben.

Auslöser der Diskussion um die Corporate Governance sind eine Reihe von Skandalen, bei denen ein Fehlverhalten der Unternehmensführung nicht verhindert oder zumindest nicht rechtzeitig entdeckt wurde. Ein besonders drastischer Fall war das US-amerikanische Energieunternehmen Enron. Es musste Insolvenz anmelden, nachdem dessen Bilanzen über Jahre hinweg massiv gefälscht wurden. Zahlreiche solche Fälle gab es auch in Deutschland. Beispiel hierfür ist die Insolvenz der Philip Holzmann AG. Als Reaktion auf die Zunahme solcher Fälle wurde in Deutschland im Jahr 1998 das Gesetz zur Kontrolle und Transparenz im Unternehmensbereich eingeführt. Im Jahr 2002 wurden im Deutschen Corporate Governance Kodex die geltenden Gesetze und Standards verantwortungsvoller Unternehmensführung zusammengefasst. Im gleichen Jahr trat das Transparenz- und Publizitätsgesetz in Kraft. Danach müssen börsennotierte Gesellschaften erklären, ob sie den Empfehlungen der Kodizes entsprechen. Eine Fülle weiterer Gesetze präzisiert zwischenzeitlich die Pflichten der Unternehmensführung in Deutschland.

So sind die Qualität der Unternehmensführung und deren wirksame Überwachung bereits seit einigen Jahren in der Diskussion. Ergebnisse: Im chinesischen Kontext gibt es wichtige Determinanten des vorgeschlagenen Rahmens.
