How CSR and its attendant MoU which the oil MNCs entered into with the host communities should be defined and implemented has been a contentious debate among scholars and development practitioners. In Niger Delta region of Nigeria, the failure of the government to meet the development needs of the communities has made them to depend largely on the oil MNCs to fill the development gap. Total E and P Nigeria Ltd is one of the major Oil MNCs in the Niger Delta with major operations in Akwa Ibom and Rivers States. The company is said to have entered into MoU with its host communities. The question is, how has the company contributed to the development of these communities through its CSR/MOU policies? Consequently, this study was guided by four research questions and four null hypotheses. The study is anchored on two CSR theories: the theory of participatory development and the Stakeholders Theory by Freeman. The research design adopted was mixed methods research which entails quantitative and qualitative methods involving survey and archival as well as utilizing Questionnaire, In-depth-Interview, Focus Group Discussion (FDG) and Observation were used as instruments for data collection. The study revealed that there is no variation in the strategies of Total E and P Ltd in community development in its host communities in Akwa Ibom and Rivers States; that the company adopts the strategy of entering MoU with the host communities, mobilization of local resources such as the use of local skills and contractors, that the rate of the involvement of the local people in the CD process is low, that the company has been able to fill the infrastructural gap in the host communities through the provi

Although they can be viewed as economic actors following the logic of international market, their activities inevitably arouse questions of national power. Not surprisingly, such questions are most pronounced in the study of developing countries where weak government and societies potentially give the MNC strong bargaining position. Thus, the nature of their relationship between developing countries and the implication of this relationship for economic growth remains highly controversial. How ever, proponents of MNC posit in the past that MNC have made important contribution to developing countries. This interaction between MNCs and third world economy has led to a profound relationship whose impacts are enormous. Although many scholars have written more on the impact of MNC on host less developed countries, the most important question is, Do foreign firms behave differently from locally owned firms and if so what are their implication? Multinational corporations are one of the main conduits through which investment is channelled and their evolution has reflected broader developments (OECD 2003). This impact however will be examined from the negative and positive impact gearing towards the development of third world. However it is imperative to examine the characteristics of developing countries as well as some objectives of Multinational Corporations (MNC).

In an already fragile country as Nigeria, characterised by weak democratic institutions and poor economic governance, this situation has led to increasing discontent and violence towards both the government and the oil multinationals. These two actors co-operate for the maximisation of oil profits and revenues while, at the same time, excluding local host communities from the participation in the oil development projects, preventing them to achieve a sustainable development, violating their Human Rights, and compromising their livelihoods. This paper analyses the legal framework of Nigeria in the oil sector and the peculiarities of the country in order to provide a critical overview of the issues, demonstrating that the amendment of the domestic Acts dealing with the topic, as well as the remediation to the damages caused by the oil multinationals, are no longer deferrable. The final aim is to suggest a pattern to sustainable oil development which, by means of applying the concepts of Corporate Social Responsibility, would help to quell the conflict, to improve the standards of life of local people, and to make Nigeria emerge as a socio-environmentally responsible African resource-rich country.
