There have been many events of mergers and acquisitions in Indian telecommunication industry in the last decade. Foreign investors and major players of telecom sector see India as one of the fastest growing telecom industry of the world. Over the last decade, many reforms have been introduced by the government, which have changed the scenario of telecom industry of India. In telecom sector, mergers and acquisition has been increasing to a great extent. Mergers and acquisitions in telecommunication industry can be driven by the development of new technology. The deregulation of telecom industry tempts the firms to offer bundle of new products and services to customers. Ongoing convergence of cable and telecom industries also tempts telecom firms to innovate products and services (Sanjoy Banka, 2006). In this way, the acquisition of products and services has become a profitable progress for telecom firms. In the world, telecommunication industry is the most developing and profitable industries of the world. Telecom sector has been considered as the most indispensible industries of the world in service sector. Different forms of communication media such as mobile phones, land line phones and internet broadband services are dealt in the telecommunication industry (Sanjoy Banka, 2006). In the recent past, swing of mergers and acquisition has been observed in the telecom sector of the world. Because of its immense importance, the proposed research is going to explore mergers and acquisitions in the telecom sector of India. 1.2 Aims and Objectives The aim of the proposed research is: To explore the impact of mergers and acquisitions on the performance of telecom firms in India The objectives of the proposed research are as follows: • To analyze the factors that lead to mergers and acquisitions in the telecom industry of India • To study the nature of mergers and acquisitions in the telecom industry of India • To determine the impact of mergers and acquisitions on the performance of telecom companies • To analyze the difficulties faced by the telecom companies while pursuing mergers and acquisitions

Nearly everyday we hear a new story about another mega merger of another insolvent company. Therefore it may be worthwhile to study this industry. But before talking about Mergers and acquisitions in the telecommunication industry I will first of all give a definition of what telecommunication is. According to Wikipedia, Telecommunication is the extension of communication over a distance.[.....] hence the term 'telecommunication' covers all forms of distance and/or conversion of the original communications, including radio, telegraphy, television, telephony, data communication and computer networking. When talking about telecommunication we can distinguish between carriers, service providers and suppliers. Carriers Carriers are companies that offer the cables and wires to enable communication over a distance. A German carrier for example is the Deutsche Telekom because they own a network for communicating. These carriers usually offer communication services too. Service providers As the name indicates, service providers offer services. They do not own the network but they can use the network of another carrier and have to pay some kind of rent for it. Suppliers Suppliers are companies that sell communication hardware (e.g. mobile phones). They do not own networks or offer any communication services. One of the biggest telecommunication suppliers is the Finnish company Nokia. As the telecommunication industry is very complex I will only focus on carriers and service providers.

This thesis emphasizes “mega-deals”, which are M&A transactions with values greater than or equal to USD 500m. The recentness of the data and the emphasis on deal-value and industry-specific M&A deals make these findings unique. The event study method is applied to examine the concrete effects that an event, an M&A deal announcement, exerts on acquiring and target firm stock returns. Hereby, the difference between the actual stock returns–which occur due to the event–and the expected stock returns is analyzed and subsequently tested for significance. The main and null hypothesis of this thesis is that M&A deal announcements have no effect on the average of the stock returns of acquiring and target firms. A frequently studied area and old research question of corporate finance, ever since its initial inception in the 1960s, is the effect of mergers and acquisitions (M&As) on the wealth of shareholders of the acquiring and target companies. As recently as the early 2010s, a near-universal consensus amongst research and business press has existed, that M&As tend to generate little to no shareholder value for acquiring firms, while target shareholders incur significant returns. These findings draw on the theory of market efficiency and rational expectations to assume that such changes to the stock prices, abnormal returns (ARs), reflect the discounted value of expected future profits, i.e. cash-flows and rapidly price-in new publicly disclosed information, such as a merger announcement. Since 2012, however, a novel strand of research has emerged which has observed these previously low ARs for acquiring shareholders becoming on average significantly positive for the first time in history on a global scale following the Great Financial Crisis (GFC). This is attributable to an ensuing overall improvement to corporate governance frameworks and M&A dealmaking. Markedly, this trend was later found to start reversing back to previous pre-GFC levels.

The technology, media and telecommunication industry is currently flourishing, which is evidenced by an increasing number of transactions. Nevertheless, wireless and mobile giants like AT&T are under huge pressure in their traditional barriers of business and therefore depend on a new strategy to diversify outside their traditional barriers of business. For this purpose, AT&T aims at generating further growth in the video and entertainment market through the acquisition of Time Warner. AT&T would not only increase their growth but they would also build up a second foothold since their traditional business is stagnating. AT&T will become the leader in converging technology, media and telecommunication.
