The significance of WTO membership for China cannot be underestimated, inevitably speeding up much-needed economic reform in the country. The gradual transition from a planned- to a market-economy is expected to continue in the future. The severity of the impacts for the economy will depend on how successful China is in providing policies that will assist the nation in the major adjustment problems that it faces in the future. The expected, actual, and needed implications for China s state-owned enterprises (SOEs) resulting from WTO membership will be investigated in detail; in the process, the significance of SOEs to the Chinese economy will be highlighted. SOEs are mostly ill- prepared for a post-WTO China, and the dismal state of these companies has already led to the decline of market share in the past decade. For the future, the retreat of the state is likely to continue. The main implications for SOEs from China s WTO membership are seen in the areas of competitiveness, corporate governance, privatisation, mergers and acquisitions, property rights, unemployment, and attracting and retaining qualified personnel. This dissertation offers one of the first detailed insights into the challenges facing China s SOEs today and the implications of China s WTO membership for these companies, while also highlighting the areas that require future attention. As a result of the economic reforms that have been taking place in China for the past four decades, the People’s Republic has become an economic giant, rapidly making cross-border investments across the globe. Backed by large amounts of currency reserves, China’s OFDI reached a record-breaking US$ 114 billion in 2014, making it one of the top three global investors. The impending acquisition of Swiss Syngenta by China’s state-owned enterprise China National Chemical (ChemChina), worth over US$ 43 billion dollars, illustrates the aggressive expansion into new markets. Germany has also received its share of FDI inflows from China. While investments have remained rather modest in comparison to other countries, the acquisition of KraussMaffei Gruppe or EEF Energy From Waste GmbH—worth billions of euros—have headlined Chinese M&A in Germany. Chinese have topped the M&A discussions in Germany due to the speed at which so-called "hidden champions" are being acquired. The process of M&A is particularly of interest to us, specifically the post-merger integration (PMI) and the effects it has on labor relations. This thesis will begin with a literature review on the current and past state of knowledge regarding PMI. Definitions of mergers, acquisitions and integration are given at the start of chapter two, followed in the second half by the various streams of literature pertaining to the topic. Chapter three will introduce the concept of Chinese FDI and the developments of the past 40 years; in the second half of the chapter, we will present the methodology of research we have chosen for the study and the various methods used. Chapter four consists of two case studies of German companies in the automotive sector that have recently been acquired by Chinese multi-national corporations (MNCs). From these case studies, we will make our analysis in chapter five and provide our conclusions in chapter six.

Book excerpt: During China's gradual transition from a centrally planned economy to a market-based economy, the acquisition of State-Owned Enterprises (SOE) by private enterprises has been an eye catching phenomenon and regarded a key growth means for Chinese private business groups (PBG). SOE acquisitions in such unique institutional embeddings are expected to be motivated by two distinct while complementary rationalities--economic rationality (acquisition of efficiency enhancing recourses such as property-based and knowledge-based resources endowed in target SOEs) and social capital rationality (acquisition of governmental networking resources inherited in target SOEs). Two models are proposed to examine the correlation between SOEs' resource endowments and PBGs' degree of acquisitiveness on a sample of 49 SOE acquisition cases taken place in China's stock markets during 1997 to 2000. The results suggest that, in general, SOEs' social capital endowment has significant positive impacts on PBGs' degree of acquisitiveness, while property-based and knowledge-based resources are barely influential. However, PBGs demonstrate different acquisitive preferences at different stages of group development. Acquisitive preferences also differ greatly if founders of PBGs carry different social characteristics.
