Excerpt: ...no need of inserting in the act that the commission should reconvey to the city. The learned counsel for the respondents admits that an equity of redemption reposed in the city. When therefore the debt should become paid, the new city hall would be absolutely the property of the city.' There appears upon the brief of respondents this assertion: "In many cases, where commissioners, not being incorporated, have issued bonds, the courts have held that the city was liable, as the statutes properly construed required a holding that such unincorporated commissioners were simply agents of the city." We can see no reason why an incorporated commission may not act as an agent or trustee just as well. An examination of the various sections of the legislative act reveals the fact that the commission was to be but the humble trustee of the city of Waterville, and the city itself the real owner of the property. The commission as created by the act was naked of all authority excepting in just one respect, and that was as a formal medium through which the city could secure to the bondholders its debt. It will be seen all the way along that the commission is to be under the control of the city. The commission could sue and be sued, but it had no property and was subjected to no risks. It is entitled to have certain officers, and such others "as the city may direct." The city treasurer is to be the treasurer of the commission, but no new bond is required of him, and his sureties would not be responsible for his defaults, unless he be considered as acting for the city in what he does for the commission. ' ' The mandate of 5, is not, as plaintiffs' counsel assumes, to proceed at such time as is prescribed in 527, but "in the manner" therein provided. The commissioners were justified in proceeding when, and as they did after notice to the town, upon petition of those interested, to cause the work to be done by an agent not one of themselves. That agent made his written contract for the work and filed a copy of it in the clerk's ofiice and the commis sioners certified to the assessors of Waterville the time when the contract was to be completed and the amount to be paid therefor. So far the proceedings of the commissioners were warranted by the authority which the act confers upon them, and if they had continued throughout to proceed in the manner provided in 27, c. 18, R. S. of 1857, which is identical with 28, c. 18, R. S. of 1871, the plaintiffs would have had no just cause of complaint. _ But our attention has been called to some irregularities in these proceedings which we deem fatal to the defendants' justification. The commissioners did not proceed in the manner prescribed-in said 27, when they issued the first warrant of distress May 2, 1871, the next day after the one fixed for the completion of the contract. It is not in the power of the agent appointed or the party with who_m he contracts, by finishing his work and procuring the allowance of his accounts within the time fixed for the completion of the contract, to hasten the day of payment. The town is to be notified when the contract is made, of the time fixed for its completion. We think the true construction of the statute is that the liability of the town to pay accrues only at the expiration of the time...

Excerpt: ...further alleging that the last will of said Wilson, which has been duly approved, after making certain specific legacies, gave and devised all his estates, real and personal, to his executors, in trust for certain uses, &.c., and among the legacies was the following: --"I give to J. Wood of Belfast, the whole amount, principal and interest, he may owe me at the time of my decease, which is secured to me by mortgage, and I do direct my executors to release said mortgage forever to the said J. Wood, as soon as may be after my decease;"--Also further alleging that said bequest was made for the benefit of this plaintiff, and that the name " J. Wood," instead of George Wood, was inserted in the will by mistake, &.c., and that the plaintiff has applied to the executors for a release of the mortgage and a surrender of the notes. Wherefore, &.c. The answer of the executors, alleges their belief that this plaintiff is the person, for whom the said bequest was intended, and that the name of "J. Wood" was inserted in the will by mistake, instead of George Wood, dcc.; also that the notes are not needed, for payment of any debts or legacies. Abstract of evidence as agreed to by parties. Nathaniel Wilson, the testator, died in Boston on the day after the execution of his will. Said will was drawn, by his directions, by a scrivener, who was a stranger to the names of the legatees. At the time it was drawn, said testator was very sick. Said complainant married, in 1838, a niece of testator, in whose welfare he had taken a deep interest. Excerpt: ...might have existed such circumstances, or such color for them, as to amount to a probable cause. If in this case there was probable cause, which might have existed, and which is not disproved, Reed might lawfully prosecute the claim, of which the plaintiff complains;.or he might assign it to another, which if the demand be not negotiable; car-ries with it an authority to the assignee, to prosecute thereon a suit in his name. It does not appear, if Reed had been as plain-' tiff the only party in interest, that he had not a lawful right to prosecute the suit. Nor does it appear, but what Wells, the assignee, had reason to believe that the action was well founded. Certainly there is nothing in the case showing, that he knew it to; be groundless. If there was, he might be charged for a malicious prosecution, upon proper averments, which would afford to the plaintiff an apt remedy. Still less does it appear that the defendant, to whom the demand was assigned after the action, had the least knowledge or suspicion, that it was not a fair claim. He had a lawful right to purchase a chose in action, and to prosecute a suit, by which its recovery was attempted to be enforced. It is not pretended, that the defendant made any promise, express or implied, to the plaintifi"s testator, to pay him the costs, or indemnify him for the expenses of an action. And he was guilty of no tort or wrong, which would render him liable to the plaintiff's testator. The only ground upon which he can be charged, is, that being substituted for the original plaintiff, he was liable for costs.
