Organized by the REHSEIS group (Research on Epistemology and History of Exact Sciences and Scientific Institutions) of CNRS (National Center for Scientific Research), the colloquium was held from 3 to 6 April 1990 in the UNESCO building in Paris. This colloquium was an idea of Professor Roshdi Rashed who initiated this field of studies in France some years ago, and proposed "Sciences and Empires" as one of the main research programmes for the The project to organize such a colloquium was a bit REHSEIS group. of a gamble. Its subject, reflected in the title "Sciences and Empires", is not a currently-accepted sub-discipline of the history of science; rather, it refers to a set of questions which found autonomy only recently. The terminology was strongly debated by the participants and, as is frequently suggested in this book, awaits fuller clarification.

Il est démontré qu’un système équilibré, c’est-à-dire dans lequel les différents intérêts sont pris en compte, est tout à fait envisageable au regard des dispositions législatives, de la jurisprudence et des projets de réforme. Dans une première partie, les conditions de la responsabilité civile sont décrites et remises en question de manière critique, de même que de réformes sont proposées. Autant les conditions de la responsabilité civile des dirigeants envers la société in bonis (« Business judgement rule ») qu’envers la société en difficultés, les tiers et les actionnaires (« responsabilité pour manquement à l’obligation d’information des marchés de capitaux ») sont traitées. Toutefois, un système équilibré ne peut être dégagé seulement si, les moyens de la mise en œuvre (Action pro socio, class action, prescription) et la possibilité d’une limitation de la responsabilité civile sont pris en compte (cf. deuxième partie de l’étude). L’étude montre que la limitation de la responsabilité peut se faire autant a priori (par le contrôle des actionnaires au moment de l’assemblée générale, des administrateurs indépendants ou les commissaires aux comptes) qu’a posteriori (par ex. par une assurance D&O ou le plafonnement de la responsabilité civile).
