Book excerpt: Malgré les multiples efforts d'harmonisation réalisés par la Communauté, il convient de se demander si le vaste marché intérieur dispose des moyens nécessaires susceptibles de protéger au mieux les parties faibles en matière contractuelle. Des réponses ont été apportées au sein de la Communauté en établissant des règles de conflit de juridictions et de conflit de lois. En matière de conflits de juridiction, le nouveau Règlement du 22 décembre 2000 ne déroge que peu aux dispositions de la Convention de Bruxelles du 27 septembre 1968. Il adapte celle-ci à l'arrivée de nouvelles techniques commerciales afin de protéger au mieux les consommateurs. Le Règlement communautaire apporte cependant une réelle impulsion en matière de protection des parties faibles par une inévitable mise en concurrence des différents droits. En matière de conflit de lois, la Convention de Rome du 19 juin 1980 sur la loi applicable aux obligations contractuelles est une avancée considérable dans la création d'un espace judiciaire européen en matière contractuelle qui conserve toute son importance pour la protection des parties faibles. Mais ces règles de conflit ont-elles encore un avenir dans une Europe qui tend à une harmonisation toujours plus poussée du droit substantiel ? Il n'est pas certain que l'harmonisation du droit substantiel soit suffisante pour garantir une protection efficace des parties faibles. Le droit substantiel n'arrive pas toujours à suivre le rythme de l'abolition des frontières économiques. Par ailleurs, l'évolution des nouvelles technologies posent des problèmes d'adaptation du droit existant et mettent en évidence les insuffisances du droit international privé. L'unification du droit des contrats reste un désirata, le travail à entreprendre est un travail d'hercule surtout dans une future Europe agrandie avec des niveaux de protection du consommateur très inégaux. La voie la plus efficace pourrait dès lors être la conversion de la Convention de Rome en règlement communautaire qui faciliterait l'application de règles uniformisées protectrices des parties faibles dans les nouveaux Etats membres.

Book excerpt: L'un des traits dominants de l'évolution contemporaine du droit des contrats réside dans la volonté de protéger la partie faible, ou si l'on préfère, le contractant place en position d'infériorité. Or, à une époque où les contrats les plus usuels s'internationalisent, le droit international privé et sa méthode privilégiée, celle du règlement des conflits de lois, ne peuvent rester indifférents au souci de protection dans la partie faible dans les contrats internationaux. Cependant, la protection de la partie faible au moyen de la règle de conflit bilatérale se heurte à un certain nombre d'obstacles, tenant d'une part au critère de rattachement habituellement retenu en matière contractuelle, et d'autre part à la concurrence de l'approche unilatéraliste (1ere partie). Néanmoins, les défauts inhérents à cette dernière méthode conduisent à son rejet et laissent par conséquent la voie ouverte à une nouvelle règle de conflit bilatérale destinée à la voie ouverte à une nouvelle règle de conflit bilatérale destinée à prolonger au plan international l'effort protecteur du droit interne . Devant régir les contrats ayant attiré l'attention du législateur ou de la jurisprudence, cette nouvelle règle de conflit protectrice devrait marquer un abandon complet du principe d'autonomie au profil de rattachements objectifs destinés à designer parmi les lois placés en concours. Ainsi conçue, la règle de conflit protectrice régirait le fond ainsi que la forme du contrat, et engloberait l'ensemble des normes participant à l'effort de protection en droit interne (1eme partie).

Book excerpt: L'étude de la notion de matière contractuelle en droit international privé vise à répondre à deux questions : qu'est-ce qu'un contrat en droit international privé et à quels aspects du contrat la"lex contractus" s'applique-t-elle? L'idée même d'une acception spécifique de la notion en "droit international privé" implique que celle-ci soit différente de celle retenue en droit interne. La notion est autonome. Cet aspect est justifié d'une part par la spécificité de la problématique du droit international privé, d'autre part par l'existence en la matière d'une Convention internationale, bientôt novée en Réglement communautaire, dont l'interprétation est désormais contrôlée par la Cour de justice des Communautés européennes. La notion est donc non seulement autonome, mais également fonctionnelle. Dans une première partie, l'étude des critères du contrat en droit international privé permet de cerner plus précisément la"famossima questio" qu'est la notion de contrat, dans une perspective autonome et fonctionnelle. La norme contractuelle ainsi définie est ainsi plus compréhensive et mieux adpatée que la définition classique. Dans une seconde partie, sont envisagées d'une part le domaine de la loi du contrat, d'autre part les méthodes de coordination de la norme contractuelle et des statuts environnants : "lex rei sitae, lex delicti", ou autre "lex contractus".

In that same vein, the paradigm proposed by Ms. Van Lith ought to shift to special grounds of jurisdiction based on sufficient connection between the defendant and the forum state. In that respect, she proposes jurisdiction at the place where the defendant has a fixed place of business from which he carries out business activities directly related to the claimant’s contractual claim. Absent such a place of business, jurisdiction is to be vested in the courts of the country where the defendant is engaged in substantial business activities in relation to the contract with a limited forum shopping for a claimant in favour of the court of the defendant’s home country. Other general or special grounds for jurisdiction (such as claimant-related connections or property-based connections) are rejected because they do not meet the proposed paradigm of sufficient connection. As to exceptions to international jurisdiction rules as proposed, Ms. Van Lith comes to the conclusion that a general escape provision is to be avoided except for the ‘tra- acting business’ rule where – in accordance with the paradigm proposed – international jurisdiction can be avoided in favour of the defendant’s home court when the dispute is insufficiently connected with the forum making it unfair under the circumstances to expect the defendant to be subjected to the jurisdiction of that court. In this respect, a balanced approach to predictability and flexibility is being proposed.
