Book excerpt: La délégation de pouvoir est l'acte juridique par lequel un déléguant attribue à un délégataire l'exercice d'un pouvoir, dont il conserve la maîtrise qui, dans le cadre de l'entreprise, constitue une technique de déconcentration du pouvoir de direction. La participation de la délégation de pouvoir à l'organisation de l'entreprise est, en principe, possible car le recours à la délégation de pouvoir relève de la liberté d'organisation de l'entreprise, issue de la liberté d'entreprendre. Ce recours est, toutefois, limité par l'existence de règles impératives d'organisation de l'entreprise qui imposent, notamment, de respecter la fonction directoriale du chef d'entreprise. Cependant, la confrontation des prérogatives de tout déléguant et du contenu de la fonction du chef d'entreprise révèle qu'en principe, le recours à le délégation de pouvoir s'inscrit parfaitement dans le cadre de la fonction de celui-ci. Les fortes analogies de la délégation de pouvoir et du mandat justifie que le régime du second, fondé sur l'exercice d'un pouvoir au nom et pour le compte d'autrui, définisse le droit commun de la délégation de pouvoir. Ce régime de droit commun peut, toutefois, se trouver perturbé par la combinaison de la délégation de pouvoir et d'autres techniques juridiques, telles que le contrat de travail ou le mandat social. Les effets de la délégation de pouvoir sur l'organisation de l'entreprise se caractérisent, d'abord, par une substitution du délégataire dans la fonction du chef d'entreprise qui repose précisément sur l'exercice par le premier du pouvoir directorial du second. Cependant, cet effet de substitution est imparfait, car la délégation de pouvoir s'opère sous l'autorité du chef d'entreprise. A ce titre, elle est marquée par la subsidiarité du délégataire qui justifie l'existence d'obligations réciproques à la charge du délégataire et du chef d'entreprise.

La personne morale apparaît comme le terme réunificateur de tout système representative. Dans l'ordre international, ce processus est perturbé par la présence, dans les organs intergouvernementaux, de représentants d'Etat qui sont autant d'organes des Etats membres, présence prolongée par le consentement aux actes adoptés en leur sein. Quel en est donc le sujet d'imputation : l'organisation ou ses membres ? Une théorie de l'acte doit être développée au coeur de la théorie de l'organe pour démontrer que l'organisation internationale est la personnification juridique d'une collectivité d'Etats dotée d'un système représentatif, et n'est que cela. La qualité de partie à un traité constitutif et de membre d'une organisation internationale ne prive l'Etat d'aucun des attributs de la souveraineté dans l'ordre international. Au contraire, la faculté d'investir un sujet de droit de compétences nouvelles est précisément un attribut de la souveraineté : l'organisation est tout entière une création des Etats membres. Leur souveraineté n'inhibe pas le processus de personnification de l'organisation qui, en retour, ne la confisque pas : la souveraineté et la relativité des rapports juridiques demeurent les principes régulateurs de l'ordre international.

Successful new firms in science-based industries are found to differ in a number of dimensions from new firms in other industries. They are likely to be exporters. They face greater technological change and intense competition with regards to the rate at which new products are being introduced. They tend to put more emphasis on quality, the frequent introduction of new products and the customization of products. They make greater use of information technology. They place more stress on new technology development, research and development facilities and the use of intellectual property. They are much more likely to innovate and they place more importance on recruiting skilled labour and on training. Finally, they are more likely to use non-traditional financial measures to evaluate performance and they are less likely to rely on secured credit for financing both their research and development activity and their machinery and equipment than are firms in other sectors.
