Si oui, pour quelles sortes d'actions? quels actionnaires? par quels moyens? dans quelles limites? c'est ce qui a générer notre problématique étayée par 2 hypothèses vérifiées par l'analyse de deux approches:l'une théorique divisée en 3 chapitres qui ont trait aux droits politiques attachés aux actionnaires , aux droits financiers et aux droits patrimoniaux.l'autre approche est d'ordre pratique, elle a cadré le renforcement du droit d'initiative des actionnaires par la protection de ces derniers lors du changement de la structure de la société, la protection des actionnaires par les dispositions pénales de la loi , dans une analyse globale comparative des droits français et marocains.-Nous avons alors présenté nos conclusions affirmant nos 2 hypothèses qui ont engendré quelques recommandations et ouvert d'autres horizons de recherches qui établissent la corrélation positive entre la pertinence des lois garantissant la sécurité des actionnaires, des investisseurs, la motivation, le climat de confiance et la croissance économique.

Cette législation a été considérée comme la pièce maîtresse de la réforme de l'ensemble de l'environnement juridique de l'entreprise, basée jusqu'à cette date sur la loi française du 24 juillet 1867. L'adoption de la loi 17-95 sur les sociétés anonymes a déclenché une série de réformes dans les domaines commercial, économique et financier. Les trois principales questions traitées dans ce travail sont les suivantes: Comment une législation dédiée principalement aux sociétés d'une certaine importance pouvait-elle s'adapter à une économie principalement dominée par la petite et moyenne entreprise? Dans quelle mesure l'alignement du droit marocain de la société anonyme à directoire sur le droit commercial français peut-il être un choix pertinent? Cette option comporte indéniablement l'avantage de bénéficier d'une législation bien établie, d'une riche jurisprudence et d'une doctrine de qualité. Ces avantages comportent en eux-mêmes leurs propres limites. Le niveau de développement socio-économique du Maroc n'a pas permis la mise en oeuvre réelle de l'ensemble des avantages d'un montage juridique aussi sophistiqué que celui de la société anonyme à directoire et conseil de surveillance. D'un autre côté, les quelques innovations introduites par le législateur marocain n'ont pas véritablement contribué à asseoir ce niveau type de gouvernance de l'entreprise. A travers la réforme de la société anonyme en cours d'adoption, le législateur marocain dispose d'une nouvelle opportunité de redynamiser la société anonyme à directoire, de pallier ses insuffisances et corriger ses omissions.

L'assemblée générale, dans la prise des décisions les plus importantes et le commissaire aux comptes,dans le contrôle comptable de la société. La société anonyme à directoire et conseil de surveillance, de par son organisation assez complexe n'est adoptée que par les grandes entreprises. Au Maroc, seules les sociétés de grande envergure, exerçant dans des secteurs d'activité tels : la banque, les assurances, la bourse et la télécommunication l'ont adoptée.

Book excerpt: Since the late nineteen sixties, transnational adoption has emerged as a global phenomenon. Due to a sharp decline in infants being made available for adoption locally, involuntarily childless couples in Western Europe and North America who wish to create a family, have to look to look to countries in the poor South and Eastern Europe. The purpose of this book is to locate transnational adoption within a broad context of contemporary Western life, especially values concerning family, children and meaningful relatedness, and to explore the many ambiguities and paradoxes that the practice entails. Based on empirical research from Norway, the author identifies three main themes for analysis: Firstly, by focusing on the perceived relationship between biology and sociality, she examines how notions of child, childhood and significant relatedness vary across time and space. She argues that through a process of kinning, persons are made into kin. In the case of adoption, kinning overcomes a dominant cultural emphasis placed upon biological connectedness. Secondly, it is a study of the rise of expert knowledge in the understanding of 'the best interest of the child', and how the part played by the 'psycho.technocrats' effects national and international policy and practice of transnational adoption. Thirdly, it shows how transnational adoption both depends upon and helps to foster the globalisation of Western rationality and morality. The book is an original contribution to the anthropological study of kinship and globalisation.
