Le fonds libéral, le fonds de placement immobilier ainsi que le fonds agricole viennent de parvenir à la vie juridique. Malgré leurs différences, ces fonds particuliers s'opposent à des notions proches de notre droit comme celle de patrimoine, d'entreprise, de société ou de fondation. Si la construction de ces fonds se révèle désordonnée et incomplète, une notion commune de fonds, issue de la tradition romaine du fundus cum instrumento, peut cependant être dégagée. Le fonds apparaît ainsi comme un " ensemble complexe de choses et d'obligations affectées à une activité professionnelle ". Une conception renouvelée et dynamique du fonds, conçu comme l'outil de l'activité économique, conduit à inclure dans son assiette non seulement les immeubles mais également les contrats, les créances et les dettes affectés à l'activité exercée. Si elle était reçue, cette conception moderne du fonds serait d'une utilité certaine dans de nombreuses branches du droit Elle simplifierait ainsi l'application de l'article L 122-12 du Code du travail et se substituerait aux concepts flous de branche autonome d'activité en matière d'apport partiel d'actif et en droit de procédures collectives.

Book excerpt: The multidisciplinary book assesses the legal and economic uncertainties surrounding the collection, storage, provision and economic development of biological samples (tumors, tissues, cells) and associated personal data related to oncology. Public, partly public and private sector actors in the field of cancer care and research hold collections supported by significant public and social funding. Under certain conditions, particularly in the context of networking (sometimes promoted by public authorities), these collections can also represent major economic assets and scientific resources. However, this involves a number of issues and institutional constraints: legal: the will of the source person; non-pecuniary damage; freedom to establish collections; competence in deciding on their use; legal frameworks for their distribution; desire for return on investment for public institutions, notably in terms of industrial and intellectual property. economic: cost of establishing and running biological resource centres; destroying resources; emerging markets; profit sharing. public health policy choices: prioritisation of therapeutic measures over research (fundamental or clinical trials); conservation of resources; promotion of scientific (and not commercial) value of collections. The establishment, heritage recognition (“patrimonialisation”), development and sharing of these resources thus merit our calling into question present practices and their evolution, as well as the leverage available to public authorities (incentives, legislation, regulation) in a context where norms emerge from professional practice to become widely used in collaborative networks. Filling a gap in the current literature on law and economics, which pays little heed to these specific considerations, this book explores these considerations to bring to light the economic implications of ethical choices and governance issues in the health sector (structural organisation of local, national and European actors in oncology). It is intended for researchers in fields such as law, economics and biomedical sciences, as well as for public policymakers.

Under international law, no specific regime applies to these complex and paradoxical objects of use. The Law of the Sea Convention sets a framework that is partly inadequate for this new category of resources. The Biodiversity Convention and the Nagoya Protocol only address the genetic resources of national areas. Patents allow their holder to exercise a monopoly on exploiting biotechnological creations to extensive claims, questioning the common nature of biodiversity and related knowledge. They hinder research and the objectives of biodiversity law. The legal and practical rules of physical and functional access vary in geometry. They focus on the valorization of research results, crystallizing conflicts of interest between suppliers and users. Sustainable research and development is essential to the knowledge and protection of marine biodiversity. The qualification of marine genetic resources in common, standard contractual tools, distributed research and development infrastructures, negotiation of an agreement on sustainable use and conservation of biodiversity beyond the limits of national jurisdiction, would To remove these inconsistencies.
