Book excerpt: Esta obra constituye un estudio histórico-comparativo de los más importantes rasgos y momentos de los problemas relacionados con la fuerza mayor y la interpretación de la conocida cláusula rebus sic stantibus en el derecho romano, el derecho intermedio, las modernas codificaciones alemana, francesa e italiana, el sistema jurídico latinoamericano, la lex mercatoria y la unificación del derecho de contratos. Es objeto de este trabajo la evolución de la incidencia en el contrato de eventos sobrevenidos extraños a las partes, anomalías no imputables que modifican las circunstancias iniciales produciendo un desequilibrio sobrevenido entre las prestaciones. Hablamos hoy de riesgo de la realidad y de compatibilidad entre eventos y cumplimiento contractual, tradicionalmente se habla de riesgo contractual; sin embargo, no se trata solo de un problema de distribución del riesgo por eventos sobrevenidos, se trata de los instrumentos para superar la contingencia, adaptar el contrato a la nueva realidad, conservarlo y garantizar el cumplimiento equitativo de las obligaciones. La obra se destaca por su originalidad en el planteamiento de esta materia clásica, y en su conjunto es una obra novedosa para la doctrina en Colombia por el estudio del derecho comparado y de la armonización del derecho. En efecto, el profesor Chamie es docente de estos temas en la maestría en derecho contractual y relaciones jurídico negociales, en la maestría responsabilidad contractual y extracontractual, civil y del Estado, al igual que ofrece un curso sobre instrumentos para el equilibrio contractual en el Doctorado en Derecho del Externado de Colombia. Además, el capítulo referido al common law ha servido de base al autor para el diseño de artículos publicados en la Revista de Derecho Privado de la Universidad Externado de Colombia. Luego de identificar y reconstruir los momentos salientes del problema entre ejecución del contrato y cambio de las circunstancias iniciales del mismo, el autor concluye que el desequilibrio entre las prestaciones debe representar una grave desproporción que, mediante la adaptación basada en los principios de moral y equidad, tiende a recobrar la simetría del contrato, la equivalencia entre los deberes, evitando ruinas y enriquecimientos injustificados. De la vigencia general del principio de buena fe se derivan deberes esenciales al contrato, como los de información, de consejo, de seguridad, de colaboración, y en esta última radica la cooperación entre las partes para la adaptación-conservación del contrato; la buena fe circula por las lagunas que deja el Código y le permite al juez transitar por ellas para buscar la compatibilidad entre lo previsto por las partes en el acuerdo, las circunstancias de hecho, el ordenamiento jurídico y los principios generales del derecho, esto es, la compatibilidad entre contrato y realidad de hecho y de derecho, por esto la conducta de las partes durante el performance debe ser entonces 'compatible' con las exigencias de la buena fe y la equidad.

The PLACL are the product of a working group comprising legal academics from Argentina, Brazil, Colombia, Chile, Paraguay, Uruguay and Venezuela. The 111 articles of the instrument deal with problems of general contract law, such as formation, interpretation and performance of contracts, as well as remedies for breach. The book aims to introduce the PLACL to an international audience by putting them in their historical and comparative context, including other transnational harmonisation measures and initiatives. The contributions are authored by drafters of the PLACL and contract law experts from Europe and Latin America.
