Als einen der ersten Versuche, hat unsere Forschungsarbeit sowohl europäisch-chinesische wie auch chinesisch-europäische M & A Transaktionen unter dem Aspekt der kritischen Erfolgsfaktoren untersucht, welche bis anhin in der Literatur wenig Aufmerksamkeit fanden. Im Hinblick auf die Komplexität und Dynamik bei M & As, haben wir in unserer Dissertation einen multidisziplinären Ansatz gewählt, um die verschiedenen Gesichtspunkte in den Schlüsseldimensionen Strategie, Kultur, Organisation, Prozess und Externalitäten zu berücksichtigen. Zur Steuerung unserer empirischen Forschung, haben wir deshalb als theoretisches Rahmenmodell, das von uns so genannte "SCOPE Modell" entwickelt. Das SCOPE Modell umfasst die Erfolgsfaktoren zum Schliessen der Fähigkeits-Lücke im Unternehmen, entlang der genannten fünf Schlüsseldimensionen. Folgend unseren Forschungsfragen des 1) was die kritischen Erfolgsfaktoren in europäisch-chinesischen und chinesisch-europäischen M & A Transaktionen, sowie, 2) warum diese kritischen Erfolgsfaktoren entscheidend für den Akquisitionserfolg für übernehmende europäische sowie chinesische Unternehmen sind, haben wir 3) die Gemeinsamkeiten sowie Unterschiede der kritischen Erfolgsfaktoren bei europäisch-chinesischen und zwischen chinesisch-europäischen Unternehmensübernahmen untersucht. Im empirischen Teil der Dissertation haben wir einen gemischten Forschungsansatz gewählt, in welchem sowohl qualitative wie auch quantitative Methoden zur Anwendung kommen. Die quantitative Untersuchung ist in die qualitative Studie eingebettet. Die vorrangigen Fallstudien haben zum Zweck, die "Was" und "Warum" Forschungsfragen qualitativ zu untersuchen. Ergänzend zu den Fallstudien zielt die diesen untergeordnete, quantitative Umfrage dar.

The various stages that firms customarily go through as part of an international merger and acquisition process are outlined and debated from both a theoretical and practical perspective. Particular challenges related to the management of the post- merger integration process and complexities related to differences in national and organizational cultures, organizational design and knowledge-structures between the acquirer and the target company are discussed. It is argued that appropriate management of the merging firms ́ human resources as the merging firms ́ smallest common denominator, is the key to optimize the outcome of cross-border transactions and to achieve budgeted post-merger benefits. Based on the conceptual discussion, the paper concludes with key recommendations for how to manage a cross-border deal to minimize risks and increase the probability of achieving the objectives.

M&A led by technology companies are most often motivated by their need for certain technology, and most mergers, the strategies to grow the new company are quite clear. However, when M&A are led by financial investors or non-technology-based firms like private equity or trading and investment companies, the post-merger growth strategy to develop and manage the acquired firm's technology is often not well thought out. This is generally related to their lack of capability of managing of technology which can disturb long-term R&D work. However, some M&A carried out by private equity or trading and investment company, have had positive results. This study compares three M&A cases of trading and investment companies, private equity, and technology-based companies of technology-based firms. Comparisons are made based on financial figures, the ability to manage technology, and the success of the post-merger integration process. This study concludes with three suggestions, continuous synergy creation from parent company is essential for sustainable growth, corporate culture and business synergy must be considered carefully during the integration process, and retention of R&D employees and maintaining a technology-oriented corporate culture and environment are very critical for firm's new technology innovation.

The outcome is to present thoughts and insights on how the post-acquisition integration process should be organised, managed and implemented. One of the main reasons that value is not enhanced through business integration by means of mergers and acquisitions is the fact that the wrong corporate strategies and business integration strategies are formulated and selected. Another important factor is inadequate post merger management, not capable of handling the integration process and the major changes that take place in the organisation involved in the process. It has been noted in this paper that in order to increase shareholders' value through M & A, a carefully planned and formulated strategy is critical and a proper post-merger management plan / action plan has to be drawn up, put in place, and implemented. The twelve maxims for successful mergers and acquisitions are identified. It is established that M & A should be part of a planned strategic activity and the outcomes of acquiring a company should meet clear and measurable business objectives. Finding the right approach for success is critical to the process. Taking time to fully understand the acquired business properly, making changes at the appropriate speed, acknowledging and dealing with cultural issues, communicating both vertically and horizontally, motivating and rewarding key people in both organisations, and establishing consistent managerial controls and reporting are important issues that need to be addressed and dealt with. If not properly addressed and if the wrong approaches are taken, business integration will fail and value will be destroyed. What can be concluded is that an increase in the value of the parent company through mergers and acquisitions is heavily dependent on the chosen integration strategy and on establishing proper post-merger management to guide and manage the process to its successful end.

Book excerpt: "China is assuming an increasingly prominent position in the world economy as the investment begins to flow from China to the world. Compared to the 'West goes to China', the institutional environment, the cultural roots and the corresponding managerial behaviours are quite distinct. These distinct characteristics may challenge the conventional wisdom in the dominant mainstream theories of international business and multinational strategy. Based on both quantitative study, multi-case studies and over 50 interviews with Chinese and Western professionals, this thesis reflected the ambivalence of the government and Chinese companies in outward M&As. While the Chinese government shows a You Wei attitude towards outward M&As, You Wei acts on outward M&As in an ambivalent manner. On the one hand, the You Wei government positively facilitates outward technology exploration as an essential part of the technology development in China's high-speed rail industry; on the other hand, the You Wei government distorts the capital allocation for outward M&As between SOEs and POEs, and compensates for the loss by SOEs through low-cost debt financing. Similarly, Chinese companies behave ambivalently towards outward M&As. On the one hand, Chinese companies display a You Wei strategy, proactively coping with the various domestic stakeholders in the M&A legitimization process; on the other hand, they manifest a Wu Wei action, effortlessly dealing with post-acquisition integration in developed economies. Overall, the ambivalence of outward Chinese M&As is characterized by a typical Chinese "both/and" and interdependent opposites' managerial paradigm."--Samenvatting auteur.
