Changes in corporate governance were widely discussed during that decade in studies on “Japanese management.” These discussions have resulted in little progress, however, since Americanization became the dominant discourse concerning governance and the management system. There have been few studies conducted from an academic point of view on the internal aspects of organizations that practice traditional Japanese management theory. This book examines how, and the degree to which, the development of market principles accompanying the advances of globalization has affected the traditional Japanese system. It focuses on four aspects of corporate management: management institutions, strategy, organization, and human resource management. The aggregation of the new management system in Japanese companies is regarded as a distinctive Japanese-style system of management. With emphasis on these four aspects, research was conducted on the basic structure of that system, following changes in the market, technology, and society. Further, specific functions of the basic structure of the Japanese-style management system were studied. Those findings are included here, along with a discussion and analysis of the direction of future changes.

In Japan’s two “lost decades” after the bubble economy, the business model and corporate financing seem to have continued a gradual financial reform toward a more market-oriented system. CSR awareness and practices of Japanese companies have been influenced by social and environmental issues that global society and communities face. Furthermore, the Fukushima nuclear accident in 2011 triggered increasing attention paid to the responsibility of business toward society. In this process, major players in corporate governance and components of governance structure have continued to change. The conventional view of Japanese corporate governance and corporate finance is too narrow to understand this field in Japan. This book is based on empirical research to investigate how multifaceted CSR has aligned with business and finance and has influenced the corporate governance structure of Japanese companies. The findings and discussions in this book act are stepping stones in further research on the linkages between business and society, and provide empirical evidence on changes in Japanese corporate finance and governance.

If one glances at the many subsystems that form the Japanese economy's foundation, for example, such as private ownership of property, joint stock companies and well-developed markets, one is forced to conclude that yes, indeed, Japan belongs to the group of highly developed capitalist nations. Although not widely recognized yet, a new economic system has developed and been nurtured in Japan inside a shell of capitalism. The new system differs greatly from traditional capitalism, but that does not mean to say it has drawn close to socialism. Nor can the newness of this system be understood by viewing it as depending principally on either market or planning principles, or on the two in combination. This book discusses the new corporate system in specific terms, explaining how it differs from the system of orthodox capitalist corporations, in being both more progressive and more fitting for meeting the various conditions of contemporary industrial society. It also explains the circumstances, in the context of the new corporate system, that brought forth powerful corporations for which it is difficult to find comparisons in other countries.
