Book Reaping the Benefits of Mergers and Acquisitions

Download or read book Reaping the Benefits of Mergers and Acquisitions written by John Coffey and published by Routledge. This book was released on 2012-04-27 with total page 265 pages. Available in PDF, EPUB and Kindle. Book excerpt: Will the early years of the new century continue to witness the huge growth in merger and acquisition activity which marked the end of the last? The chances are that they will - witness the value of deals carried out by the top five investment banks in the first quarter of 2001 alone ($456.2 billion). The quest for the golden fleece is alive and well. Will the majority of M&As continue to fail to achieve their potential value? This book is about breaking out of the cycle of grand strategy, great prospects, poor implementation, lost opportunities. The authors believe that it is possible for M&As to realise their value - and more. Bringing home the golden fleece involves more than just setting sail in quest for riches. It's about understanding the destination/end game, and working out the most appropriate route. This book has been written with the practitioner in mind, with the thirteen chapters split into three sections. The first section provides an overview of the merger process and outlining the key elements of success. Section Two focuses on the nuts & bolts of managing the integration process - from transition to full integration. Illustrated by a detailed case study of Articon Integralis AG, the leading supplier of IT Security Solutions and Services in Europe. The final section looks at the themes that can make or break mergers - creating the culture of the new organisation, communications, retention and the roles of line managers and HR. Each section is supported by checklists that should be helpful whether you are a novice at the merger game or an expert.

Book Mergers and Acquisitions

Download or read book Mergers and Acquisitions written by Cate Doty and published by Penguin. This book was released on 2022-04-05 with total page 369 pages. Available in PDF, EPUB and Kindle. Book excerpt: A compulsively readable behind-the-scenes memoir that takes readers inside the weddings section of The New York Times--the good, bad, and just plain weird--through the eyes of a young reporter just as she's falling in love herself. Growing up in the south, where tradition reigns supreme, Cate Doty thought about weddings . . . a lot. She catered for them, she attended many, she imagined her own. So, when she moved to New York City in pursuit of love--and to write for The New York Times--she finds her natural home in the wedding section, a first step to her own happily-ever-after, surely. Soon Cate is thrown into the cutthroat world of the metropolitan society pages, experiencing the lengths couples go to have their announcements accepted and the lengths the writers go in fact-checking their stories; the surprising, status-signaling details that matter most to brides and grooms; and the politics of the paper at a time of vast cultural and industry changes. Reporting weekly on couples whose relationships seem enviable--or eye-roll worthy--and dealing with WASPy grandparents and last-minute snafus, Cate is surrounded by love, or what we're told to believe is love. But when she starts to take the leap herself, she begins to ask her own questions about what it means to truly commit... Warm, witty, and keenly observed, Mergers and Acquisitions is an enthralling dive into one of society's most esteemed institutions, its creators and subjects, and a young woman's coming-of-age.

Book Love and the Fighting Female

Download or read book Love and the Fighting Female written by Allison P. Palumbo and published by McFarland. This book was released on 2020-07-23 with total page 246 pages. Available in PDF, EPUB and Kindle. Book excerpt: The fighting female archetype--a self-reliant woman of great physical prowess--has become increasingly common in action films and on television. However, the progressive female identities of these narratives cannot always resist the persistent and problematic framing of male-female relationships as a battle of the sexes or other source of antagonism. Combining cultural analysis with close readings of key popular American film and television texts since the 1980s, this study argues that certain fighting female themes question regressive conventions in male-female relationships. Those themes reveal potentially progressive ideologies regarding female agency in mass culture that reassure audiences of the desirability of empowered women while also imagining egalitarian intimacies that further empower women. Overall, the fighting female narratives addressed here afford contradictory viewing pleasures that reveal both new expectations for and remaining anxieties about the "strong, independent woman" ideal that emerged in American popular culture post-feminism.

Book Reverse Mergers

Available in PDF, EPUB and Kindle. Book excerpt: In good markets or bad, reverse mergers play a key role for companies that want to avoid the IPO route for going public. Since the successful first edition of Reverse Mergers was published in 2006, the economic and regulatory landscape has changed. Executives, owners, lawyers, accountants, professional investors, regulators, and others need to know what those changes mean for reverse mergers. Reverse-merger expert David Feldman gives an overview of the most important changes since the previous edition was published: new SEC regulations, the changing nature of SPACs (Special-Purpose Acquisition Company), and the emergence of new instruments called WRASPs (WestPark Alternative Senior Exchange Process). The book includes a new chapter on China, and the “Experts Speak” chapter features all new interviewees. David Feldman is one of the country’s leading experts on reverse mergers, self-filings, and other alternatives to IPOs. His firm has guided hundreds of companies on going public, advising them on structure and mechanics, financing, due diligence, regulatory issues, and more.

Book Synergy in Mergers Acquisitions

Download or read book Synergy in Mergers Acquisitions written by Stefan Karenfort and published by BoD – Books on Demand. This book was released on 2011 with total page 150 pages. Available in PDF, EPUB and Kindle. Book excerpt: The creation of synergy, which is often illustrated as the "2+2=5-effect", is a dominant motive as well as a key success factor for Mergers & Acquisitions (M&A). Inadequate expectations with respect to the synergistic potential can however easily result in an overrated acquisition price. If the planned synergies later fail to materialize, it will be increasingly hard for the acquiring firm to achieve positive value gains for its shareholders. It is therefore vital to obtain a comprehensive understanding of the synergistic potential of a planned M&A project. This issue was addressed with a doctoral thesis investigating the underlying drivers of synergy realization, in particular the concept of business relatedness which describes the similarity of firm attributes, such as product-market presence, resource configuration and supply channel types. Using a quantitative hypothesis-testing survey design, more than 300 M&A consultants worldwide have been invited to evaluate past M&A transactions with respect to their synergistic effects. In contrast to earlier studies, the relatedness of the merging firms is established as a multi-dimensional concept considering various attributes of business relatedness simultaneously. The degree of relatedness is measured using managerial perceptions which is a comparatively new measurement approach transferred from diversification research to the field of M&A. The individual dimensions of relatedness show a different effectiveness concerning synergy realization providing further support to recent contributions which advocate a multi-dimensional conceptualization of business relatedness. The study identifies dimensions of business relatedness and their underlying drivers which are particularly relevant to predictions concerning the synergistic potential. The research project thus makes a valuable contribution to clarify the impact of relatedness on M&A performance and provides important implications for practitioners regarding the eval
