Book Directors Liability and Indemnification

Download or read book Directors Liability and Indemnification written by and published by . This book was released on 2011 with total page 627 pages. Available in PDF, EPUB and Kindle. Book excerpt: Directors' liabilities have been a key concern in boardrooms since the various high-profile corporate failures in Europe and the United States over the past two decades, when regulation increased and shareholders' and companies' rights to bring civil claims were extended. The current financial crisis will inevitably bring with it greater risks and challenges for directors. There is an increasingly aggressive environment for civil claims, fuelled by insolvencies, shareholder pressure and public outcry. The attention of the regulators is also ever more sharply focused on directors' conduct. Directors are understandably looking closely at the protection available to them, through both indemnification and directors' and officers' insurance. The exposures faced by directors and the extent to which indemnification and insurance may provide protection vary significantly around the world. This comprehensive second edition features contributions by leading experts on the important aspects of directors' liability, the protection available to directors and the risks of doing businesses in multiple jurisdictions. New to the second edition are chapters on China, the Czech Republic, Kazakhstan, Slovakia, South Korea and the United Arab Emirates. In addition to civil claims and indemnification, each chapter now includes commentary on regulatory and criminal liability. Particular focus is placed on the impact of the credit crisis. The book also features a new section dealing with regulatory issues surrounding global directors' and officers' programmes and their ability to provide cover in all intended jurisdictions. Unique in its approach, this new edition is a powerful tool in assisting directors, officers, in-house counsel and the private practice lawyers advising them to make well-informed judgements about the risks they are taking.

Book In Search of Corporate Accountability

Download or read book In Search of Corporate Accountability written by Stefan H. C. Lo and published by Cambridge Scholars Publishing. This book was released on 2016-01-14 with total page 410 pages. Available in PDF, EPUB and Kindle. Book excerpt: There is currently much debate over corporate social responsibility on whether business companies should look beyond shareholder primacy and profit maximisation to act for the benefit of others. It is generally agreed, however, even amongst advocates of shareholder primacy, that profit maximisation should only be achieved within the framework of external laws regulating the conduct of individuals and companies generally. If the objectives of such external laws are not to be defeated, then it is important for controllers of companies to ensure corporate compliance with the law. Despite this, controversies have arisen where corporate enterprises may have improperly flouted or evaded liabilities under the law. Against this background, it is argued in this book that it is necessary to ensure that responsible persons are accountable under the law so as to promote compliance with legal regulations in the corporate context. Individuals or entities behind the company who are responsible for wrongful conduct should be held liable under the law – whether it be tort law or statutory regulation. Some counter that the corporate law principles of limited liability and separate entity have the primacy to effectively shield those behind the company from at least certain types of liability. However, it is undesirable for corporate insiders to hide behind the company to avoid tortious or statutory liabilities. This book adopts a theory of interactive (corrective) justice that is applied in the corporate context to justify the imposition of civil liability on responsible directors, shareholders and other corporate participants under Anglo-Australian law. In light of this theoretical framework, possibilities of rectifying deficiencies in the law through judicial development of existing legal principles are examined. To the extent that appropriate directions in the law cannot be achieved via judicial development of the law, the book also investigates possibilities of statutory reform.

Available in PDF, EPUB and Kindle. Book excerpt: In our increasingly litigious society, no company can afford to be without directors' and officers' liability insurance. To the author, whose involvement with this form of liability insurance dates from its earliest introduction, the rapid growth in demand comes as no surprise. The current rule seems to be: If you can't sue the person you thought responsible, keep on filing suits until you hit a target. Directors' and Officers' Liability Insurance scrutinizes new legal developments and case law, new insurers and challenges in ownership, and new types of policy and marketing methods. Each chapter is constructed as a separate module for ease of use and practicality. The author provides the views and experiences of specialist practitioners together with detailed case studies. He also illustrates the links between other forms of insurance and their relationship with international company law. A well designed liability policy will go a long way in managing the potential liabilities that directors' and officers' face as they deliver their services to their clients. Directors' and Officers' Liability Insurance provides a comprehensive source of information useful to brokers and other professionals worldwide. This book is a necessity for any broker who has dealings with major companies, and for underwriters of companies moving into this sector. Features
