Book excerpt: Excerpt from Cases on the Law of Partnership, Including Limited Partnerships, Selected From Decisions of English and American Courts For years past the science of law has been taught by lectures, the use of text-books and more recently by the detailed study, in the class-room, of selected cases. Each method has its advocates, but it is generally agreed that the lecture system should be discarded because in it the lecturer does the work and the student is either a willing receptacle or offers a passive resistance. It is not too much to say that the lecture system is doomed. Instruction by the means of text-books as a supplement or substitute for the formal lecture has made its formal entry into the educational world and obtains widely; but the system is faulty and must pass away as the exclusive means of studying and teaching law. It is an improvement on the formal lecture in that the student works, but if it cannot be said that he works to no purpose, it is a fact that he works from the wrong end. The rule is learned without the reason, or both rule and reason are stated in the abstract as the resultant rather than as the process. If we forget the rule we cannot solve the problem; if we have learned to solve the problem it is a simple matter to formulate a rule of our own. The text-book method may strengthen the memory; it may not train the mind, nor does it necessarily strengthen it. A text, if it be short, is at best a summary, and a summary presupposes previous knowledge. If, however, law be considered as a science rather than a collection of arbitrary rules and regulations, it follows that it should be studied as a science. Thus to state the problem is to solve it; the laboratory method has displaced the lecture, and the text yields to the actual experiment. The law reports are in more senses than one books of experiments, and, by studying the actual case, the student co-operates with the judge and works out the conclusion however complicated the facts or the principles involved. A study of cases arranged historically develops the knowledge of the law, and. each case is seen to be not an isolated fact but a necessary link in the chain of development. The study of the case is clearly the most practical method, for the student already does in his undergraduate days what he must do all his life; it is curiously the most theoretical and the most practical. After the work was begun, however, it seemed advisable to abandon Mr. George's text for the most part, and to prepare a substantially new treatise, us ing such portions of his work as should be found suitable. With the exception, therefore, of Chapters VIII and IX, the present book, both in arrangement and text, is new. A few passages and a number of citations and notes have been taken from Mr. George. Chapters VIII and IX are repro duced substantially as found in Mr. George's book, with the addition of later cases. The law on the subject being rea sonably well worked out in the authorities, the aim of the present author has been to make a clear and definite state ment of the leading principles, in a form serviceable alike to students and practitioners. Whatever merit the book has lies in this direction, rather than in the discussion of controverted points, or the advancement of new theories. The citations, while including all the leading cases, are not exhaustive, but are sufficiently full for practical purposes. From this experience, the writer became convinced of the value of the use of cases, in his classes, and he has used them in mimeograph form in connec tion with text for some time with considerable success. Book excerpt: Excerpt from The Law of Limited Partnership The American system of Limited Partnerships, adopted in Upper Canada and in a the organized subdivisions of the United States except the three Territories of Arizona, Idaho, and New Mexico, is unknown in the rest of the world. The idea of a limited partnership arose several centuries ago (see 3, 4) in Italy, and thence spread to the Netherlands, Spain, and France, where, viewed with eyes of lenient construction by courts and commentators, it grew to luxuriant proportions, only partially trimmed by the repeal of 38 of the Code de Commerce in 1856. The French statute without the French construction was grafted upon our jurisprudence in 1824; but the process of integrating it with the common law choked the exotic outgrowth in the germ and produced a native system bearing no resemblance to the parent, yet which, though arising under the statutes of forty-five different States, forms a consistent and homogeneous system, as does the system of Code Pleading, with almost none of the chromatic aberrations that might have been expected from the media of so many atmospheres.
