Book excerpt: Malgré l'harmonisation du droit de l'agence commerciale réalisée par une directive communautaire en 1986, il subsiste toujours d'importantes différences entre les législations internes des États membres. La comparaison des droits français et allemand, qui ont adopté de nombreuses règles ancrées dans leur tradition juridique respective pour organiser le statut protecteur de l'agent commercial, en est la parfaite illustration. La confrontation de ces deux droits, objet de cette étude, amène l'auteur à progresser en deux temps. En premier lieu, il revient sur les différents principes et solutions mis en oeuvre par ces deux droits. Sans occulter les multiples points de convergence, l'examen des questions principales comme la qualification de l'agent commercial, l'application analogique de son statut protecteur aux autres intermédiaires, les mécanismes de la représentation conférée à l'agent, son éventuel dédommagement en cas d'obligation de non-concurrence postcontractuelle, ne reçoivent pas les mêmes réponses de part et d'autre du Rhin. Enfin, en cas de cessation du contrat, la directive n'a pas su choisir entre la solution allemande, qui consiste à indemniser l'agent pour la clientèle qu'il a créée pour le compte de son commettant et que se dernier va conserver, et la solution française, qui prend la forme d'une réparation du préjudice subi du fait de la cessation du contrat. L'étude des règles françaises et allemandes de droit international privé s'avère alors dans un deuxième temps indispensable pour véritablement répondre aux principales interrogations naissant face à un contrat d'agence commerciale franco-allemand, car par se finalité, l'agence commerciale a une propension naturelle à déborder le simple cadre national. Cela pose avec acuité la question de la loi applicable (avec son corollaire la détermination de la juridiction compétente), question devenue aujourd'hui fondamentale du fait du risque de mettre à bas le statut protecteur de cet intermédiaire par le choix de la loi d'un État ignorant une telle protection. L'auteur en conclut que la sécurité juridique de cet intermédiaire impose de reconnaître aux dispositions législatives françaises et allemandes sur l'agence commerciale un caractère de lois de police "communautaire" à l'encontre même de ces États tiers, seul à même de garantir l'objectif de protection visé par la directive. Du fait de l'étendue du sujet traité, cette étude intéressera tous ceux qui souhaitent travailler ou revisiter le droit commercial et de la distribution, le droit des obligations, ainsi que le droit international privé en France et en Allemagne. Les praticiens y puiseront pour leur part des références législatives et jurisprudentielles récentes et complètes sur l'agence commerciale dans ces deux pays.

The results of this work were sent to the European Commission and have already been published in French. The English translation is now being published by sellier.elp. This work could contribute to the wider European project. The part on the guiding principles could be a component of the CFR, in the form of "black letter" model rules or recitals. The part on terminology is, in itself, useful for the elaboration of the final various linguistic versions of the CFR. It finds its place within the materials which will accompany the model rules. Last but by no means least, the revised version of the PECL should be considered by the European institutions as an alternative set of model rules on contract law.

Book excerpt: The Violence of Modernity turns to Charles Baudelaire, one of the most canonical figures of literary modernism, in order to reclaim an aesthetic legacy for ethical inquiry and historical critique. Works of modern literature are commonly theorized as symptomatic responses to the trauma of history. In a climate that tends to privilege crisis over critique, Debarati Sanyal argues that it is urgent to rethink literary experience in terms that recall its contestatory potential. Examining Baudelaire's poems afresh, she shifts the focus of critical attention toward an account of modernism as an active engagement with violence, specifically the violence of history in nineteenth-century France. Sanyal analyzes a literary current that uses the traditional hallmarks of modernism—irony, intertextuality, self-reflexivity, and formalism—to challenge the historical violence of modernity. Baudelaire and the committed ironists writing in his wake teach us how to read and resist the violence of history, and thereby to challenge the melancholy tenor of our contemporary "wound culture." In a series of provocative readings, Sanyal presents Baudelaire's poetry as an aesthetic form that contests historical violence through rhetorical strategies of complicity, counterviolence, and critique. The book develops a new account of Baudelaire's significance as a modernist by dislodging him both from his traditional status as a practitioner of "art for art's sake" and from his more recent incarnation as the poet of trauma. Following her extended analysis of Baudelaire's poetry, Sanyal in later chapters considers a number of authors influenced by his strategies—including Rachilde, Virginie Despentes, Albert Camus, and Jean-Paul Sartre—to examine the relevance of their interventions for our current climate of trauma and terror. The result is a study that underscores how Baudelaire's legacy continues to energize literary engagements with the violence of modernity.
