Scholars advocate that women are more risk-averse, more engaged with longer-term issues and tend to draw more attention to governance and ethics. Thus, it is suggested that due to the behavioural differences between men and women, more gender-balanced boards would have prevented a number of financial collapses. This assertion has triggered more detailed analyses of current statistics for women on boards in the European Union. A number of states have implemented various non-binding measures for improving female representation on boards. This brought them acclaim, yet no discernible results. Should we indeed insist to have gender-balanced boards, we need quotas. Evidence is of strong support.

However the way that directors are appointed remains opaque and prone to the influence of gender. Using a social constructionist understanding of gender and a discourse analysis, Gender and Corporate Boards explores the board appointment process through the experiences of women and men seeking non-executive board roles. The book is unique in that it traces board-ready candidates, who have been vetted by an executive search firm, over an 18-month period. By taking a longitudinal and prospective view rather than retrospective and snapshot, it provides deep analysis of how the board appointment process is gendered. This volume privileges the voices of those who are seeking board roles to show how they make sense of an unpredictable and complex process. Gender and Corporate Boards first analyses how aspirant board candidates see themselves in relation to the market, through exploring their perceptions of the ideal board member and how they position themselves towards this ideal. Second, the book shows how candidates must leverage their networks to get board appointments, and that the process is gendered: women and men receive different benefits from their networks. Third, the book explores how the participants make sense of success and failure and how their justifications are also gendered. Book excerpt: The note reviews the evidence on the effectiveness of legal instruments as compared with voluntary regimes in narrowing the gender gap on corporate management boards. It finds that legal instruments to enforce quotas are an effective and fast means of achieving change. The use of voluntary regimes has led to some increase in the proportion of women on corporate boards, but the effects are significantly smaller and slower. The only instance of achieving 40% of each gender was through the use of legal instruments to enforce quotas. The note identifies and reports on the positions and recommendations of nine international bodies on this matter.

Book excerpt: Recently, U.S. activists, scholars, and policy makers have turned their attention to a notable effort to address the large gender gap in top business management: gender quotas for corporate boards of directors. Gender quotas for corporate boards represent an intriguing option, even if the empirical case for quotas is not airtight. Still, gender quotas may seem a cultural and legal oddity in the United States, a European transplant unlikely to take root here. Even if a quota could survive constitutional scrutiny, gender quotas for corporate boards seem to represent the kind of intrusive state regulation of business that our nation's laissez faire ideology seems to reject. American ideals of free markets, investor choice, and employment at will sit uneasily, to put it mildly, with the notion that the state should dictate to investors the gender of the decisionmakers entrusted with the management of their money.But a closer look at U.S. institutions reveals that the cultural and legal mismatch is not as severe as it may first appear. Gender quotas designed with sensitivity to exceptional U.S. institutions could fit comfortably with U.S. legal institutions. For instance, the federal tax code and securities law may offer stronger vehicles for implementation of a mandatory or voluntary effort than state corporate law. To take another example, the prominence of nonprofits in health care and education should prompt us to consider carefully whether some (or all) nonprofits should be subject to quotas as well and how nonprofits might be integrated into tax-based initiatives. Finally, thoughtful transition policies could address concerns about the scarcity of women in the pool of qualified director candidates.

When the last Swiss canton enfranchised women in 1990, few countries barred women from the polls. Why did pro-suffrage activists in the United States and Switzerland have such varying success? Comparing suffrage campaigns in forty-eight American states and twenty-five Swiss cantons, Lee Ann Banaszak argues that movement tactics, beliefs, and values are critical in understanding why political movements succeed or fail. The Swiss suffrage movement's beliefs in consensus politics and local autonomy and their reliance on government parties for information limited their tactical choices--often in surprising ways. In comparison, the American suffrage movement, with its alliances to the abolition, temperance, and progressive movements, overcame beliefs in local autonomy and engaged in a wider array of confrontational tactics in the struggle for the vote. Drawing on interviews with sixty Swiss suffrage activists, detailed legislative histories, census materials, and original archival materials from both countries, Banaszak blends qualitative historical inquiry with informative statistical analyses of state and cantonal level data. The book expands our understanding of the role of political opportunities and how they interact with the beliefs and values of movements and the societies they seek to change.

Book excerpt: More Women on Boards: An International Perspective is the seventh volume in the Women and Leadership: Research, Theory, and Practice book series. The purpose of this volume is to explore the complexity of issues related to increasing the number of women on boards of directors around the world: how these issues have been understood; how they have been more and less successfully addressed in different countries and industries; and how they are similar, and yet different, as a results of cultural and legal differences. In the Introduction and 18 chapters included in this book, 42 researchers, activists, and practitioners who were raised or work today in at least 17 countries on 6 continents seek to answer the questions: “Why have women on boards?” “Why is adding women to boards so challenging?” “What actions increase the number of women on boards?” and “What can we learn from situations where there are women board members?” In seeking to answer these questions, the authors summarize previously existing research and share the results of their own recent qualitative and quantitative research studies conducted in many different countries. Both “fix the woman” and “fix the society” challenges and solutions are explored. Stories of women who have successfully joined and, in many cases, led boards of directors are shared. It is clear to us, and we believe will be clear to those who read this book, that there is no single program that will lead to gender equality on boards; however we believe that the authors in this volume provide a rich variety of research and well supported suggestions for addressing the challenges. When local cultures are considered and multiple suggestions implemented as appropriate, we are confident we will, together, increase the number of women on boards throughout the world.
