Book The Theory and Application of Multinational Corporate Governance

Download or read book The Theory and Application of Multinational Corporate Governance written by Runhui Lin and published by Springer Nature. This book was released on 2022-02-07 with total page 204 pages. Available in PDF, EPUB and Kindle. Book excerpt: Multinational enterprises have become a main engine of the global economy, technical advancement, and product innovation, playing a pivotal role in the world economy and the global technological revolution. However, MNEs are also often embroiled in financial fraud and corporate scandal which show that MNEs should improve their corporate governance. Meanwhile, as COVID- 19 runs rampant across the world, populism and deglobalisation have resurged, and protectionism and unilateralism are exerting negative impacts on the world economy. Achieving sustainable development in this context is a test of a company’s management and governance abilities. How should they be governed? This book will be a useful tool for university research-led teaching and fundamental research in corporate governance theories of MNEs in general, as well as using Chinese case studies as evidence to support our theoretical arguments.

Book Performance Evaluation of Foreign Subsidiaries

Download or read book Performance Evaluation of Foreign Subsidiaries written by Hendrik Vedder and published by GRIN Verlag. This book was released on 2008-12 with total page 62 pages. Available in PDF, EPUB and Kindle. Book excerpt: Seminar paper from the year 2008 in the subject Business economics - Controlling, grade: 1,7, European Business School - International University Schlo Reichartshausen Oestrich-Winkel, course: Seminar Controlling, 28 entries in the bibliography, language: English, abstract: Long before the globalisation had become a buzz word and an impetus for companies to invest abroad, enterprises enlarged their "business playing field" into foreign countries for various reasons, such as to capture a new market, to secure resources, or to take advantage of local cost levels. Therefore, subsidiaries are heavily involved in the value creation process for and within multinational corporations (MNCs). However, despite the fact that the measurement of performance is crucial for globally active companies not only in steering the value creation for the MNC but also, for example, in fostering international expansion or guiding resource allocation, MNCs differ significantly in the extent to which they are aware of the performance of their subsidiaries. Due to the fact that strategic decisions regarding the global expansion of a MNC require a wide and clear information basis to be able to assess how successfully a foreign subsidiary has conducted its business or under what possibly unfavourable environmental conditions the business results were achieved, multinational enterprises have to implement a system for evaluating the performance of their foreign subsidiaries and their management. Therefore, this paper aims to analyse the central aspects to consider in the evaluation of the performance of foreign subsidiaries. This paper is divided into five chapters. After a short introduction to the theoretical background of performance evaluation in chapter 2, the paper continues in chapter 3 with the central issues of an effective performance evaluation system for foreign subsidiaries with a clear focus on the aspect of separating managerial and subsidiary performance. Then chapter 4 illustrate

Book Foreign Market Subsidiary Mandates

Download or read book Foreign Market Subsidiary Mandates written by Nicolas Lohr and published by Springer Science & Business Media. This book was released on 2013-06-28 with total page 311 pages. Available in PDF, EPUB and Kindle. Book excerpt: This book investigates how foreign subsidiaries of multinational corporations expand their presence and functional scope into foreign territories. It thereby focuses on how cross-border subsidiary mandates are obtained and how they develop over time. Multiple case-studies based on in-depth interviews with HQ and subsidiary management suggest that subsidiary internationalization represents a select MNC phenomenon and that associated foreign market mandates are only of temporary nature. Foreign subsidiaries appear to receive cross-border responsibility if their value proposition for overcoming liability of inter-regional foreignness is capable of more than offsetting any risk increase that stems from principal-agent relationships between corporate headquarters and foreign subsidiaries. Following the initial mandate gain, the subsidiary’s restrained access to HQ-like functions, intra-MNC competition and altering localization degrees in the market covered by the mandate puts the sustainability of cross-border responsibilities at risk. As a consequence, internationalization trajectories of foreign subsidiaries often follow discontinuous rather than gradual evolutionary paths. In addition, cross-border subsidiary mandates often appear to be predefined and temporary in nature. They might actually have a limited life span from their very conception.

Book The Relative Performance of Joint Ventures and Wholly Owned Subsidiaries and the Reasons why They Exit

Download or read book The Relative Performance of Joint Ventures and Wholly Owned Subsidiaries and the Reasons why They Exit written by Matthias Otto and published by Diplomarbeiten Agentur. This book was released on 2010 with total page 62 pages. Available in PDF, EPUB and Kindle. Book excerpt: Using data on more than 200 foreign entries made by Dutch MNEs between 1995 and 2003, this study examines the relative performance of jointly-owned and wholly-owned affiliates and sheds light on the underlying reasons why these two types of affiliates exit. By employing performance measures such as average longevity and exit rate, and by differentiating between exits through liquidations and those through sell-offs, I find that there are no essential performance differences between WOSs and JVs, which is in line with the results of prior scholarship. Furthermore, the findings reveal that both WOSs and JVs mainly exit voluntarily. The most prevalent reason for WOS exit is strategic restructuring, whereas the most common reason for JV exit is fierce competition in the host market. Finally, I discover supporting evidence for the proposition that MNE parents are more likely to buy out local partners from JVs over which they have majority ownership than from JVs over which they have minority ownership.

Book New management How are subsidiaries integrated

Download or read book New management How are subsidiaries integrated written by Henrik Fürst and published by GRIN Verlag. This book was released on 2017-03-22 with total page 34 pages. Available in PDF, EPUB and Kindle. Book excerpt: Examination Thesis from the year 2015 in the subject Business economics - Business Management, Corporate Governance, grade: 07, University of Southern Denmark, language: English, abstract: What are the most important steps for a Headquarter to be successful with a foreign subsidiary? Which role do cultural differences play within the integration process of HQ and subsidiary? Wal-Mart, the world's most powerful and largest retailer, is intensifying its activities in India. After failing with a Joint Venture with an Indian company, its subsidiary Best Price Modern Wholesale is now focusing on the Indian wholesale sector, instead of the end consumers. This topic is of relevance because Multinational Corporations (MNC) often forget to integrate their subsidiaries, especially the foreign subsidiaries. The integration is of importance because it generates a successful flow. Therefore this report will focus on Wal-Mart as the Headquarter and takes a closer look at its acceptance and integration of a foreign market. Best Price Modern Wholesale is a subsidiary of Wal-Mart and is a perfect case of how a subsidiary integration process can fail and how to manage the failure towards possible success.

Book Multinational Corporations and Foreign Direct Investment

Download or read book Multinational Corporations and Foreign Direct Investment written by Stephen D. Cohen and published by Oxford University Press. This book was released on 2007-02-03 with total page 382 pages. Available in PDF, EPUB and Kindle. Book excerpt: Foreign direct investment (FDI) and multinational corporations (MNCs)--for better and worse--play a large and growing role in shaping our world. The integrating thesis of this book is the inevitability of heterogeneity in FDI and MNCs and, accordingly, the imperative of disaggregation. Large companies doing business on a global basis increasingly dominate the production and marketing of the world's goods and services. The importance of these companies continues to grow while the debate about their nature and effects remains mired in a long-standing stalemate couched in strong black and white terms. Stephen D. Cohen seeks to reconcile this impasse by analyzing multinational corporations and foreign direct investment in an eclectic, nuanced manner. The core thesis is that an accurate understanding of the nature and impact of these phenomena comes from acknowledging the dominance of heterogeneity, perceptions, and ambiguity and the paucity of universal truths. This approach should contribute significantly to both a better academic understanding and a more productive policy debate of an increasingly important element of the world economy.

Book Performance Evaluation of Foreign Subsidiaries

Download or read book Performance Evaluation of Foreign Subsidiaries written by Stefan Schmid and published by . This book was released on 2010 with total page 0 pages. Available in PDF, EPUB and Kindle. Book excerpt: During recent years, the literature on the international dimension of business has grown. In particular, the literature on headquarters-subsidiary relationships has expanded. This paper aims to review the literature on performance evaluation and elaborate an integrative contingency framework. This contingency framework helps to clarify the concept of performance evaluation and to classify existing contributions. Furthermore, the framework serves as a tool to identify potential influencing factors on performance evaluation at corporate and at subsidiary level. By reviewing existing studies, the paper analyses the impact of these influencing factors on performance evaluation and reveals mostly contradictory results or no significant impact at all. Based on the findings, more research outside the classical tradition of contingency approaches is suggested.
