Si la construction de ces fonds se révèle désordonnée et incomplète, une notion commune de fonds, issue de la tradition romaine du fundus cum instrumento, peut cependant être dégagée. Le fonds apparaît ainsi comme un " ensemble complexe de choses et d'obligations affectées à une activité professionnelle ". Une conception renouvelée et dynamique du fonds, conçu comme l'outil de l'activité économique, conduit à inclure dans son assiette non seulement les immeubles mais également les contrats, les créances et les dettes affectés à l'activité exercée. Si elle était reçue, cette conception moderne du fonds serait d'une utilité certaine dans de nombreuses branches du droit Elle simplifierait ainsi l'application de l'article L 122-12 du Code du travail et se substituerait aux concepts flous de branche autonome d'activité en matière d'apport partiel d'actif et en droit de procédures collectives.
