Book excerpt: Los contratos mercantiles son los principales actos de comercio a los que se refiere el vigente Código de Comercio de 1885, pero el legislador no define ninguno de estos conceptos, ni fija sus características esenciales. Como señala la Exposición de motivos del proyecto de 1882 del Código de Comercio, la determinación por parte del legislador de una regla o patrón que sirva de criterio a los particulares y a los tribunales para decidir en cada caso concreto lo que debe entenderse por acto de comercio constituye uno de los problemas más difíciles de la ciencia moderna. Además, aun en el supuesto de que fuera completa la lista de actos y operaciones mercantiles, ofrecería siempre el inconveniente de cerrar la puerta a combinaciones, hoy desconocidas, pero que pueden fácilmente sugerir el interés individual y el progreso humano. Por ello, el legislador se decidió por una fórmula práctica, exenta de toda pretensión científi ca, pero tan comprensiva que en una sola frase enumera y resume todos los contratos y actos mercantiles conocidos hasta ese momento y tan flexible que permite la aplicación del Código a las combinaciones del porvenir. Los actos y contratos de comercio no son sólo los que están regulados expresamente en el Código de Comercio (sociedad, depósito, compraventa, transporte, etc), sino cualesquiera otros de naturaleza análoga (art. 2 Código de Comercio). Esta fórmula ha permitido califi car como mercantiles las leyes que regulan actos y contratos de comercio de nueva creación. En la misma línea que el legislador y la doctrina científi ca posterior, estos esquemas de derecho de los contratos mercantiles analizan también sin ánimo exhaustivo los principales contratos de comercio regulados en el Código de Comercio y en las normas más modernas. También se estudian algunos contratos mercantiles atípicos o que carecen de una regulación normativa completa, pero cuya presencia en el tráfi co jurídico actual es manifi esta, sobre todo si ha sido reconocida por la jurisprudencia reiterada del Tribunal Supremo y la doctrina mercantilista. En cambio, no se analiza el contrato de compañía o sociedad mercantil, ni el derecho de los títulos valores que, catalogados como contratos mercantiles en el Código de Comercio, se tratan en el derecho societario y cambiario, respectivamente. En relación al orden de presentación de los contratos mercantiles, caben varias formas, tal y como ponen de manifi esto las diferentes obras doctrinales. Se ha optado por un criterio que sigue en la medida de lo posible la clasifi cación que realiza el Código de Comercio de 1885, complementándola con las nuevas leyes y contratos.
