Book excerpt: Ofsted today publishes the Annual Report 2010/11, drawing on over 31,000 inspection visits across the schools, early years, children's social care and learning and skills sectors in England. Launched by Her Majesty's Chief Inspector Miriam Rosen, this in-depth analysis provides an insight into the quality of those services for children and learners, what is working well and what needs to improve. The report highlights how an inadequate inspection judgement, whether for a children's home or a school, a college or a nursery, can be an important catalyst for change. For example, the total number of schools in a category of concern - that is judged to be in special measures or being given a notice to improve - reduced from 553 at the end of last year to 451 at the end of August 2011. Over a fifth of schools judged inadequate at their previous inspection were found to be good or better when inspected again this year. In addition, schools are now emerging from special measures faster than the previous year - after an average of 18 months rather than 20. In inspections of local authorities'; children's social care, where Ofsted completed the second full year of unannounced inspection of contact, referral and assessment arrangements, weaknesses identified the previous year had been addressed in the great majority of cases.

Book excerpt: The Business, Innovation and Skills Committee has today published a report containing a number of conclusions and recommendations resulting from its inquiry into the Insolvency Service, including: (i) without an increase in resources the investigations unit will be unable to increase the number of cases it can prosecute which will further undermine stakeholder confidence; (ii) there is a risk that further reductions in annual running costs and staff may put undue pressure on the Insolvency Service to deliver; (iii) it is clear from the evidence that the fee-generated income model for the Official Receiver Service is unreliable in the current economic climate (iv) issues remain with pre-pack administration, which need to be addressed; (v) given the level of debt relief they can receive, it would not be unreasonable to increase the £525 upfront fee that individual debtor bankrupts have to pay. The Committee welcomes the news that the regulators and the insolvency industry have been working together to create common regulatory standards across the profession. The creation of a single gateway for complaints, common standards and a common appeals process would be an important step in this regard. The Service should be required to publish an annual report that charts progress in this area.

The Committee considered whether to recommend that the MAS be scrapped completely but given that the Treasury had already announced its intention to conduct a review of the MAS they granted a stay of execution. They asked the Government to expedite this review and recommended that it should be independent, rather than led by the Treasury. The review must assess whether the MAS should continue to exist and, if so, how it can overcome the serious problems discussed. The current management of the MAS should also explain how they are going to act on the concerns identified. The independent review should seek to answer the following questions: Should the Money Advice Service-or something like it-exist as a statutory organisation? If so, what should the role and strategy of such a body be? Should it be a co-ordinator, commissioner or direct provider of advice? What channels should it use? If not, should the FCA take responsibility for the objectives of the Service? Does the FCA need greater statutory powers to hold the Money Advice Service to account? What are the views of other bodies in this sector about the way in which the Money Advice Service is now engaging with them? To what extent does the work of the Money Advice Service unnecessarily duplicate existing provision? What should the role of the Service be in each of the areas in which it operates? Is the remuneration of the Service's senior staff set at an appropriate level?

Book excerpt: The Foreign Affairs Committee believes the events of the 'Arab Spring' should stand as a reminder to the Foreign and Commonwealth Office (FCO) that failing to take a stronger and more consistent stance against human rights violations by overseas regimes can carry risks for the UK. Any suggestion that the FCO downplays criticism of human rights abuses in countries with which the UK has close political and commercial links is damaging to the UK's reputation and undermines the department's overall work in promoting human rights overseas. The Committee is less confident than the FCO that there is little conflict between its simultaneous pursuit of both UK commercial interests and improved human rights standards overseas. The Committee heard concerns on this front with respect to Saudi Arabia and Bahrain in particular. There should be a more robust and significantly more consistent position on human rights violations in the Middle East and North Africa. On China, the Committee finds it difficult to support the Government's approach to human rights engagement with China in the continuing absence of any evidence that it is yielding results, and when the human rights situation in China appears to be deteriorating. The Government should engage in more explicit, hard-hitting and consistent public criticisms of human rights abuses in China. The Committee welcomes the FCO's continued production of an annual human rights report and the Government's recognition that the UK's own human rights practices affect its international reputation and ability to pursue improvements in human rights standards overseas.

It welcomes the lowering of the limit of the Scheme from £5 million to £1 million, in line with its recommendation made in July, but is deeply concerned that not a single loan or loan guarantee has been made under the programme. The Committee calls on the Government to expedite its negotiations, and prove to the Committee and the automotive industry that the Scheme can provide tangible benefits to companies in the sector.

Book excerpt: This book provides a complete framework for contemporary shareholder activism and its implications for US corporate governance, which is based on director primacy theory. Under director primacy theory, shareholders do not wish to be involved in the management of the company; in the rare event that they wish to be involved, it is considered a transfer of power from the board of directors to shareholders, which in turn reduces the efficiency of centralised decision-making in public companies. However, this book demonstrates that shareholders do not use their power to transfer corporate control from the board to themselves, and that some form of shareholder activism is even collaborative, which is a new paradigm for US corporate governance. This book shows that while monitoring remains a key contribution of shareholders, they also bring new informational inputs to corporate decision-making that could not be obtained under the traditional board model. Accordingly, contemporary shareholder activism enhances the board’s decision-making and monitoring capacity, without undermining the economic value of the board's authority. Therefore, this book argues that the complete approach of contemporary shareholder activism should be accommodated into US corporate governance. In doing so, this book considers not only legal and regulatory developments in the wake of the 2007–2008 financial crisis, but also the governance developments through by-law amendments. Furthermore, the author makes several recommendations to soften the current director primacy model: establishing a level playing field for private ordering, adopting the proxy access default regime, the majority voting rule, the universal proxy rules, and enhancing the disclosure requirements of shareholders. This is in contrast to many other countries where the concept of an 'economic constitution' is well established, as it is in the law of the European Union. Given the extensive role of the state in attempting to resolve recent financial crises in the UK and elsewhere in Europe, it is particularly important to develop such an analysis. This book sets out different meanings of an economic constitution, and applies them to key areas of economic management, including taxation and public borrowing, the management of public spending, (including the Spending Review), monetary policy, financial services regulation, industrial policy (including state shareholdings) and government contracting. It analyses the key institutions involved such as the Treasury and the Bank of England, also including a number of less well-known bodies such as the Office for Budget Responsibility. There is also coverage of the international context in which these institutions operate especially the European Union and the World Trade Organisation. It thus provides an account of the public law applying to economic management in the UK. This book also adopts a critical approach, assessing the degree to which there is coherence in the arrangements for economic management, the degree to which economic policy-making is constrained by constitutional norms, and the degree to which economic management is subject to deliberation and accountability through Parliament, the courts and other institutions.
