Book excerpt: Governing boards of organizations have come under scrutiny in recent decades for financial problems, leadership scandals, and a variety of other uncomfortable reasons. Trustees might have prevented challenges and scandals if the appropriate board oversight were in place including the right board structures, practices, culture, governance, and communication processes. Colleges, and university boards in particular, operate in a unique space given their organizations' mission to educate the next generation of students, conduct groundbreaking research that promotes the development of new knowledge, and engage in civic activities among other endeavors. These organizations are held in high esteem because of the importance of their mission, despite reported poor decisions and scandals within the industry. Governing boards vary greatly in size, structure, culture, and effectiveness of operation. Their members make decisions about the direction of the institution, including changes in leadership, mission, purpose, or strategy. However, these decisions remain a mystery to most scholars and, certainly, to the general public who are the consumers of their educational services. With global disruption due to the COVID-19 pandemic, the role of governing boards and their decision-making has become even more critical to institutions' long-term sustainability. This study utilized a qualitative multiple case study approach to examine how two different types of higher education governing boards (private and public) determine when to make decisions about significant changes within the organization. To develop an understanding of the operations of a governing board in relation to the change process and leadership change, in-depth interviews were conducted with governing board members from two different higher education institutions in the northeastern United States. The communication practices between the governing board and the president in particular were explored as a component of the decision-making process, in light of shifts in the educational landscape due to the pandemic. Through an analysis of governing boards' decision-making process, as well as their structure, culture, governance practices, performance, and relationship to the president of the organization, this study has identified factors that contribute to governing boards' decisions to make significant change.

Book excerpt: In the United States, public higher education governing boards have increasingly been held accountable by key stakeholders to decrease operational costs while providing increased access to students. Using Bush's Educational Leadership and Management Theoretical Framework, this case study examined the impact of online learning delivery on board policy development at the University of Central Florida (UCF), and the Florida Board of Governors (BOG). The research described the policy and decision making processes at UCF and the BOG including how policy makers and external stakeholders influenced the decision making process. The findings of the study addressed the significance of the problem of practice and the research question. UCF's online delivery model directly addressed the concerns of the administration and the governing boards by increasing access to students, and keeping costs down with the development of a hybrid mixed mode education delivery model. Moreover, the case study findings suggest that an informed decision making process such as the one utilized by UCF can help an institution to successfully achieve its strategic mission and goals in a thoughtful and deliberative decision making process. The research is significant because it helps to inform the higher education practice regarding a policy making process that could help decision makers, particularly in the area of online learning policy. The research further informs higher education administrators regarding the influence of a shared governance approach to policy and decision making and external stakeholders including elected officials in a policy making process that is highly influenced by key political leaders.

Book excerpt: Shared governance is the foundation of governance in higher education; a process of joint decision-making whereby governing boards, administration, and faculty share a voice in institutional decision-making. The shared governance structure necessitates a relationship among the governing boards, administration, and faculty; however, scholarship on how the three bodies of shared governance interact in the governance process is limited, particularly the relationship between faculty and the governing board. A 2009 Association of Governing Boards (AGB) survey examined the relationship between governing boards and faculty to determine how they collaborate on institutional governance but included no faculty in the study. This study replicated and modified the original survey to examine faculty perceptions of their role in higher education governance and, more specifically, the perceptions of the shared governance relationship between faculty and the governing board. In contrast to the findings from the AGB survey that reported the relationship to be positive and healthy, the findings from the current study determined that faculty perceived trustees to have almost no awareness of the faculty role, to have more influence in decision-making than faculty, and limited direct engagement with faculty. The findings of this study support the literature that points to vast discrepancies in faculty and trustee perceptions of their roles. Additionally, it is reasonable to conclude based on the faculty perceptions that the shared governance structure is a necessary, but fragile model of governance. Despite the frustrations, challenges, and pervading discrepant perceptions, faculty strongly believed that an engaged working relationship between faculty and the governing board is necessary for the effective governance of institutions.

Book excerpt: Governance in U.S. higher education is discussed, based on a 1982 survey of decision making in higher education with attention to its roots, the effects of current conditions on decision-making arrangements, and a possible governance framework for the future. While both private and public education are considered, the public sector is emphasized. Governance is defined as both formal decision arrangements and informal procedures by which standards are maintained. Information was obtained from a survey of decision-making in state higher education agencies, flagship universities, four-year colleges, and two-year colleges. After discussing the mission of universities, the tradition of self-regulation in American higher education is examined, including the governing board and voluntary accreditation. Also covered are outside governance connections (the state, the federal government, and the courts) that have significantly altered the mission and governance of higher education. It is concluded that, on balance, higher education's partnership with governments on both state and national levels has generated far more benefits than it has administrative burdens. However, because external influences on academic governance should not be allowed to overwhelm internal governance structures, colleges are urged to strengthen self-regulation capacity, to take leadership roles, and to revitalize their historic governance tradition.
