Download or read book Corporate Restructuring and Creation of Shareholder Value the Case of India written by Pavak M. and published by . This book was released on 2023-01-12 with total page 0 pages. Available in PDF, EPUB and Kindle. Book excerpt: Business corporations across the world have a long and glorious past. They are veins through which the money circulates in the economy. They not only provide goods and services to people but also their contribution to the global economy, the wealth of nations, and economic variables like employment, inflation, and interest rates are remarkable. Like large business corporations of the world, Indian businesses also have a glorious past. They have withstood the changes of times from colonial rule, to independence and from a protectionist economy to liberalization and globalization. These Indian businesses have seen these transformations and have adopted changes through an exercise known as corporate restructuring. Corporate restructuring means a significant change in the resources that a corporation allocates to markets or process activities or geographical locations in which it is present. Corporate restructuring can be carried out for different purposes in many ways. The study concentrates on demergers that have been carried out as a part of corporate restructuring as a process and tries to establish a relationship between demergers and the value creation for shareholders.

Book excerpt: Seminar paper from the year 2004 in the subject Business economics - Investment and Finance, grade: 2,0, European Business School - International University Schlo Reichartshausen Oestrich-Winkel, 45 entries in the bibliography, language: English, abstract: It is the goal of this paper to provide an overview of empirical studies that might give evidences on how shareholder value responds to different modes of restruc-turing. Due to the restriction in pages, this study will give an insight in different modes of restructurings but will not go into detail on how corporate restructuring influences the shareholder value for specific regions or industries. Rather, the aim is to present a compact picture of the restructuring results which serve as an "appetizer" for further in depth readings about this topic. To do so, this paper will approach the subject step by step: The first part of this paper deals with fundamentals of corporate restructuring. It de-fines the term "shareholder value" and explains different approaches of how an effect of corporate restructuring can be measured monetarily. Furthermore, the term "corpo-rate restructuring" and the different changes in the firm's portfolio, organization, or capital structure are described and categorized in an easily memorable model. The second part of the paper presents different important empirical studies of whether and how restructuring effects shareholder value. The model, described in the first part, is being employed to structure these findings and is being combined with the positive or negative impacts of the conducted method of restructuring. Lastly, the third part will briefly summarize the introduced effects on shareholder value and will give advice as to which forms of restructuring should be accomplished to enhance the overall economic performance of the firm and therefore the shareholder value.

Book excerpt: Economist, consultant, and Wall Street Journal contributor Alfred Rappaport provides managers and investors with the practical tools and tests for a corporate strategy that creates shareholder value. The ultimate test of corporate strategy, the only reliable measure, is whether it creates economic value for shareholders. After a decade of downsizings frequently blamed on shareholder value decision making, this book presents a new and indepth assessment of the rationale for shareholder value. Further, Rappaport presents provocative new insights on shareholder value applications to: (1) business planning, (2) performance evaluation, (3) executive compensation, (4) mergers and acquisitions, (5) interpreting stock market signals, and (6) organizational implementation. Readers will be particularly interested in Rappaport's answers to three management performance evaluation questions: (1) What is the most appropriate measure of performance? (2) What is the most appropriate target level of performance? and (3) How should rewards be linked to performance? Through the lens of high-stakes case studies, like the notable acquisition of Duracell International by Gillette, Rappaport dissects the intricate decisions and risks inherent in the merger and acquisition process. The shareholder value approach presented here has been widely embraced by publicly traded as well as privately held companies worldwide. Book The Synergy Trap

Download or read book The Synergy Trap written by Mark L. Sirower and published by Simon and Schuster. This book was released on 2010-05-11 with total page 321 pages. Available in PDF, EPUB and Kindle. Book excerpt: With acquisition activity running into the trillions of dollars, it continues to be a favorite for corporate growth strategy, but creating shareholder value remains the most elusive outcome of these corporate strategies—after decades of research and billions of dollars paid in advisory fees, why do these major decisions continue to destroy value? Building on his groundbreaking research first cited in Business Week, Mark L. Sirower explains how companies often pay too much—and predictably never realize the promises of increased performance and competitiveness—in their quest to acquire other companies. Armed with extensive evidence, Sirower destroys the popular notion that the acquisition premium represents potential value. He provides the first formal and functional definition for synergy -- the specific increases in performance beyond those already expected for companies to achieve independently. Sirower's refreshing nuts-and-bolts analysis of the fundamentals behind acquisition performance cuts sharply through the existing folklore surrounding failed acquisitions, such as lack of "strategic fit" or corporate culture problems, and gives managers the tools to avoid predictable losses in acquisition decisions. Using several detailed examples of recent major acquisitions and through his masterful integration and extension of techniques from finance and business strategy, Sirower reveals: -The unique business gamble that acquisitions represent -The managerial challenges already embedded in current stock prices -The competitive conditions that must be met and the organizational cornerstones that must be in place for any possibility of synergy -The precise Required Performance Improvements (RPIs) implicitly embedded in acquisition premiums and the reasons why these RPIs normally dwarf realistic performance gains -The seductiveness and danger of sophisticated valuation models so often used by advisers The Synergy Trap is the first exposé of its kind to prove that the tendency of managers to succumb to the "up the ante" philosophy in acquisitions often leads to disastrous ends for their shareholders. Sirower shows that companies must meticulously plan—and account for huge uncertainties—before deciding to enter the acquisition game. To date, Sirower's work is the most comprehensive and rigorous, yet practical, analysis of the drivers of acquisition performance. This definitive book will become required reading for managers, corporate directors, consultants, investors, bankers, and academics involved in the mergers and acquisitions arena.

Book Applied Ethics in Management

Download or read book Applied Ethics in Management written by Shitangsu K. Chakraborty and published by Springer Science & Business Media. This book was released on 2012-12-06 with total page 308 pages. Available in PDF, EPUB and Kindle. Book excerpt: Ethical issues are emerging as the most important managerial challenge in all spheres of organizational life, from the wider issues of strategy-making, finance, technology, marketing, information systems to the subtle concerns of gender, demography or cultural diversity. The competitive market-economy model has widened the scope for managers in all countries to violate the fundamental values and integrity needed to maintain and enrich a civil society. These violations stretch from personal lapses of bribery and corruption to the wider areas of moral questions related to an ethically grounded global business system. This book grew out of'a three-day international workshop addressing these issues, held at the Management Centre for Human Values (MCHV), Indian Institute of Management, Calcutta, during February 1998. The workshop explored topics of applied management by providing mUltiple perspectives. Eighteen of the papers have been chosen for this volume, covering business functions, strategies and alliances. One of the key objectives of the workshop was to integrate ideas of applied ethics developing from Asia, Australia and Europe. Any book on applied ethics must be founded on a multicultural base and be practically oriented. This project has been greatly privileged in drawing together the work of 18 very senior and widely experienced academics and practitioners, spanning four continents. The two editors, from different continents, communicated regularly with each other and the contributors. The book is a result of the support and encouragement of many individuals.
