These expectations or perceptions keep changing; and because they keep changing, the managers of corporations and indeed all stakeholders need to keep pace with these expectations. In this paper, the researcher reviewed the various attempts made by Central Bank of Nigeria (CBN) at entrenching corporate governance in Nigerian banks with a special focus on whether banks in Nigeria are complying with the code of corporate governance post consolidation (2005 - 2009). The study employed an interpretivist methodology and collected data through observation, document analysis and a review of the CBN case. The case x-rayed the regulator - induced banking consolidation reforms and the compliance with the mandatory code of corporate governance for banks in Nigeria post consolidation as well as issues bordering on supervisory framework, architecture and risk management. The research revealed that banks in Nigeria are committed to conforming to the dictates of the code of corporate governance while struggling to achieve viability.

Book excerpt: In the corporate governance of banks, bank boards of directors play a significant role by monitoring and advising management in the formulation and implementation of strategies. Our hypothesis is that certain characteristics of bank boards (size, composition and proactiveness) determine the effectiveness of the boards in carrying out its monitoring and advisory roles. After controlling for heterogeneity and endogeneity using the two-step system estimator, we find that admitting new members into the board improves bank performance up to a certain point 'efficient limit' where continuous increase of the board size begins to destroy value. We observe an inverse relation between board meetings and bank performance which suggest to us that bank boards that meet more often are only reacting to bank's poor performance. This challenges the widespread belief that frequent board meetings play a role that is more proactive than reactive. We agree that bank boards strategically alleviate the problems of governance in banks and reduce the weakness of other corporate governance mechanisms, especially the regulatory and external governance mechanism. Hence empowering boards through incentive packages and enlarged responsibilities with authority to monitor, sanction, reprimand and advise management will be the way forward for the Nigerian banking sector.

Following the experiences of failed companies in America and Europe in recent times and the resultant consequence on unemployment, wealth creation and shareholder value, corporate governance has taken a centre stage worldwide especially in emerging economies such as Nigeria that can ill-afford system failure. Typically, in public corporations directors are elected by shareholders to manage the affairs of the corporate on their behalf; which by implications imposes on the directors fiduciary responsibilities. A person with fiduciary duty is a person entrusted with the power or property with the understanding that the person is working for the benefit of the individual(s) who may have entrusted them with such responsibilities – therefore directors have fiduciary responsibilities to work in the best interest of shareholders and for the benefit of shareholders not in the interest of some other people or their individual interest. From all indications, the current global financial crises have revealed severe shortcoming in corporate governance across the global, there seems to be a common factor, an apparent lack of checks and balances needed by companies in order to cultivate sound business ethics bringing about the concern for improved corporate governance across all continents, this provides the needed motivation for this study. In Nigeria; for instance several public companies including local subsidiaries of western multinational companies have been criticized for various degrees of unethical practices. The case of Cadbury Nigeria PLC referred to as ‘Deliberate breaches of accounting system and controls’, are only a tip of the ice berg in Nigeria, a country that has for many years been sapped by widespread corruption. The choice of Cadbury Nigeria Plc for this study is because of their strategic importance as industrial giant in Nigeria that are presumed to be well established and respected for decades. It is expected that this study will contribute to knowledge on corporate governance as well as proffer some solution to the shortcomings and challenges of corporate governance issues with reference to Nigeria.

In Nigeria, several banks have collapsed, with the most recent being in 2018, and these failures have been largely credited to weak corporate governance practices. Banks are key in the development of emerging economies; therefore, good corporate governance of banks has far-reaching implications. To regulate corporate governance in Nigeria's banking industry, the principles-based approach is utilized. However, a critical examination would reveal that it has proven inadequate in achieving the regulatory objectives in light of the current challenges faced. This study proposes a restructure of the current system of regulating governance in the Nigerian banking industry. To achieve this, I engaged in a comparative analysis of the traditional principles-based and rules-based approach to governance regulation, using Canada and the United States as case study. Taking into consideration lessons from this cross-jurisdictional analysis, as well as the peculiarity of the Nigerian banking environment, the study explores new perspectives for regulating corporate governance within Nigerian banks and proposes the adoption of a unique approach.

Book excerpt: The purpose of this study was to assess the impact of corporate governance on banks stakeholders and efficient bank management in Nigeria. The corporate governance variable employed in this study was that of board of directors. The two proxies selected for this research as independent variables are Board size and Board composition. Whilst the proxy for the dependent variable employed was earnings per share since regression only depicts the relationship that exist between two variables (x and y). This study made use of secondary data obtained from the financial reports of five (5) banks for a period of eight (8) years (2005-2012). Secondary data was analysed using Regression while chi-square was used to analyse the primary data from bank operators through administered questionnaire. The results generated were found to be similar to that of other previous scholars who have carried out a research on the issue of corporate governance and banks profitability. This study makes a significant contribution to research by exposing the importance of corporate governance in the Nigerian Banking System. The study supported the hypothesis that corporate governance positively affects not only stakeholders but also efficient bank management.

The research shall be highlighting the evolution of banking business in Nigeria through the global financial crisis and its effect on the Nigerian banking sector. The research will bring out the effect of command and control mechanism of regulation in Nigerian banking sector on the basis of the level of market stability achieved before and after CBN intervention as a result of market failure. The study would also suggest optimal structure of Corporate Governance Policies and Procedure to be applied by Board and Management of Banks in Nigeria.

Book excerpt: Banking and corporate governance reform is an ongoing phenomenon which has received intense global attention after the 2008 global financial crisis. This is particularly true of Nigeria where banks constitute a dominant position of the financial sector. It has compelled many financial and non-financial regulators in Nigeria such as the Central Bank of Nigeria and the Securities and Exchange Commission to revise the codes of best practices for banks and other public companies overtime with a new single code of corporate governance [the national code of corporate governance] set to be released by the Financial Reporting Council of Nigeria.This paper makes a contribution to the existing literature on the state of corporate governance development in the Nigerian banking and non-banking sector, the impacts of the banking regulations and the efforts put in place at ensuring that banks are well governed. It also addresses the issue of compliance, disclosure and harmonisation of codes in Nigeria. It argues that while standards and codes are being enacted and revised by the CBN, the SEC and now FRCN, there is greater need for the Nigerian internal and external environments (such as the socio-political, economic and cultural systems) to support the reforms. There is also need for better enforcement, a renewed transparency and total compliance to the spirit and letter of the code in Nigeria.

Book excerpt: The banking industry is widely recognized as an indispensable link in the process of economic development. Regrettably, over the past decades, the Nigerian banking industry has not been able to trigger the desired level of socio-economic growth and development in the country due to a number of factors, including poor Corporate Governance, poor quality of risk assets, weak internal audit function and high incidence of fraud and forgeries, among others. Consequently, this resulted to distress and seizure of operating licenses of fifty (50) banks in the country, from 1994 to 2006. This book empirically assessed the relationship between Corporate Governance (CG) and Internal Control System (ICS) in the Nigerian banking industry, with a view to understanding how the effectiveness of control mechanisms can be enhanced; which ultimately will assist in ensuring that corporate scandals, frauds and failures are minimized; different risk exposures of banks mitigated; shareholders' wealth maximized; assets of depositors, shareholders and creditors protected and the value of banks enhanced in Nigeria.
