Book excerpt: This thesis analyses the adequacy of the corporate governance framework in the context of the legal relationship between the directors, shareholders and stakeholders and proffer suggestions for reform. The increasing economic power of corporations and the implications of the separation of ownership from control have thrown up a number of interrelated problems. These include the need to make the corporations fulfill the genuine expectations of shareholders and stakeholders. It was soon realized that corporate law and governance need to be better positioned in order to ensure a fair and sustainable balance between directors, shareholders and stakeholders interests. In Nigeria this is made worse by obsolete legislation, weak law enforcement mechanisms, lack of adherence to regulatory rules and weak monitoring systems. Primarily this research employed doctrinal legal research, which consist of analysis of rules,concepts and laws. The process involved primary and secondary information and knowledge gathering. The primary sources are relevant legislation and judicial decisions within and outside Nigeria. The secondary sources of information are journal articles, textbooks and learned papers. The research reveals the gaps in corporate law and governance in Nigeria in a number of areas which include: The corporate governance structure; the involvement and relationship between the directors, shareholders and stakeholders; the regulatory framework for corporate governance; the legal and practice regime for corporate governance. The study suggests that the regulatory framework in Nigeria needs to be improved upon in order to ensure that the interest of shareholders and stakeholders is protected. The study equally proffers the need for the legislature and the courts to do more to ensure that corporate law and governance in Nigeria are improved in line with global trends.

In it, the organs are identified as the General Meeting (shareholders), and the Board of Directors, while the officers are identified as the directors, secretary, auditor, legal adviser. The company’s organs take the key critical resolutions cum decisions that sway the company for better or worse. And these resolutions cum decision are implemented through corporate management or governance by the officers of the company. As legal personality, the company has a separate existence from the founders. Yet it is operated by human beings. The company functions through its Memorandum and Articles of Association, which can be altered through resolution passed by the majority of the company members at the General Meeting. Similarly, the company’s performance is also regulated by other statutory law, for example the Companies and Allied Matters Act, otherwise known as CAMA. Most of the company’s officers are appointed by the Board of Directors. However, this is subject to confirmation at the General Meeting. Consequently, as a going concern/business, the company is prosperous when there is a healthy relationship between the organs, and officers, and particularly between the General Meeting (Shareholders), and the Board of Directors. Though the General Meeting works by the resolutions passed by the majority members, yet there are exceptions to this when the court enforces an individual member(s) action against the majority’s decisions. This is an exception to the rule in Foss V Harbottle. The aim is to check fraud and ultra vires activities in the company. To be valid, an officer’s acts shall be done in good faith, diligently, and with care; and the company shall hold the officer liable for such acts. Essentially, the common law held the view that company’s officers owed their services to the company only, and not individual shareholders. However, this position has been rejected by the modern company practice and knowledge. Hence, the roles of the contemporary company officers have been enlarged to embrace serving the company which employees them, the individuals shareholders under relevant circumstances, as well as the generality of the public that benefits or is affected by the activities of the company. Following the experiences of failed companies in America and Europe in recent times and the resultant consequence on unemployment, wealth creation and shareholder value, corporate governance has taken a centre stage worldwide especially in emerging economies such as Nigeria that can ill-afford system failure. Typically, in public corporations directors are elected by shareholders to manage the affairs of the corporate on their behalf; which by implications imposes on the directors fiduciary responsibilities. A person with fiduciary duty is a person entrusted with the power or property with the understanding that the person is working for the benefit of the individual(s) who may have entrusted them with such responsibilities – therefore directors have fiduciary responsibilities to work in the best interest of shareholders and for the benefit of shareholders not in the interest of some other people or their individual interest. From all indications, the current global financial crises have revealed severe shortcoming in corporate governance across the global, there seems to be a common factor, an apparent lack of checks and balances needed by companies in order to cultivate sound business ethics bringing about the concern for improved corporate governance across all continents, this provides the needed motivation for this study. In Nigeria; for instance several public companies including local subsidiaries of western multinational companies have been criticized for various degrees of unethical practices. The case of Cadbury Nigeria PLC referred to as ‘Deliberate breaches of accounting system and controls’, are only a tip of the ice berg in Nigeria, a country that has for many years been sapped by widespread corruption. The choice of Cadbury Nigeria Plc for this study is because of their strategic importance as industrial giant in Nigeria that are presumed to be well established and respected for decades. It is expected that this study will contribute to knowledge on corporate governance as well as proffer some solution to the shortcomings and challenges of corporate governance issues with reference to Nigeria.

This academic paper endeavours to classify, categorize, map and synthesize the research on this topic during 1998-2017. In the analysis of the body of research in corporate governance in Nigeria, five key themes emerge. (1) Several research studies focus on institutional influences of corporate governance and discussions centre on how a country's culture, laws, regulations, norms and institutions inform corporate governance practice.
