Book excerpt: Master's Thesis from the year 2016 in the subject Business economics - Business Management, Corporate Governance, , language: English, abstract: This evaluation of Corporate Governance practices at the Namibian Government Institutions Pension Fund (GIPF) is a qualitative single case study. The study utilized both primary and secondary data to answer the question whether GIPF was in compliance with the criteria relating to audit the committee, governance of risk as well internal audit functions as guided by the Namibia Code for Corporate Governance (NamCode). The study concluded that overall, the Government Institutions Pension Fund is indeed complying with the majority of the aspects assessed regarding requirements for audit The committee, governance of risks as well as internal audit functions. It appears that in some cases, the company complies with certain criteria how it is being documented may not be exactly how it is guided by the governance framework as stipulated in the NamCode. In most cases, where the study finds the company to be partially in compliance as opposed to full compliance, it is a question of the style used by the company in documenting how they are applying their corporate governance framework. Considering that only three out of nine principles of corporate were assessed; it is important to document that the survey only provide a snapshot of GIPF compliance to the governance framework and conclusions of this study cannot be taken as a complete view in any way. The study recommends that the company conform to the style of documenting their application of corporate governance principles to that of the governance framework provided for in NamCode. The adjustment is very important as it will help in ensuring consistency and standards especially when studies of this nature are to be conducted again. Finally, the study recommends that assessment of all nine principles of corporate governance be conducted preferably on an annual basis if GIPF is to keep in touch with the reality in as far as how they are doing regarding compliance.

Various corporate scandal and collapse in many countries has been attributed to board of directors’ ineffectiveness. The study used qualitative method as a research strategy. The research used primary data collected through a qualitative, exploratory, and descriptive approach, by conducting a series of detailed semi-structured interviews with participants from two purposive selected commercial public enterprises made up of board of directors, managing director and company secretaries. The data was analysed using thematic context analysis. The voice records were transcribed from the interview scripts to the diverse codes. The transcription of the intuitive editor enhanced quick changes in formatted format. Coding was data driven. Namely, the researcher commenced out without codes and crafted them through the reading of the discourse. The study focused on skills, diversity, experience, corporate governance, compliance requirements and accountability to shareholder and stakeholder. This was complemented by a comprehensive review of relevant literature. The key findings indicates that board of directors’ effectiveness and factors that influence board of directors’ effectives exist within the board of selected commercial public enterprise. Participants point out the following factors that contribute to board being effective: Board of director’s cohesion and sufficient time allocated to board issues. Diverse technical skills, good relation, support and cooperation from shareholder plus sufficient funding good governance and Operational effectiveness of management. It is recommended that Board of directors to limit serving in many boards and allocated sufficient time to board packs to be able to lead public enterprises effectively and efficiently. The survey recommends the digitisation strategy and algorithmic business thinking by directors of the two enterprises. Innovative thinking to promote sustainability such as the use of solar power and deployment of nuclear energy.

This study adopted a 'mixed method approach', which utilises quantitative data supported by qualitative data. The target population of this study included Top management level (Director, Deputy Director), Middle Supervisory level (Supervisor/ Chief) and staff members at a non- supervisory level. Stratified sampling was used to divide the population in to 3 stratums. The study further used purposive sampling to draw a sample of 52 employees from the population of 272 staff members while the qualitative interviews involved 4 participants. Quantitative data was analysed using descriptive analysis run on SPSS. Results indicated that the PMS challenges that the Ministry of Urban and Rural Development is facing are as a result of lack of goal-setting, poor alignment of personal objectives with organisational goals, lack of communication and strong leadership, lack of trainings and personal development, lack monitoring, reviews and performance feedback, lack of change management initiatives and no reward for exceptional performance. Based on the findings, the researcher recommends that there should be improvement in communication, construction of employee's awareness; top performers should be rewarded; realistic and achievable goals must be set for employees; employees should be involved in settings of their performance targets and lastly the institution should allocate sufficient budget. Finally it is recommended that further research must be conducted in the rest of OMAs in order to validate findings of this study.
